Redevelopment Project Agreement The City of Dubuque, lowa, Dubuque Initiatives, and Flexsteel Industries, Inc. entered into a Redevelopment Project Agreement related to redevelopment of real estate, including land and buiidings, owned by Flexsteel, dated May 15, 2017. Pursuant to the terms of the Agreement, Initiatives has or will take title to the Real Property and undertake other obligations to the other parties to the Agreement. Initiatives desires to assign the Agreement to Jackson Street Redevelopment, LLC, Initiatives' wholly owned subsidiary, subject to the condition that Initiatives will remain responsible for the Initiatives' obligations in the event Jackson Street Redevelopment, LLC does not perform such obligations. Initiatives has requested the City consent to the Assignment of the Redevelopment Project Agreement to Jackson Street Redevelopment, LLC. I recommend that the City Council adopt the attached resolution consenting to the Assignment of the Redevelopment Project Agreement to Jackson Street Redevelopment, LLC. The parties have reached agreement regarding the terms and conditions of such assignment and desire to set forth such agreement in writing. Therefore, in consideration of the mutual terms and conditions set forth herein and in the Agreement, the parties agree as follows: 1. Assignment. Initiatives does hereby assign all of its rights and obligations, including the Initiatives' Obligations, under the Agreement to Redevelopment and Redevelopment accepts such assignment and agrees to perform all obligations of Initiatives, including the Initiatives' Obligations, in the manner required by the terms of the Agreement. In the event Redevelopment fails to complete any of the Initiatives' Obligations, Initiatives shall remain Page 1 liable to City and Flexsteel to complete or satisfy any such Initiatives' Obligation. In the event Redevelopment fails to perform any obligation under the Agreement, city or Flexsteel shall provide to Redevelopment and Initiatives written notice of such failure, detailing the actions required to cure such failure (the "Cure Notice"). If Redevelopment fails to cure the default within the time frame specified in the Cure Notice (not less then 10 days) then Initiatives shall perform the obligation as required by the Agreement within 10 days of completion of the cure period or, if the default cannot be reasonably cured within such 10 days, within a reasonable time period thereafter. herein. 2.
