Van Milligen, City Manager SUBJECT: Accepting a Special Warranty Deed from Roasting Solutions, LLC DATE: January 31, 2021 The City of Dubuque and Roasting Solutions, LLC entered into a Development Agreement dated January 2016. The Development Agreement provided for the purchase of property by Roasting Solutions, LLC, for their facility that has since been built on the site and additional property that was intended by Roasting Solutions, LLC as Expansion Property. The Development Agreement provided Roasting Solutions, LLC the option of reconveying the Expansion Property to the City of Dubuque and Roasting Solutions has exercised this option. Senior Counsel Barry Lindahl recommends City Council acceptance of a Special Warranty Deed from Roasting Solutions, LLC reconveying the Expansion Property to the City of Dubuque. The City will now have this property to market for other industrial park development. I concur with the recommendation and respectfully request Mayor and City Council approval. � Mic ael C. The Development Agreement provided for the purchase of property by Roasting Solutions, LLC, which included what is now legally described as follows: Lot 2 of Dubuque Industrial Center South Third Addition in the City of Dubuque, lowa intended by Roasting Solutions, LLC as Expansion Property. The Development Agreement provided Roasting Solutions, LLC the option of reconveying the Expansion Property to the City of Dubuque. Roasting Solutions, LLC has exercised the option to reconvey the Expansion Property with the attached Special Warranty Deed. We have finalized the closing on the reconveyance of the Expansion Property according to the terms of the Development Agreement. Lindal, Esq. 300 Main St., Ste. 330, Dubuque IA 52001-6944, (563) 583-4113 RESOLUTION NO. 34-21 ACCEPTING A SPECIAL WARRANTY DEED FROM ROASTING SOLUTIONS, LLC Whereas, the City of Dubuque and Roasting Solutions, LLC entered into a Development Agreement dated for reference purposes the 14th day of January, 2016; and Whereas, the Development Agreement provided for the purchase of property by Roasting Solutions, LLC, which included what is now legally described as follows: Lot 2 of Dubuque Industrial Center South Third Addition in the City of Dubuque, Iowa intended by Roasting Solutions, LLC (the Expansion Property); and Whereas, the Development Agreement provided Roasting Solutions, LLC the option of reconveying the Expansion Property to the City of Dubuque; and Whereas, Roasting Solutions, LLC has exercised the option to reconvey the Expansion Property with the attached Special Warranty Deed. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF DUBUQUE, IOWA AS FOLLOWS: Section 1. The City of Dubuque hereby accepts the Special Warranty Deed from Roasting Solutions, LLC. Section 2. The City Clerk is hereby authorized and directed to record this Resolution and the Special Warranty Deed with the Dubuque County Recorder.
