INTRODUCTION
The purpose of this memorandum is to record the Fourth Amendment to the Facility
Management Agreement Between the City of Dubuque, lowa and Platinum Hospitality
Group, LLC.
DISCUSSION
June 4, 2001 the City entered into an agreement for private management of the Grand
River Center with Platinum Hospitality Group, LLC. The agreement was for a ten-year
period commencing six months prior to the date of the opening of the facility. The
Grand River Center opened October 25, 2003. The City Council extended the
agreement to May 25, 2013 as negotiations for a new agreement were held. The term
of the current agreement commenced May 26, 2013 for a three-year term which auto-
renewed May 26, 2016 for another three-year term. A second amendment was
approved with a term until May 25, 2020. The third amendment was approved with a
term until May 25, 2021.
The City Council has a high priority management agenda item in 2020-2022 of Grand
River Center Future Operations: RFP, Direction and Agreement. Senior Counsel Barry
Lindahl prepared the Fourth Amendment. It continues management of the Grand River
Center for a two-month timeframe from May 26, 2021 - July 26, 2021.

This FOURTH AMENDMENT TO THE FACILITY MANAGEMENT AGREEMENT
is dated for reference purposes the /$ day of /��_, 2021.
V'VHEREAS, the City of Dubuque (City) and Platinum Hospitality Group, LLC
(Manac�er) are parties to a Facility Management Agreement (Agreement) dated for
reference purposes the 20th day of May, 2013; and
WHEREAS, the parties amended the Agreement by amendment dated April 4,
2016, March 18, 2019, and April 29, 2020; and
VIIHEREAS, the parties now desire to further amend the Agreement as set forth
herein:
1 . Section 9 is amended to read as follows:
l EF�fVI. The Term of this Agreerr�ent commences May 26, 2021 and terminates at
midnight July 26, 2021 unless earlier terminated as set forth herein or extended as
provided in Sec. 10.1.
2. Section 10.1 is amended to read as follows:
Termination Without Cause. This Agreerr�ent may be terminated by either party
hereto, without cause, upon twenty-one (21) days written notice delivered to the other
party. In the event that the notice is delivered during the I�st 21 days of the Term, the
Term shall be extended for the number days so that Manager has 21 days until
termination. The notice shall state the new termination date.
3. Section 10.2 is deleted.
