Information Services Manager Chris Kohlmann is recommending City Council approval
of an amendment to an existing Master Agreement and Project Statement (Amendment
#7) in place between the City of Dubuque and ImOn Communications LLC. This project
would build and install a symmetrical 1 G internet connection using existing city conduit
into the Dubuque Law Enforcement Center

INTRODUCTION
The purpose of this memo is to request approval of an amendment to an existing Master
Agreement and Project Statement (Amendment #7) in place between the City of
Dubuque and ImOn Communications LLC.
BACKGROUND
In 2016 the City of Dubuque undertook its Broadband Acceleration Initiative. The
Initiative focuses on public/private collaborations and includes (a) a comprehensive
strategy to reduce the cost and time required for broadband expansions in Dubuque;
and (b) City access to enhanced broadband access for public safety and City services.
One effort within that strategy is the use of "Master Agreements", where an overall legal,
structural, and financial relationship is established between the City and broadband
providers and approved by City Council. Project Statements carried out pursuant to that
Master Agreement can then be quickly considered and approved
In 2017 the City of Dubuque and ImOn entered into a Master Co -location and Shared
Services Agreement to accelerate the deployment of new broadband capacity and
services in Dubuque. All Project Statements under that collaboration to date have gone
well and all anticipated value to the City is being received. We would propose amending
that Master Agreement to provide City access to improved services to support public
safety needs in the community.
DISCUSSION
The need for high availability internet services from redundant carriers at multiple
locations is vital for public safety services. At the present time, the Dubuque Law
Enforcement center is served by the City's internet services from Wisconsin
Independent Networks (WIN.) The WIN connection is reliable and highly available.
However, a second internet carrier is desired to provide redundancy should the WIN
connection fail, to segment public wireless internet users, and to balance usage load
giving improved performance to internet users at the Dubuque Law Enforcement
Center. The project proposed would serve all users at both 770 Iowa Street and 855
Central.
This project would build and install a symmetrical 1 G internet connection using existing
city conduit into the Dubuque Law Enforcement Center.
BUDGETIMPACT
There is no direct budgetary impact to the City. ImOn Communications has requested
access to un-utilized City conduit which would off -set the costs for this improved public
safety broadband access. The value to both ImOn and to the City is estimated at
$77,182.
ACTION STEP
This Amendment supports Dubuque's provision of critical services, particularly to public
safety. We would respectfully request your approval and recommendation to City
Council.

Amendment #7 to Master Co -location and Shared Services Agreement between
ImOn Communications LLC and City of Dubuque
Pursuant to the Master Co -locations and Shared Services Agreement between City of Dubuque and
ImOn Communications, LLC, dated , 2022 and attached hereto, the Parties hereby agree to
the following PROJECT STATEMENT:
Narrative description of co -location and service sharing:
- City will allow ImOn access to and use of certain presently unused conduit, for purposes of providing
broadband communication services and support to the community of Dubuque.
- ImOn is responsible for obtaining all permits required from Federal, State or Local government
including but not limited to Department of Transportation, Corps of Engineers, Dept. of Natural
Resources and Railroads, for work on the conduit.
- City shall have the right of prior review and approval of any repairs, restoration, relocations,
improvements, enhancements and maintenance of the conduit and fiber contained therein
proposed by ImOn.
- Any additional conduit and fiber capacity available or added, other than that which is specifically
designated for ImOn, shall be considered City assets and its future use controlled by the City.
- During the term of this Project Statement ImOn will have the responsibility to manage and maintain
the conduit and fiber therein, including but not limited to the following:
■ ImOn shall provide physical assets and management services to City of Dubuque for its needs as
it relates to this conduit.
■ If ImOn incurs costs associated with future fiber repairs, fiber restoration or fiber Re -location
City will reimburse ImOn for a percent of such costs on a pro-rata basis based on the
proportionate amount of capacity being used by City.
■ Each party will notify the other if it detects any problems that may interrupt service. ImOn

Scope of shared service to be provided by City to ImOn:
City shall provide to ImOn Communications access to un-utilized City conduit with an estimated value of
$77,128 which ImOn may use for the expansion of its network and fiber -to -the -home build -out in the
City of Dubuque.
Charges and Payment Terms:
There are no additional charges or payment terms required for the implementation of this Project
Statement.
Term of Project:
Estimated Start Date January 1, 2022
60 months from the estimated start with 1 year extensions at the current rate at the mutual agreement
of the parties.
