WHEREAS, Gerald Henkel, applicant

said amended Conceptual Development

held its own public hearing on said
amended Conceptual Development Plan
pursuant to required published notice;

WHEREAS, the City Council has ap-
)roved said amended Conceptual
Development Plan subject ~o the stone
specific conditions and restrictions.
NOW, THEREFORE, BE IT OR-
DAINED BY THE CITY COUNCIL
OF THE CITY OF DUBUQUE, IOWA:
Section 1. That in order to accomplish
the purposes ol the "Planned Residential
District" and of the Zoning Ordinance,
the amended Conceptual Development
Plan, a copy of which is attached to and
made a part hereof, is hereby adopted
and approved for the following described
property, to wit:
Lot 2 of Lot 1 of Lot 12 and Lot
2 of Lot I of Lot 2, both in St.
Rose Place, and to the center line
of the adjoining public right-of-
way, all in the City of Dubuque,
Iowa.
Section 2. That in order to accomplish
the purposes of the "PR Planned
Residential Dis~ictY and of the Zoning
Ordinance, the property hereinabove
described is subject to the following con-
ditions and restrictions:
A. Use Regulations. The following
regulations shall apply to all uses made
of land in the above described PR
Planned Residential District:
1. Principal Permitted Uses shall be
limited to I three-unit apartment com-
plex, 1 six-unit apartment complex, and
4 fou~-unit apartment complexes.

2. Accessory Uses shall be lhuited to
any use customarily incidental and subor-
dlnate to the principal use it serves.
B. Lot and Bulk Regulations. The ex-
isting buildings shall be located as pro-
posed on the attached amended Concep-
tual Development Plan.
C. parking Requirements. The off-
street parking requirements for the prin-
cipal permitted uses for the above
described PR Planned Residential
District shall ha a minimum af 20
garages and 28 off-street parking spaces.
D. Transfer of Ownership. Transfer of
ownership or lease of property in this PR
planned Residential District shall include
in the transfer or lease agreement a pro-
vision that the purchaser or lessee
acknowledges awareness of the condi-
tions authorizing the establishment of
the district.

WHEREAS. the City of Dubuque, in
the County of Dubuque, State of Iowa
Ithe "Issuer"l.is an incorporated
municipality authorized and empowered
by the provisions of Chapter 419 of the
Code of Iowa. 1987, as amended (the
"Act'q. co issue revenue bonds for the
purpose of financing the cost of acquir-
ing, by construction or purchase, land~
buildings, improvements and equipment
or any interest thercin, suitable for the
use of any industry or industries for the
manufacturing, processing or assembling
of any agricultural or manufactured pro~
ducts or of any commercial enterprise
engaged in storing, warehousing or
distributing products of agriculture, min-
Lng or industry, or of a national, regional
or divisional headquarters facility of a
company that does multistate business:

WHEREAS. the Issuer has been re-
quested by Jeld-wen Inc. Ithe "Com-
pany''), an Oregon corporation, to issue
its revenue bonds to finance the cost of
the acquisition and installation of

provements needed for two fiber press
lines to manufacture wood panels used
in doors for the Company's existing
manufacturing facilities (the "Project"),
located 250 East 8th Street & 300 East
9th Street withi~ the Issuer, which will
promote the welfare of the Issuer and its
citizens; arid
WHEREAS, it i~ proposed to finance
the cost of the Project through the is-
sugnce of Variable Rate Demand
Development Revenue Bonds, S~ries
1988 (JELD:WEN, Inc. Project), of the
Issuer in an aggregate principal amount
not to exceed $8,500,000 (the "Bonds")
and to loan said amount to the Company
under a Loan Agreement between the
Issuer and the Company the ob]igatinn
of which will be sufficient to paY the prin-
cipal of and redemption premium, if any,
and interest on the Bonds as and when
the same shall be due and payable: and
WHEREAS. before the Bonds may be
issued, it is necessary to conduct a public
hearing on the proposal m issue the
Bonds. all as required and provided for
by Section 419.9 of tho Act and Section
147(1'1 of the Internal Revenue Code of
1986: and
WHEREAS. in order to satiety the
publication requirements of Section 419.9
of the Act the City Manager set the 17th
day of October, 1988 at 7:30 o'clock p.m.
at the Public Library Auditorium as the
time and place for a public hearing and
caused notice of such hearing co be
published as in the form set forth in Sec-
tion 2 hereof and this Council desires to
ratify such action and provide for such
public hearing.
NOW, THEREFORE. BE IT RE-
SOLVED by the City Council of the
Section L The aforemenfJoned actions
of the City Manager relating to the fix-
ing of and publishing notice of the public
hearing are hereby ratified and 6onfirm-
ed. This Council shall meet at the Public
Library Auditorium in Dubuque. Iowa,
on the 17th day of October, 1988 at 7:30
o'clock, p.m.. at which time and place a
public hearing shall be held on the pro-
posal to issue vhe Bonds referred to in the
preamble hereof, at which hearing all

an opportunity to express their views for
or against the proposal to issue the
Bonds.
Section 2. The publication of notice
of intention to issue the Bonds, setting
forth the amount and purpose thereof,
the time when and place where the hear-
lng will be held, by publication at least
once not less than fifteen (15) days prior
to the date fixed for the hearing, in the
Telegraph Herald, a newspaper published
and having a general circulation within
the Issuer is hereby ratified and ap-
proved, the notice being in substantial-
ly the following form:

buque, Iowa, (the "Issuer") will meet on
the 17th day of October, 1988, at Public
Library Auditorium, in Dubuque, Iowa,
at 7:30 o'al~ck, p.m., for the purpose of
conducting a public hearing on the pro.
posal to issue Variable Rate Demand
Revenue Bonds, Series 1988 (JELD-
WEN, Inc. Project), of the Issuer, in an
aggregate principal amount not to exceed
$8,500,000 ftbe "Bonds"), and to loan
said amount to JELD-WEN, Inc. (the
"Company")~ an Oregon corporation, for
the purpose of defraying the cost, to that
amount, of the acquisition and installa-
tion of all machinery, equipment and im-
provements needed for two fiber press
lines to manufacture wood panels used
in doors for the Company's existing
manufacturing facilities (the "Project"),
located 250 East 8th Street & 300 East
9th Street the Issuer. The Bonds, when
issued, will be limited obligations and will
not constitute general obligations of the
Issuer nor will they be payable in any
manner by taxation, but the Bonds will
be payable solely and only from amounts
received by the Issuer under a Loan
Agreement between the Issuer and the
Company, the obligation of which will be
sufficient to pay the principal of and in-
terest and redemption premium, if any,
on the Bonds as and when the same shall
become due.
At the time and place fixed for said
public hearing all local residents who
appear will be given an opportunity to ex-
press their views for or against the pro-
>osai to issue the Bonds, and at the hear-
mg or any adjournment thereof, the
Issuer shall adopt a resolution determin-
lng whether or not to proceed with the
issuance of the Bonds. Written com-
ments may also be submitted to the
Issuer at City Hall, 13th & Central
Avenue, Dubuque, Iowa 52001, Written
comments must be received by the above
bearing date.

Section 2. That the Code of Ordinances
of the City of Dubuquo~ Iowa, be araend-
ed by adopting a new Section 33-91
thereof as follows:
"Sect. 33-91. Notice to owner to repair.

Whenever the City Manager shall
determine that the,state of disrepair of
any sidewalk as described in Section
33-90 exists, he shall serve notice by cer-
tified mail on the abutting property
owner, as shown by the records of the
County Auditor. requiring the abutting
property owner to repmr, replace or
reconstruc~ the sidewalk."
Section 3. That the Code of Ordinances
of the City of Dubuque. Iowa. be amend-
ed by adopting a new Section 33-92
thereof as follows:
"Sec, 33-92. Collection of costs of repair
by city.
If the abutting property owner who
has been notified pursuant to Section
33-91 to repair, replace, or reconstruct
the sidewalk, shall fail to repair, replace
or reconstruct such sidewalk Within thir-
ty (30) days after the mailing of such
qotice, the City Manager m~y cause the
required action to be performed and
assess the costs against the abutting prc~
perry for collection in the same manner
as a property tax."
Section 4. That the Code of Ordinances
of the City of Dubuque. Iowa. be amend-
ed by adopting a new Section 33-93
thereof as follows:
"Sec. 33-93. Installments.
If any amount assessed ageJnst proper-
ty under Section 33-92 exceeds one hun-
dred dollars ,$100.00). the assessmen~
may be paid in five {5) annual in-
stallmente, in the same manner and with
the same interest rates as provided for
assessments against benefitted property
under Iowa Code Chapter 384. Division
IV."
Section 5. That the Code of Ordinances
of the City of Dubuque. inwa. be amend-
ed by adopting a new Section 33-94
thereof as follows:
"Sec. 33-94. Procedures for levy.
The procedures for making and levy-
ing a special assessment pursuant to Sec*
tion 33-92 and for an appeal of the assess-
men~ are the same procedures as provid-
ed under the Cede of Iowa. Sections
384.59 through 384.67. and Sections
384.72 through 384.75/'
Section 6. That the Cede of Ordinances
of the City of Dubuque. Iowa, be amend.
ed by adopting ~ new Section 33-95
thereof as follows:
"Sec. 33-95. Sidewalk inspection and
repair policy.
The City Manager shall develop, with
the approval of the City Council. a writ-
ten sidewalk inspection and repair policy
which shall govern the repmr, replace-
merit, or reconstruction of sidewalks."

WHEREAS, the City of Dubuque,
Iowa, in the County of Dubuque, State
of Iowa (the "Issuex"). is an incorporated
municipality authorized and empowered
by the provisions of Chapter 419 of the
Code of Iowa, 1987, as amended (the
"Act"), to issue revenue bonds for the
purpose of financing the cost of acquir-
ing, by construction or purchase, land,
buildings, improvements and equipment,
or any interest therein, suitable for the
use of any industry or industries for the
manufacturing, processing or assembl-
ing of any agricultural or manufactured
products or of any commercial enterprise
engaged in storing, warehousing or
distributing products of agriculture,
mining or industry, or of a national,
regional or divisional headquarters facili-
ty of a company that does multlstato
business; and
WHEREAS, the Issuer has made the
necessary arrangements with JELD-
WEN, Inc. (the "Company"), an Oregon
Corporation, for the acquisition and in-
stallation of all machinery, equipment
and improvements needed for two fiber
press lines to manufacture wood panals
used in doors for the Company's existing
manufacturing facilities (the "Project"),
located at 250 East 8th Street and 300
East 9th Street within the corporate
boundaries of the Issuer; and
WHEREAS, it is necessary and ad-
visable that provisions be made Ion the

Revenue Bonds, Series 1988 (JELD-
WEN, Inc. Project), of the Issuer in
an aggregate principal amount of
$7,500,000 (the "Bonds") as authorized
and permitted by the Act to finance the
cost of the Project to that amount; and
WHEREAS, the Issuer will loan the
proceeds of the Bonds to the Comp~n~
pursuant to the provisions of a Loan
Agreement dated as of October 1, 1988
(the "Loan Agreement") between the
Issuer and the Company the obligation
of which will be sufficient to pay the
principal of, redemption premium, if any,
and interest on the Bonds as and when
the same shall be due and payable; and
WHEREAS, notice of intention te
issue the Bohds has been published and
tbis Council has conducted a public hear-
ing pursuant to such published notice,
all as required by the Act and Section
103(k) of tbe Internal Revenue Code, and
has determined that it is necessary and
advisable to proceed with the financing
of the Project; and
WHEREAS, the Bonds will be sold to
institutional investors and other entities
and/or individuals who customarily pur-
chase tax exempt securities in large
denominations (the "Purchasers") as pro-
vided in a Placement Agent Agreement
(the "Placement Agent Agreement")
among tlie Issuer, the Company, and
Security Pacific Merchant Bank and
Rainier National Bank (the "Placement
Agents");
NOW, THEREFORE, BE IT RE-
SOLVED BY THE CITY COUNCIL
OF THE ISSUER, AS FOLLOWS:
Section 1. In order to finance the cost
of the Project, Variable Rate Demand
Revenue Bonds, Series 1988 (JELD-
WEN, Inc. Project) of the Issuer in
an aggregate principal amount of
$7,500,000 (the "Bonds") be and the
san~e are hereby authorized and ordered
to be issued by the Issuer pursuant to
an.indenture of Trust in substantially the
form presented to and considered at this
meeting {the "Indenture") and contain-
ing substantially the terms and provi-
sions set forth therein, and the Mayor
~u~d City Clerk are hereby authorized and
directed to execute and deliver the In-
denture; it is the intent hereof that the
Bonds be issued to bear interest at an
altial Variable Interest Rate of not to ex-
ceed 7V~ per annum such initial Variable
Interest Rate wltbin the foregoing limit
to be determined in accordance with the
Indenture at the time of sale of the
Bonds and reflected in tbe final drafts
of the Indenture, the Bonds, and the
final Placement Memorandum herein-
after referred to.
Section 2. The Issuer shall loan to the
Company the proceeds of the Bonds pur-
suant to a Loan Agreement in substan-
tially the form presented to and con-
sidered at this meeting (the "Loan
Agreement") and containing substantial-
ly the terms and provisions set forth
therein, and the Mayor and the City
Clerk are hereby authorized and directed
to execute and deliver the Loan Agree-

marketing Agreement") among the
Issuer, the Company and Security
Pacific Merchant Bank (the "Ramarket-
ing Agent") in substantially the form
presented to and considered at this
meeting and containing substantially
the terms and provisions set forth
therein, and the Mayor and the City
Clerk are hereby authorized and directed
to execute and deliver the Remarketing
Agreement.
Section 5. The use by the pincement
Agents of the preliminary Placement
Memorandum relating to the Bonds is
hereby approved and the Placement
Agents are hereby autborized to prepare
and use a final Placement Memorandum
substantially in the form of the Pre-
hminary Placement Memorandum with
such changes therein as are required to

conform the same to the terms of the
Bonds, the Indenture and the Loan
Agreement, and the Mayor is authorized
and directed to execute the final Place-
ment Memorandum; provided that ~his
authorization shall not be deemed to ira-
ply review or approval of information
contained in the Preliminary Placement
Me~norandum or the final Placement
Memorandum by the Issuer except for
information and statements set forth
under "The City" and "Absence of
Litigation" therein.
Section 6. The Issuer hereby elects to
have the provisions of Section 144(a) of
the Internal Revenue Code of 1986, as
amended, apply to the Bonds.
Section 7. That the Mayor and the
City Clerk are hereby authorized and
directed to execute, attest, seal and
deliver any and all documents and do
any and~ ail things deemed necessary to
effect the issuance and sale of the Bonds
and the execution and delivery of the
Loan Agreement. the Indenture, the
Placement Agent Agreement, the final
Placement Memorandum and the Re-
marketing Agreement, and to carry out
the intent and purposes of this Resolu-
tion, including the preamble hereto; the
Office of the City Attorney is hereby
authorized and directed to assist in the
final preparation and drafting of such
documents and to approve any revisions
thereto and the execution by the Mayor
and, if required, the City Clerk, of the
Bonds, the Indenture, the Loan Agree-
ment, the Placement Agent Agreement.
the final Placement Memorandum and
the Remarbeting Agreement with the
approval of the Office of the City At-
tornay shall constitute conclusive
evidence of their approval and this City
Council's approval thereof and of any
and all changes, modifications, additions
or deletions therein from the respective
forms thereof now before this meeting.
Section 8. The provisions of this
Resolution are hereby declared to be
severable and if any section, phrase or
provision shall for any reason be declared
to be invalid, such declaration shall not
affect the validity of the remainder of the
sections, phrases and provisions.
Section 9. All resolutions and parts
thereof in conflict herewith are hereby

repealed to the extent of such conflict.
Section 10. This Resolution shall
become effective immediately upon its
passage and approval.

and underground pit under the terms and

Section 2, That such construction shall

at permittses' expense and dispose of the
same,, and the permitter shall have no
claim against the City or its agents for
damsges resulting from the removal of
said building enclosure and underground
pit.
Section 5. That permitters convenant
and agree that the revocable permit
herein granted does not constitute an ap~
proval of the design, erection, location,
construction, repair or malntenenace of
said facility and said permittees hereby
convenant and agree not to assert such
claim or defense against the City of
Dubuque in the event of claim asserted
for degth, personal injuries and/or proper-
ty damage against the permittees aris-
lng out of or in any way connected with
the location, installation, construction,
design, repair and maintenance of the
facility herein permitted.
Section 6. This Ordinance shall become
effective and the rights hereunder accrue
to Jeld-Wen Fiber Products of Iowa when
this Ordinance has been adopted by the
City Council and the terms and condi-
tions thereof accepted by permittees by
acceptance endorsed on this Ordinance.
Section 7. That the City Clerk be and
she is authorized and directed to file at

"Regulatory authority" means tbe

peals or local board of bealth that
has entered into an agreement
with the director of the depart-
ment of inspections and appeals or
the chief inspector or the inspec-
tions division of the department of
inspections and appeals pursuant
to Iowa Code Sec. 191A.14 for
authority to enforce the food and
beverage vending machine ]aw~ in
this jurisdiction.
Section 5. Section 16-17 is hereby
amended by adopting the following new
unnumbered paragraph:
"Director" means the director of
the department of inspections and
appeals or the chief inspector of
the inspections division of the
department of inspections and
appeals.
Section 6, Section 16-18(a) of the City
of Dubuque, Code of Ordinances is
hereby repealed.
Section 7, The following new Section
16-18(a) is hereby adopted:
License to operate,
No person shall operate one or
more vending machines u~til a
vending machine operator's
license has been obtained from the
regulatory authority. The annual
license shall expire one year from
the date of original issuance and
is renewable. Vending machines
dispensing only ball gum, or
similar nonperishable snacks as

prescribed and defined by regula-
tion of the the director, or bottled
or canned soft drinks shall not re-
quire a license or be subject to the
fee schedule provided in this
chapter, but £hey may be in-
spected pursuant co section
191A.8.
Section 8. Section 16-19(a) of the City
of Dubuque, Code of Ordinances is
hereby repealed.
Section 9. The following new Section
16-19~al is hereby adopted:
Application.
An application for a vending
machine operator's license shall be
made upon a form furnished by
the regulatory authority. The ap-
plication form shall provide for ob-
taining information relating to
ownership of commissaries, loca-
tion of comnussaries, location of
shops and other servicing cen~ers,
and the total number of licensable
vending machines by general pro-
duct type owned and operated by
the applicant and other informa-
tion required by the director. The
operator shall agree in the applica-
tion to maintain within the
jurisdiction of the regulatory
authority a complete list of all
vending machines and machine
locations operated by the appli-
cant and to make the list available
to the regulatory authority at the
time of inspection or auditing.
Section 10. Section 16-25 of the City oi
Dubuque. Code of Ordinances is hereby
repealed.
Section 11. The following new Section
16-25 is hereby adopted:
Disciplinary action.
A license issued under this chapmr
may be revoked by the regulatory
authority [or violation by the
licensee of a provision of this
chapter or an applicable rule of the
department. In lieu of license
revocation, the regulatory authori-
ty may require the immediate
discontinuance of operation of a
vending roaching or comvmssary
if it finds unsanitary conditions or

other conditions which constitute
a substantial hazard to the public
health. The order shall apply on-
ly to the vending machines, com-
m~ssary, or product involved, A
pa'son whose license is revokedi or
who is ordered to discontinue the
operation of a vending machine or
corcamssary, may appeal that deci-
sion to the director. The director
or the chief hearing officer of the
department shall schedule and
hold a hearing upon the appeal not
later than thirty days from the
time of revocation or the order of
discontinuance. The dh~ctor or the
chief hearing officer shall issue a
decii~on immediately following the
hearing. Judicial review may be
sought in accordance with the
terms of the Iowa administrative
procedure Act.
Section 12. This Ordinance shall take
effect immediately upon its publication
as provided by law.
