The Owner, Developer, and Contractor (collectively, the Project Team) plan to complete the remaining public improvement work and dedicate the improvements to the City for ownership and maintenance. A Subdivision Development Agreement has been prepared to set forth the terms and conditions for the construction of the improvements, dedication of the improvements, dedication of right of way and easements, and providing for the warranty/guarantees on the dedicated public improvements. As part of the proposed Fox Hills residential subdivision that includes thirteen — thirty unit apartment buildings, the developer plans to construct and provide, at their cost, subdivision improvements. City staff has reviewed and approved the design and construction plans and has reviewed and approved the dedication of right of way and easement plats for said public improvements as required by the Subdivision Development Agreement. The Project Team plans to begin work on the project in May of 2023. The project will be substantially completed by August 1, 2024. BACKGROUND In 2006, the prior property owner and developer of this area along Plaza Drive installed streets and storm sewer, sanitary sewer, and water main utility improvements at the site. The previously installed streets and utilities were never accepted by the City, except for the water main utility improvements. The Owner, Developer, and Contractor (collectively, the Project Team) plan to complete the remaining public improvement work and dedicate the improvements to the City for ownership and maintenance. A Subdivision Development Agreement has been prepared to set forth the terms and conditions for the construction of the improvements, dedication of the improvements, dedication of right of way and easements, and providing for the warranty/guarantees on the dedicated public improvements. DISCUSSION As part of the proposed Fox Hills residential subdivision that includes thirteen — thirty unit apartment buildings, the developer plans to construct and provide, at their cost, subdivision improvements including streets with longitudinal subdrains and concrete curb and gutter, paved temporary cul-de-sacs, sanitary sewer mains, water mains, a storm water detention basin, storm sewers and catch basins, boulevard street lighting, fiber optic conduit and vaults, accessible sidewalk ramps, concrete sidewalks, and appropriate erosion control devices, to the site and will need to construct and carry out any other activities associated with the project in accordance with City plans and specifications. As mentioned above, some of these public improvements, including water main, sanitary sewer, storm sewer, and street pavement binder course were installed in 2006 and were not inspected by City staff and were not accepted by the City. The developer will be required to repair any deficiencies found after an inspection of these previously installed items. Upon completion of the project, the developer will dedicate to the public project improvements, street right of ways, storm water detention basin lot, and associated easements to the City of Dubuque. The Project Team plans to begin work on the project in May of 2023. The project will be substantially completed by August 1, 2024. City staff has reviewed and approved the design and construction plans and has reviewed and approved the dedication of right of way and easement plats for said public improvements as required by the Subdivision Development Agreement. The Project Team has executed the attached Subdivision Development Agreement. RECOMMENDATION I recommend that the City Council approve the Subdivision Development Agreement with the Project Team for construction of public improvements and the dedication of public street right of way and associated easements over this portion of the Asbury Plaza Subdivision, to be known as Asbury Plaza No. 22, in the City of Dubuque, by the adoption of the attached resolution. NOW, THEREFORE, IT IS AGREED BY AND BETWEEN THE PARTIES AS FOLLOWS: SECTION 1. GENERAL CONDITIONS. 1.1 In 2006, the prior property owner installed streets and storm sewer, sanitary sewer, and water main utility improvements on the Site. The previously installed streets and utilities were never accepted by the City, except for the water main utility improvements. The Owner, Developer, and Contractor (collectively, the Project Team) plan to complete the remaining public improvement work and dedicate the improvements to the City for ownership and maintenance. The Project Team plans to begin work on the Project in May of 2023. The Project will be substantially completed by August 1, 2024. The preliminary plat and plan for the Project is attached as Exhibit 1, attached hereto and incorporated herein (Preliminary Plat). 4864-1238-6628\9 1.2 Work on the Project (except for the previously installed public improvements which are subject to Section 4.3 herein) may not commence until: (a) this Agreement is executed by Developer, Contractor, Owner, and City, (b) Project Team has obtained and submitted copies to City of all applicable licenses and permits, (c) Owner has obtained all required bonds or other acceptable form of security, final design plans have been reviewed and approved by City, and (d) Owner has paid all applicable inspection fees. 1.3 The Project Team, at Owner's cost, shall complete the design and construction of the gravity sanitary sewer main to the existing upper sanitary sewer lift station in the subdivision as shown in the Preliminary Plat. 1.4 The Owner shall be responsible for all costs related to the televising and inspection of all existing, including the City cost to inspect the sanitary and storm sewer system, clean the storm sewer system, remove asphalt from covered manholes and repatch over the manholes with asphalt of $6,802, and proposed improvements which are proposed to be dedicated to the City for ownership and maintenance. Existing improvements include storm sewer, sanitary sewer, concrete curb and gutter, and base course of asphalt street paving/base/su bbase. 1.5 The Owner, at its sole cost, will be responsible for bringing the following existing items that did not pass inspection, were defective, or were in need of repair, at the City's sole discretion, up to City standards before acceptance by the City: Sanitary Sewer 1. SAN P 01756 Sags at 101' , 265', and 390' 2. SAN P 06107 Capped at the end in Cul-de-sac no manhole. 3. SAN P 03659 Multiple Sags of 20% 4. SAN P 01769 Joint at 112' upstream offset not pushed home. Storm Sewer 1. STO P 07278 Joint offset at 254'. 2. STO P 07280 2 small cracks at 153' and 200' from upstream manhole. 3. STO P 07279 Broken Pipe at joint at 2' and 27' 4. STO S 07527 needs grouted around the 15" pipe Streets/Pavement 1. Existing small asphalt paving cracks (1/4" or less in width) shall be sealed according to City standards. 2. Existing asphalt paving cracks larger than 1 /4" in width — the area shall be saw cut, removed, and replaced at full paving depth according to City standards. 2 4864-1238-6628\9 3. Mill existing asphalt pavement course to develop/allow for a consistent 1 1 /12" depth when the street surface/final course is installed. 1.6 The Owner shall be responsible for all costs related to the design and construction of the following required improvements: any sanitary, storm, or water main necessary to finish the Project, all street construction including curb and gutter, all cul-de-sac construction including curb and gutter, all storm water detention facilities, all fiber optic conduit and vaults, and all street lighting, including lighting controller and underground electric and to construct accessible sidewalk ramps at each intersection and street crossings. 1.7 The Project Team, at Owner's cost, shall design and construct a redundant water main loop with appropriate control valves and appropriate easements thru the Rubloff (Ruby-04-Asbrund LLC) or AMC Theatre property as shown on the Preliminary Plat. This water main loop will be privately owned and maintained as agreed to between the Project Team and the owner of the Rubloff (Ruby-04-Asbrund LLC) or AMC theater property. 1.8 The Project Team, at Owner's cost, shall design and construct a secondary/emergency access roadway and appropriate easements thru the Rubloff (Ruby-04-Asbrund LLC) or AMC Theater property as shown on the Preliminary Plat. The Owner will own and maintain said roadway improvements until Plaza Drive is extended and connects to another public roadway system that provides secondary access. All streets and utilities within the right-of-way will be dedicated to the City for public use through a final plat and/or quitclaim deed, to include Plaza Drive, Plaza Court and North Plaza Loop inclusively. 1.9 The Project Team, at Owner's cost, shall extend all public roadways and utilities to the boundary of the adjoining properties to provide for the extension of roadways and utilities for future development. 1.10 City will be responsible for all work to bring existing south lift station into service by November 1, 2023. The Owner shall not connect to lift station until lift station is operational. 1.11 When the temporary cul-de-sacs as shown on the Preliminary Plat are removed and the streets are extended, the City agrees that prior to the adjacent property owners shall be responsible for the cost of installing sidewalks along their respective property frontages. 1.12 City will own and maintain the regional storm water detention basin facility to the west of the Site (shown as Lot B on Final Plat — Exhibit 1). City will assess owners of property adjacent to the Site so that all property that benefits and uses the detention pond as part of their stormwater management will be assessed their portion for maintenance of basin. The Project Team, at Owner's cost, will maintain the temporary private detention basin facility to the north of the Site. 3 4864-1238-6628\9 1.13 The Owner is responsible and will pay for all costs related to the Project, including but not limited to, recording fees, construction costs, connection fees and inspection fees. A "Sanitary Sewer Interceptor" fee will be $11,640.50 (23.281 acres x $500/acres) shall be paid by the Owner at the time of connection to the public sanitary sewer system. A water main connection fee is not required. All other City Permit Fees shall be paid by the Owner as required by City Ordinance. SECTION 2. PLANS AND PERMITS. 2.1 The Project Team must obtain and submit to the City copies of all applicable permits necessary for the Project prior to commencing work. 2.2 The Project Team must submit to the City final design plans for the Project prior to commencing work. The City will review and approve such plans before work on the Project commences. If such plans are not approved, City will provide feedback regarding the modifications necessary for approval. SECTION 3. SECURITIES AND INSPECTION FEES. 3.1 A member of the Project Team must obtain a construction bond or other suitable security for one hundred ten percent (110%) of the estimated total construction cost of the infrastructure within right-of-way. 3.2 After the Project is deemed substantially complete by City, the Owner ora member of the Project Team must obtain a maintenance bond or other acceptable security for twenty-five percent (25%) of the estimated total construction cost of the Project. The Owner or a member of the Project Team must maintain this maintenance bond for two (2) years after date that the City Council accepts the completed Project, except as specified in Section 4.3 below SECTION 4. INSPECTIONS AND ACCEPTANCE. 4.1 The City will inspect any yet to be constructed public Project improvements throughout its implementation and at its completion to ensure compliance with the approved plans and specifications. The Owner must pay to the City an inspection fee in the amount of three percent (3%) of the estimated construction cost for the yet to be constructed City streets and infrastructure improvements therein only. 4.2 The City will conduct a periodic inspection of the completed sections of the public Project infrastructure. As individual sections of the public Project infrastructure are inspected and deemed substantially complete, the securities required can be reduced as detailed in Section 3.2 above. If the inspection establishes that the public Project infrastructure has been completed in accordance with the approved plans and City requirements and specifications, the Project will be accepted by City Council. 4 4864-1238-6628\9 4.3 Previously Installed Public Improvements. The Project Team, at Owner's cost, shall be responsible for meeting all requirements (including repairs and maintenance) for any existing improvements installed prior to the date of this Agreement that are to be dedicated to the City for ownership and maintenance. This responsibility, which is guaranteed by the Owner, shall continue from the date of this Agreement until the last certificate of occupancy is issued for the Project. City reserves the right to add any testing requirements for acceptance of improvements as it deems reasonably necessary. All reporting, documentation, and testing requirements will be to the exclusive and reasonable satisfaction of City. Notwithstanding the foregoing, the City shall not require any repairs, improvements, or replacements for any existing improvements which: (a) were previously approved by the City and are in good working order; and (b) are not reasonably required for the overall operation of the system for which such improvement is a part. SECTION 5. DEDICATION OF STREET RIGHT OF WAY, EASEMENTS, AND STORM WATER DETENTION BASIN PROPERTY. 5.1 The Owner must provide the dedication of street right of way of Plaza Drive and utilities therein, Plaza Court, and North Plaza Loop by Acquisition Plat or final subdivision plat as shown on the Preliminary Plat. The Owner is responsible for acquiring consent from any other owners in interest, if applicable. Method of conveyance shall be by quitclaim deed. The Owner shall provide a quitclaim deed document in a format acceptable to City. 5.2 The Owner must provide the dedication of Utility Easements and Drainage Easements (as deemed necessary by City) by Grant of Easement as initially shown on the Preliminary Plat. The Owner is responsible for acquiring consent from any other owners in interest, if applicable. 5.3 The Owner shall convey Lot B of Asbury Plaza No. 22 to City for a storm water detention basin. Method of conveyance shall be by quitclaim deed. The Owner shall provide a quitclaim deed document in a format acceptable to City. 5.4 The Owner shall provide to City, a current title and lien search for all property to be dedicated or conveyed to City as right of way, easement, or storm water detention basin lot. Property to be dedicated or conveyed will be free and clear of all liens, mortgages, security interests, and encumbrances. 5.5 The Owner shall be solely responsible for the acquisition and provision of the dedication of all necessary street and cul-de-sac right of ways, utility and other easements, and storm water detention basin lots in the Site and on the adjacent private properties owned currently owned by Mr. Roger Cherland. The provisions of this Section 5.5 shall become null and void upon the occurrence of each of the following: (a) the recording of the final plat of the Property; (b) the filing and acceptance of this Agreement by the City; and (c) the right of way, utility Easement and Drainage Easements, the storm S 4864-1238-6628\9 water detention basis Lot B, and other easements as shown on the final plat have been dedicated to the City. SECTION 6. SITE IMPROVEMENTS 6.1 The Owner shall execute its written acceptance of the attached conditions and further agree: (a) Plaza Drive, Plaza Court, and North Plaza Loop to receive final lift of Bituminous pavement with repair of broken curb and gutter, and temporary cul-de- sac to receive bituminous without curb and gutter, all in accordance with the City's standard specifications in a manner acceptable to the City Engineer, in conformance with construction improvement plans approved by the City Engineer, and inspected and approved by the City Engineer. The Project Team, at Owner's cost, shall be responsible for providing all inspection reports and testing of any previously installed improvements as identified by City and acceptable to the Project Team's Engineer to be dedicated to the City for ownership and maintenance, including but not limited to, pavement cores, core strength testing, soil borings, utility pressure testing, mandrel testing, and televising. All testing requirements will be to the exclusive satisfaction of City in order to determine if existing improvements meet current City standards for ownership and maintenance of existing/previously installed improvements. Temporary Cul-De-Sac. That the Owner must maintain the temporary cul-de- sacs on Plaza Drive, Plaza Court, and North Plaza Loop, except for snow removal and deicing, until such time as the development of the adjacent property (Subdivision and development of Lot 2 of Asbury Plaza No 21) of the subdivision begins or Owner designs and constructs permanent cul-de-sac improvements to current City standards and dedicates said improvements and an appropriate right of way to the City. (b) To install sanitary sewer mains and sewer service laterals into each individual lot, water mains and water service laterals into each individual lot, storm water detention basins, storm sewers and catch basins, street lighting, fiber optic conduit and vaults, and erosion control devices all in accordance with the City's standard specifications in a manner acceptable to the City Engineer, and in accordance with construction improvement plans approved by the City Engineer, and inspected and approved by the City Engineer. (c) To construct accessible sidewalk ramps at each public street intersection and street crossings in accordance with the City's standards and specifications, all in a manner acceptable to the City Engineer, and in accordance with the construction improvement plans approved by the City Engineer, and inspected and approved by the City Engineer. (d) The Owner shall construct accessible concrete sidewalk across Lot B of Asbury Plaza No. 22 along the frontage of Plaza Drive in accordance with the City's 6 4864-1238-6628\9 standards and specifications, all in a manner acceptable to the City Engineer, and in accordance with the construction improvement plans approved by the City Engineer after 80% of the buildings related to the Project receive a certificate of occupancy. (e) To construct the improvements outlined in (a), (b), (c), and (d), above within two years from the date of acceptance of this resolution, at the sole expense of the Owner, or future owner. Time extensions may be granted with approval from City Council. The Owner shall dedicate the public improvements to City for ownership and maintenance. (f) To maintain the public improvements outlined in (a), (b), (c) and (d) above for a period of two (2) years (see Section 4.3) from the date of the acceptance of those improvements by the City Council of the City, at the sole final expense of the Owner, or future owner, except as specified in Section 4.3 herein. (g) To provide security for the performance of the foregoing conditions specified in this Section in such form and with such sureties, bonds, or guarantees, as may be reasonably acceptable to the City Manager of the City. Notwithstanding the foregoing, the City agrees to the general terms for the condition of the bond as set forth in Exhibit 3 hereto. (h) That sidewalk installation shall be the responsibility of each lot owner for each lot abutting the public rights -of -way, including lots with multiple frontages, as required by City Code Chapter 10-1-2 (Sidewalk Installation and Repair). (i) That the Owner must construct and maintain erosion and sediment control devices on the Site which minimize erosion and prevent sediment from leaving the Site. The Owner shall also be responsible for maintenance of the detention facility in Lot B of Asbury Plaza No. 22 1 until 80% of the lots in the Site area, which drain into said detention facility, have been fully developed and adequate erosion control measures, as approved by the City Engineer, have been installed on the remaining 20% of said lots. Maintenance of the detention facility and Lot B of Asbury Plaza No. 22 shall include general property maintenance, removal of sediment and other debris caused by construction activities on the Site, and reshaping and reseeding of disturbed areas. After said 80% lots on the Site are developed and the detention facility is found to be in general conformance with the improvement plans, inspection, administration, and maintenance expenses incurred by the City for the storm water detention facility on Lot B of Asbury Plaza No. 22 shall be assessed against the benefiting property owners, except the City, in Fox Hills Addition, as indicated on the preliminary plats thereof, in equal amounts. The City Manager shall certify such costs to the City Clerk, who in turn shall promptly certify such costs to the Dubuque County Treasurer, and such costs shall then be collected with and in the same manner as general property taxes in accordance with provisions of law. 7 4864-1238-6628\9 (j) The Project Team and/or the Project 's contractor will not be responsible for or warranty trees or other plant materials selected or planted by others. Notwithstanding the foregoing, the planting of street trees shall be coordinated with the City's Urban Forester. The tree(s) will be planted by the Project Team at the Owner's expense. Any tree(s) planted within the street right-of-way (including location and species) must be approved by the City's Urban Forester. (k) That the final acceptance of the public improvements shall only occur upon certification of the City Engineer to the City Council that the public improvements have been completed in accordance with the approved improvement plans and City standards and specifications and accepted by City Council Resolution. (I) That in the event the Owner or a member of the Project Team fails to furnish the securities and inspection fees provided hereof within 180 days after the date of the signing of the final subdivision plat and plans resolution, the provisions hereof shall be null and void. SECTION 7. INSURANCE AND INDEMNIFICATION. 7.1 The Owner agrees to hold harmless and indemnify City, and its officers, agents and employees, against any and all claims, actions, demands, losses, liabilities or legal expenses that may arise on account of injury to any person or damage to any property occurring in connection with the Project. This indemnification includes, but is not limited to, any liability or obligation of the City arising from any claim by the Project Team or any person, firm, or corporation providing services for the Project Team in connection with the Project. 7.2 At all times during the Project, from commencement of work to acceptance by the City of the Project, any contractors or subcontractors hired by the Project Team to perform work on the Project must comply with the insurance requirements set forth in the Insurance Schedule A, attached as Exhibit 2. SECTION 8. MISCELLANEOUS. 8.1 This Agreement may not be assigned without the prior written permission of the City. Such written approval will not be unreasonably withheld. 8.2 This Agreement represents the entire agreement between the parties. For purposes of this Agreement, "Force Majeure" means any cause which is beyond the non -performing party's reasonable control which prevents such non -performing party from performing any 9 4864-1238-6628\9 of its obligations, including, but not limited to: any Act of God; fire, casualty, flood, earthquake, ice storms, snow storms, or other sever weather events; epidemic or pandemic (including the COVID-19 pandemic); explosions, war, terrorist acts, insurrection, riots, or other civil unrest; national or regional emergency; a governmental authority's failure to timely act; inability to obtain personnel, equipment, material, or other supplies due to strike, lockout, work stoppage, embargos, blockages, shortages, supply chain issues, or any law, order, regulation, direction, action, or request of any civil or military governmental authority. 8.11 To the extent the City is required to do so by law or to satisfy its obligations hereunder, the City shall take such actions as may be required from time to time to appropriate funds pursuant to applicable law to satisfy its obligations under this Agreement. SECTION 9. COVENANTS OF PROJECT TEAM. 9.1. Operation of The Project Housing Choice Vouchers. For and in consideration of the conditions offered under Section 1 of this Agreement, during the operation of the Project and Site as a rental residential property, the Owner shall accept, or cause to be accepted, applications from prospective tenants with Housing Choice Vouchers (issued under the U.S. HUD 's Section 8 Housing Choice Voucher program or a similar program) that are otherwise qualified prospective tenants. 9.2. Real Property Taxes. The Owner shall pay or cause to be paid, when due, all real property taxes and assessments payable with respect to all and any parts of the Project or Site. 9.3. No Other Exemptions. Until the termination of any grants received by the Owner from the City prior to the date of this Agreement, the Owner, as a grant recipient, agrees not to apply for any state or local property tax exemptions, except for an application for urban revitalization tax abatement under Iowa Code Chapter 404 and 427, which are available with respect to the Project or the minimum improvements located thereon that may now be, or hereafter become, available under state law or city ordinance during the term of this Agreement. 9.4. Non -Discrimination. In carrying out the Project, the Project Team shall not discriminate against any employee or applicant for employment or tenant because of race, creed, color, sex, national origin, familial status, religion, age, disability, marital status, sexual orientation, or gender identity. E LE uL EXHIBIT 2 INSURANCE SCHEDULE A [SEE ATTACHED] 16 4864-1238-6628\9 City of Dubuque Insurance Requirements for Lessees of City Property and Right of Way Licensees or Permittees INSURANCE SCHEDULE A 1. Lessee shall furnish a signed certificate of insurance to the City of Dubuque, Iowa for the coverage required in Exhibit I prior to the lease, license, or permit commencement. All lessees of City property and right of way licensees or permittees shall submit an updated certificate annually. Each certificate shall be prepared on the most current ACORD form approved by the Iowa Insurance Division or an equivalent. Each certificate shall include a statement under Description of Operations as to why the certificate was issued. Lease Agreement dated 2. All policies of insurance required hereunder shall be with an insurer authorized to do business in Iowa and all insurers shall have a rating of A or better in the current A.M. Best's Rating Guide. 3. Each certificate shall be furnished to the Finance Department of the City of Dubuque. 4. The lessee, licensee, or permittee shall be required to carry the minimum coverage/limits, or greater if required by law or other legal agreement, in Exhibit I. Failure to provide the required minimum coverage shall not be deemed a waiver of such requirements by the City of Dubuque. 5. Failure to obtain or maintain the required insurance shall be considered a material breach of the lease, license, or permit. 6. All required endorsements shall be attached to the certificate. The certificate is due before the contract/agreement can be approved. 7. Whenever a specific ISO form is referenced the current edition of the form must be used unless an equivalent form is approved by the Director of Finance and Budget. The lessee, licensee, or permittee must identify and list in writing all deviations and exclusions from the ISO form. 8. If lessee's, licensee's, or permittee's limits of liability are higher than the required minimum limits then the lessee's, licensee's, or permittee's limits shall be this agreement's required limits. 9. Lessee, licensee, or permittee shall require all subcontractors and sub -subcontractors to obtain and maintain during the performance of work insurance for the coverages described in this Insurance Schedule and shall obtain certificates of insurance from all such subcontractors and sub -subcontractors. Lessee, licensee, or permittee agrees that it shall be liable for the failure of a subcontractor and sub -subcontractor to obtain and maintain such coverage. The City may request a copy of such certificates from the lessee, licensee, or permittee. 10. Lessee, license & permittees shall be responsible for deductibles and self -insured retention and for payment of all policy premiums and other costs associated with the insurance policies required below. 11. All certificates of insurance must include agents name, phone number and email address. 12. The City of Dubuque reserves the right to require complete, certified copies of all required insurance policies, including endorsements, required by this Schedule at any time. 13. The City of Dubuque reserves the right to modify these requirements, including limits, based on changes in the risk or other special circumstances during the term of the agreement, subject to mutual agreement of the parties. If you would like to preserve those immunities, please use this endorsement or an equivalent form. PRESERVATION OF GOVERNMENTAL IMMUNITIES ENDORSEMENT 1. Nonwaiver of Governmental Immunity. The insurer expressly agrees and states that the purchase of this policy and the including of the City of Dubuque, Iowa as an Additional Insured does not waive any of the defenses of governmental immunity available to the City of Dubuque, Iowa under Code of Iowa Section 670.4 as it is now exists and as it may be amended from time to time. 2. Claims Coverage. The insurer further agrees that this policy of insurance shall cover only those claims not subject to the defense of governmental immunity under the Code of Iowa Section 670.4 as it now exists and as it may be amended from time to time. Those claims not subject to Code of Iowa Section 670.4 shall be covered by the terms and conditions of this insurance policy. 3. Assertion of Government Immunit. The City of Dubuque, Iowa shall be responsible for asserting any defense of governmental immunity, and may do so at any time and shall do so upon the timely written request of the insurer. 4. Non -Denial of Coverage. The insurer shall not deny coverage under this policy and the insurer shall not deny any of the rights and benefits accruing to the City of Dubuque, Iowa under this policy for reasons of governmental immunity unless and until a court of competent jurisdiction has ruled in favor of the defense(s) of governmental immunity asserted by the City of Dubuque, Iowa. No Other Change in Policy. The above preservation of governmental immunities shall not otherwise change or alter the coverage available under the policy. PERFORMANCE: The Contractor shall well and faithfully observe, perform, fulfill, and abide by each and every covenant, condition, and part of said Contract and Contract Documents, by reference made a part hereof, for the project, and shall indemnify and save harmless the Owner from all outlay and expense incurred by the Owner by reason of the Contractor's default of failure to perform as required. The Contractor shall also be responsible for the default or failure to perform as required under the Contract and Contract Documents by all its subcontractors, suppliers, agents, or employees furnishing materials or providing labor in the performance of the Contract. 2. PAYMENT: The Contractor and the Surety on this Bond hereby agreed to pay all just claims submitted by persons, firms, subcontractors, and corporations furnishing materials for or performing labor in the performance of the Contract on account of which this Bond is given, including but not limited to claims for all amounts due for labor, materials, lubricants, oil, gasoline, repairs on machinery, equipment, and tools, consumed or used by the Contractor or any subcontractor, wherein the same are not satisfied out of the portion of the contract price the Owner is required to retain until completion of the improvement, but the Contractor and Surety shall not be liable to said persons, firms, or corporations unless the Page 2 of 5 claims of said claimants against said portion of the contract price shall have been established as provided by law. The Contractor and Surety hereby bind themselves to the obligations and conditions set forth in Chapter 573 of the Iowa Code, which by this reference is made a part hereof as though fully set out herein. 3. MAINTENANCE: The Contractor and the Surety on this Bond hereby agree, at their own expense: A. To remedy any and all defects that may develop in or result from work to be performed under the Contract Documents within the period of two (2) year(s) from the date of acceptance of the work under the Contract, by reason of defects in workmanship, equipment installed, or materials used in construction of said work; B. To keep all work in continuous good repair; and C. To pay the Owner's reasonable costs of monitoring and inspection to assure that any defects are remedied, and to repay the Owner all outlay and expense incurred as a result of Contractor's and Surety's failure to remedy any defect as required by this section. Contractor's and Surety's Contract herein made extends to defects in workmanship or materials not discovered or known to the Owner at the time such work was accepted. 4. GENERAL: Every Surety on this Bond shall be deemed and held bound, any contract to the contrary notwithstanding, to the following provisions: A. To consent without notice to any extension of time authorized in approved change orders to the Contractor in which to perform the Contract; B. To consent without notice to any change in the Contract or Contract Documents, authorized in approved change orders which thereby increases the total contract price and the penal sum of this Bond, provided that all such changes do not, in the aggregate, involve an increase of more than twenty percent (20%) of the total contract price, and that this Bond shall then be released as to such excess increase; C. To consent without notice that this Bond shall remain in full force and effect until the Contract is completed, whether completed within the specified contract period, within an extension thereof, or within a period of time after the contract period has elapsed and the liquidated damage penalty is being charged against the Contractor. Page 3 of 5 The Contractor and every Surety on the Bond shall be deemed and held bound, any contract to the contrary notwithstanding, to the following provisions: D. That no provision of this Bond or of any other contract shall be valid that limits to less than five (5) years after the acceptance of the work under the Contract the right to sue on this Bond. E. That as used herein, the phrase "all outlay and expense" is not to be limited in any way, but shall include the actual and reasonable costs and expenses incurred by the Owner including interest, benefits, and overhead where applicable. Accordingly, "all outlay and expense" would include but not be limited to all contract or employee expense, all equipment usage or rental, materials, testing, outside experts, attorney's fees (including overhead expenses of the Owner's staff attorneys), and all costs and expenses of litigation as they are incurred by the Owner. It is intended the Contractor and Surety will defend and indemnify the Owner on all claims made against the Owner on account of Contractor's failure to perform as required in the Contract and Contract Documents, that all agreements and promises set forth in the Contract and Contract Documents, in approved change orders, and in this Bond will be fulfilled, and that the Owner will be fully indemnified so that it will be put into the position it would have been in had the Contract been performed in the first instance as required. In the event the Owner incurs any "outlay and expense" in defending itself against any claim as to which the Contractor or Surety should have provided the defense, or in the enforcement of the promises given by the Contractor in the Contract, Contract Documents, or approved change orders, or in the enforcement of the promises given by the Contractor and Surety in this Bond, the Contractor and Surety agree that they will make the Owner whole for all such outlay and expense, provided that the Surety's obligation under this Bond shall not exceed one hundred twenty-five percent (125%) of the penal sum of this Bond. In the event that any actions or proceedings are initiated regarding this Bond, the parties agree that the venue thereof shall be Dubuque County, State of Iowa. If legal action is required by the Owner to enforce the provisions of this Bond or to collect the monetary obligation incurring to the benefit of the Owner, the Contractor and the Surety agree, jointly, and severally, to pay the Owner all outlay and expense incurred therefor by the Owner. All rights, powers, and remedies of the Owner hereunder shall be cumulative and not alternative and shall be in addition to all rights, powers, and remedies given to the Owner, by law. The Owner may proceed against surety for any amount guaranteed hereunder whether action is brought against the Contractor or whether Contractor is joined in any such action(s) or not. NOW THEREFORE, the condition of this obligation is such that if said Principal shall faithfully perform all the promises of the Principal, as set forth and provided in the Contract, in the Contract Documents, and in this Bond, then this obligation shall be null and void, otherwise it shall remain in full force and effect. When a work, term, or phrase is used in this Bond, it shall be interpreted or construed first as defined in this Bond, the Contract, or the Contract Documents; second, if not defined in the Bond, Contract, or Contract Documents, it shall be interpreted or construed as defined in applicable provisions of the Iowa Code; third, if not defined in the Iowa Code, it shall be interpreted or Page 4 of 5 construed according to its generally accepted meaning in the construction industry; and fourth, if it has no generally accepted meaning in the construction industry, it shall be interpreted or construed according to its common or customary usage. Failure to specify or particularize shall not exclude terms or provisions not mentioned and shall not limit liability hereunder.
