lot and the building purchased by McCoy Group, Inc.
The McCoy Group, Inc. property is leased to an affiliate, MGI Leasing, Inc.
The parties have agreed to the language in the attached Easement Agreement.
Senior Counsel Barry Lindahl is recommending City Council approval of the Easement
Agreement with McGoy Group, Inc.

THE CITY OF DUBUQUE, IOWA
AND
MGI LEASING, INC.
This Easement Agreement (Agreement), dated for reference purposes the 'a./r� day of
, 2023, is made and entered into by and between the City of
Dubuque, Iowa (City), an Iowa municipal corporation, and MGI Leasing, Inc. (McCoy), an
Iowa corporation with its principal place of business in Dubuque, Iowa.
WHEREAS, City and McCoy have entered into a Development Agreement dated
for reference purposes the 20th day of June, 2023, pursuant to which City agrees to
convey Lot 2 of Lot 1 of Riverwalk Ninth Addition, in the City of Dubuque, Dubuque
County, Iowa according to the Survey Plat dated August 10, 2023 and filed as Document
Number 011138470007 on August 30, 2023 (hereinafter "Parking Property") to McCoy
and City and McCoy have agreed to grants to each other certain easements.
NOW, THEREFORE, it is agreed by and between the City and McCoy as follows:
1. CITY EASEMENTS. City hereby reserves unto itself the easements shown on
Exhibit A attached hereto.
(1) Except as provided in Sections (2) and (4) below, any required
maintenance, repair and/or replacement of the Parking Property shall be
performed by Developer or its Affiliates, except to the extent any maintenance,
repair or replacement was the result of damages caused by the public's use of the
Parking Property during Public Parking Hours, normal wear and tear excepted.
(2) City shall be responsible for the following maintenance obligations with
respect to the Parking Property, the easement areas shown in Exhibit "A" and
adjacent City-owned sidewalks:
a. Snow removal and de-icing;

b. Maintenance of the lawn sprinkler system;
c. Landscaping and replacing bushes, trees, grass, or other landscaping
materials etc., as needed; �
d. Lighting and lighting repair and maintenance; ;
e. Parking lot spring clean-up; and '
f. Monthly parking lot sweeping during non-winter months.
(3) The 6.5' wide Sidewalk and Pedestrian Easement in the Parking Property and the
Sidewalk and Pedestrian Access Easement in Lot 1 of Lot 1 of Riverwalk 6tn
Addition reserved to the City in Exhibit "A" shall terminate if and when McCoy '
develops the Parking Property. McCoy shall have the right to move and/or relocate
any utilities located within the utility easements reserved by the City in the Parking
Property at McCoy's expense.
(4) City reserves an easement to own, operate and maintain and repair and replace
at City's sole expense, the existing utilities shown on exhibit A, specifically: '
a. Light poles '
b. Storm catch basins, manholes, and underground storm sewer
c. Irrigation valves, controls, and underground water lines
d. Telephone pedestals and underground telecom cables
e. Underground electric cables
(5) The City and McCoy agree that the easement for existing utilities reserved in i
Section (4) above are limited to the actual locations of such existing utilifiies on
the Parking Property, notwithstanding the language "reserved over the entirety of '
Lot 2-1" as used in the Plat of Survey Lot 1-1 and Lot 2-1 of Riverwalk Ninth
Addition, in the City of Dubuque filed as Instrument#2023-8289 on August 30,
2023 with the Dubuque County Recorder.
2. MCCOY EASEMENTS.
(1) No-Build Easement. City grants to McCoy a No-Build Easement as shown
on Exhibit B. City may not construct any building(s) on the property in the area
shown on Exhibit B which shall be preserved as green space without the express
written consent of Developer or its Affiliate.
(2) Sidewalk & Private Utilities Easement, Sanitary Sewer Easement, Window
& Frame Easement and Canopy Easement. City grants to McCoy an exclusive
Sidewalk & Private Ufiilities Easement, Sanitary Sewer Easement, Window &
Frame Easement and Canopy Easement shown on Exhibit C.
3. INDEMNITY. To the fullest extent permitted by law, City and McCoy shall indemnify
and hold harmless each other from and against all claims, damages, losses and
expenses, including but not limited to attorneys' fees, arising out of or resulting from their
respective use of the of the Easement Areas, provided that such claim, damages, loss or '

expense is attributable to bodily injury, sickness, disease or death, or injury to or
destruction of property including loss of use resulting there from, but only to the extent
caused in whole or in part by negligent acts or omissions of City or McCoy respectively,
and their contractors, subcontractors, or anyone directly or indirectly employed by City or
McCoy or anyone for whose acts City or McCoy subcontractor may be liable, regardless
of whether or not such claim, damage, loss or expense is caused in part by a party
indemnified hereunder.
