sixteenth (16th) amendment to the existing Master Shared Services Agreement with
ImOn Communications which would define pricing for services provided under the
Agreement.

INTRODUCTION.
The purpose of this memo is to request approval of a sixteenth (16t") amendment to the
existing Master Shared Services Agreement with ImOn Communications which would
define pricing for services provided under the Agreement.

In 2016 the City of Dubuque undertook its Broadband Acceleration Initiative. The
Initiative focuses on public/private collaborations and includes a comprehensive
strategy to reduce the cost and time required for broadband expansions in Dubuque.
One effort within that strategy is the use of "Master Agreements", where an overall legal,
structural, and financial relationship is established between the City and broadband
providers and approved by Dubuque City Council. Project Statements carried out
pursuant to that Master Agreement can then be quickly considered and approved.
In 2017 the City of Dubuque and ImOn entered into a Master Co -location and Shared
Services Agreement to accelerate the deployment of new broadband capacity in
Dubuque. All project statements under that collaboration have gone well and all
anticipated value to the City has or is being received.
DISCUSSION.
As part of the original Master Agreement with the City, ImOn agreed to set pricing for
services provided to the City as part of approved project statements. This pricing, which
is pre -approved by City staff, reduces the administrative burden for both Parties and
assures that over -charges do not occur. The proposed amendment would further define
certain services and establish set pricing for those services. For example, under the
agreement the cost to City for ImOn installing a conduit for the City as part of a joint or
collaborative underground bore project statement would be set at $5.00 per linear foot.
Other services added would include setting handholds and cost sharing on solid or
cobble rock boring.
BUDGET IMPACT.
There is no negative budgetary impact to the City with the approval of this amendment.
The amendment will make it easier and consistent for the City to monitor and control
any costs associated with joint activities undertaken with this carrier.
RECOMMENDATION AND ACTION REQUESTED.
This proposed amendment supports Dubuque's Broadband Acceleration Initiative and
improves and controls costs within public/private collaborations undertaken to expand
and enhance broadband services in the community. We would respectfully request
your consideration and recommendation for approval to the City Council.

16th Amendment to Master Co -location and Shared Services Agreement between
ImOn Communications and City of Dubuque
Pursuant to the Master Co -locations and Shared Services Agreement between City of Dubuque
and ImOn Communications, dated October 10, 2017, and attached hereto, the Parties hereby
agree to the following amendment:
Exhibit 7 shall be amended to include the following:
Additionally, ImOn rates for services provided pursuant to this Agreement shall
not exceed the following:
• For conduit installed for the City when pursuant to a joint bore
agreement: $5.00 per linear foot.
• For 7-way duct installed for the City when pursuant to a joint bore
agreement: $4.50 per linear foot.
• For conduit installed for the City when not pursuant to a joint bore
agreement: $14.25 per linear foot.
• For setting an R 900 handhold for the City: $500 per handhold
• For a solid rock boring when pursuant to a joint bore agreement:
per linear foot.
• For a solid rock boring when not pursuant to a joint bore
agreement: $71.25 per linear foot.
• For a cobble rock boring when pursuant to a joint bore agreement
per linear foot.
• For a cobble rock boring when not pursuant to a joint bore
agreement: $16.00 per linear foot.

The City will provide the material (i.e. conduit, duct, handholes) unless the City
requests ImOn to provide it. If ImOn provides the material the City will be charged
current market rates.
