Community Solutions of Eastern lowa in the amount of $13,000 to ensure Community Solutions of Eastern lowa can continue to provide and answer the homeless hotline. 2. Four Mounds Heart Program in the amount of$10,000 to provide youth education where participants experience hands-on learning while promoting neighborhood revitalization and earning a high school diploma. 3. Hawkeye Area Community Action Program in the amount of$70,000 to provide Volunteer Income Tax Assistance (VITA) program, a free, reliable, and trusted source for preparing tax returns for eligible individuals and families. All of the above agreements also have the following reporting requirements: 1. Progress reports will be submitted. 2. Reports will be submitted using a form on the City's website 3. Reports will include equity and inclusion reporting. 4. Audit reports are due within 60 days of audit completion. Prepared by: Mary Bridget Corken-Deutsch, Community Development Specialist Page 177 of 2490 AGREEMENT BETWEEN THE CITY OF DUBUQUE, IOWA AND COMMUNITY SOLUTIONS OF EASTERN IOWA THIS AGREEMENT dated for reference purposes the 2nd day of June 2025, is made and entered into by and between the City of Dubuque, lowa (City) and Community Solutions of Eastern lowa (Agency). WHEREAS, the City desires to engage the services to ensure Community Solutions of Eastern lowa can continue to provide and answer the homeless hotline; and WHEREAS, the Agency is willing to provide such services to the City upon the terms and conditions set forth herein. NOW THEREFORE, the parties hereto agree as follows: 1. Scope of Services Agency shall: a) further the City of Dubuque Goal of Livable Neighborhoods and Housing: Great Place to Live; b) ensure Community Solutions of Eastern lowa can continue to provide and answer the homeless hotline; c) comply with City Council goals and priorities; and d) support the City's efforts to be a viable, livable, and equitable community, and to advance equity and inclusion. 2. City Responsibilities The City designates its Community Development Specialist, to act as its representative with respect to the work to be performed under this Agreement, and such person shall have authority to transmit instructions, receive information, interpret and define the City's policies, and provide decisions in a timely manner pertinent to the work covered by this Agreement. The City's Community Development Specialist shall serve in this role until Agency has been advised in writing by City that such authority has been revoked. City will provide opportunities to demonstrate this support by inviting the President of the Board of the Agency and any volunteers working on services covered by this Agreement to participate in the following professional development opportunities and supporting activities: a) The opportunity to be active and engaged participants in Inclusive Dubuque peer learning opportunities and strategic efforts to advance Diversity, Equity, and Inclusion; b) The opportunity to attend intercultural and equity workshops offered by the City, including trainings that focus on developing an intercultural team with a strategic plan for advancing equity and inclusion within the Agency and through the Agency's work; Page 1 of 9 Page 178 of 2490 c) Assistance in creating quarterly status reports that demonstrate the ways in which the Agency's efforts are advancing equity and inclusion; and d) Access to the City's equity toolkit and SMART Goals Worksheet. 3. Time of PerFormance The term of this Agreement shall be from July 1, 2024 through June 30, 2025 (the "Term"). 4. Compensation The City shall pay the Agency $13,000 as compensation for the services provided by the Agency, which payment shall constitute full and complete compensation for such services. The compensation shall be paid upon receipt by the City of a requisition for such sum from the Agency. 5. Audit and Evaluation Inasmuch as the funds to be provided to the Agency by the City are public funds, the Agency agrees that it will maintain books of account in accordance with generally accepted accounting standards together with necessary documentation to support all expenditures. The records of the Agency, including payroll accounts and other records of disbursements and receipts, and other records relating to the performance of the activities herein specified, shall be made available for inspection by the City or any certified public accountant acting on its behalf, in order to ascertain performance and compliance of the Agency under this Agreement. The Agency agrees to retain such records for not less than three (3) years after the end of the Term of this Agreement. 6. Reportinq and Monitorinq Agency shall comply with the City of Dubuque's reporting and monitoring requirements by using the following link to submit online reports detailing Agency activities related to the use of City funds provided to Agency. The online reports shall include a perFormance report on the program(s) supported by City funds and a financial report on the use of City funds. If the Agency has an annual audit perFormed, the Agency shall provide the City a copy of the annual audit report within 60 days of audit completion. The audit shall be submitted as either an electronic or paper document to the City's Community Development Specialist. 8. Discrimination In carrying out the services under this Agreement, Agency shall not discriminate against any employee or applicant for employment because of race, creed, color, sex, age, national origin, religion, sexual orientation, gender identity, or disability. Agency shall take affirmative action to ensure that applicants for employment are employed and that employees are treated during employment without regard to race, creed, color, sex, age, national origin, religion, sexual orientation, gender identity, or disability. Such action shall Page 2 of 9 Page 179 of 2490 include, but not be limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. Agency assures that all qualified applicants will receive consideration for employment without regard to race, creed, color, sex, age, national origin, religion, sexual orientation, gender identity or disability. Agency agrees and will undertake whatever affirmative measures are necessary so that no person shall be excluded from participation in, be denied the benefits of, nor be subjected to discrimination under any program or activities funded in whole or in part with any of the funds made available to Agency under the terms of this Agreement because of race, color, creed, religion, sex, national origin, age, sexual orientation, gender identity or disability. 9. Termination of Aqreement If, through any cause, the Agency shall fail to fulfill in a timely and proper manner its obligations under this Agreement, or if the Agency shall violate any of the covenants, agreements, or stipulations of this Agreement, the City shall thereupon have the right to terminate this Agreement by giving written notice thereof to the Agency and specifying the effective date of termination, which shall be not less than seven days from the date of the City's written notice to the Agency. If the Agency shall fail to cure its default to the satisfaction of the City, in the City's sole and absolute discretion, within such seven-day period, this Agreement shall be deemed terminated at the end of such seven-day period without further action of either party. Upon termination of this Agreement, the Agency shall immediately return to the City all unexpended funds and any funds utilized for purposes other than stated in this Agreement. 10. Assiqnabilitv The Agency shall not assign or transfer any interest in this Agreement without the prior written approval of the City. 11. Acknowledqement The Agency will acknowledge the City's financial support in appropriate signage, program materials, publicity, advertising activities, websites, and other online media pertaining to this Agreement and the work performed with funds from this Agreement. Recognition guidelines are located at: https://www.cityofdubuque.org/2805/Funding-Recoqnition. The Agency will provide evidence of such acknowledgement as an addendum to the Final Report. 12. Conflict of Interest No member, officer, or employee of the City, its designees, or its agents, nor any member of the Dubuque City Council nor other public official of the City who exercises any function or responsibility with respect to the program assisted under this Agreement during such person's tenure, may have any direct or indirect interest in this Agreement, the proceeds Page 3 of 9 Page 180 of 2490 from this Agreement, or work perFormed in connection with the program assisted under this Agreement. 13. Insurance At the time of execution of this Agreement by Agency, Agency shall provide City copies of Agency's insurance certificates showing compliance with the insurance requirements of Insurance Schedule G, included as Attachment A. 14. Miscellaneous 14.1 Forbearance Not a Waiver; Rights and Remedies Cumulative. No delay by the City in exercising any right or remedy provided herein, or otherwise afforded by law or in equity, shall be deemed a waiver or otherwise preclude the exercise of such right or remedy, and no waiver by the City of any particular provision of this Agreement shall be deemed effective unless in writing and signed by the City. All rights and remedies provided for herein or which the City may have otherwise, at law or in equity, shall be distinct, separate, and cumulative and may be exercised concurrently, independently, or successively in any order whatsoever, as often as the occasion therefor arises. 14.2 Severability. In the event any provision of this Agreement shall, for any reason, be held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, whether in whole or in part, the remaining provisions hereof shall not be affected thereby and shall continue to be valid and enforceable. If, for any reason, a court of competentjurisdiction finds that any provision of this Agreement is invalid, illegal, or unenforceable as written, but that by limiting such provision it would become valid, legal, and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 14.3 Successors and Assiqns Bound; Number; Gender; Agents; Captions and Headings. The rights, covenants, and agreements contained herein shall be binding upon and inure to the benefit of the respective legal representatives, successors, and permitted assigns of the parties. Words and phrases contained herein, including the acknowledgments hereof, shall be construed as in the singular or plural number, and as masculine, feminine, or neuter gender, according to the contexts. The captions and headings of the section and paragraphs of this Agreement are for convenience only and are not intended to be used to interpret or enforce the provisions hereof. 14.4 Governinq Law; Venue. This Agreement is entered into under and pursuant to, and is to be construed and enforced in accordance with, the laws of the State of lowa, without regard to its conflict of laws principles. Venue for any action arising out of this Agreement shall be in the lowa District Court for Dubuque County, lowa or the Federal District Court for the Northern District of lowa, Eastern Division, and the parties hereby irrevocably consent to the jurisdiction of such courts. 14.5 Counterparts; Facsimile and Electronic Signatures. This Agreement may be executed in counterparts, each of which shall constitute an original, and all of which together shall constitute one and the same document. This Agreement may be electronically executed by the parties and transmitted by facsimile or electronic transmission, and if so executed and transmitted, shall be effective as if the parties had delivered an executed original of this Agreement. Each person signing this Agreement hereby represents and warrants that they have the full legal right, power, and authority to enter into this Agreement on behalf of the party for whom they are signing and to cause such party to grant the rights and perform the obligations contained herein, and that no third -party consent or approval is required to grant such rights or perform such obligations. 14.7 Amendments. This Agreement may only be amended by a written instrument, duly signed by the parties hereto. 14.8 Indemnification. The Agency hereby releases the City and its governing body members, officers, agents, employees, and volunteers from any and all liability associated with implementation of this Agreement and agrees to indemnify and hold harmless the City and its governing body members, officers, agents, employees, and volunteers against any loss, damage, or claim of any nature whatsoever arising from this Agreement. 14.9 Notices. WHEREAS, the City desires to engage the service of Agency to provide youth education where participants experience hands-on learning while promoting neighborhood revitalization and earning a high school diploma; and WHEREAS, the Agency is willing to provide such services to the City upon the terms and conditions set forth herein. NOW THEREFORE, the parties hereto agree as follows: 1. Scope of Services Agency shall: a) further the City of Dubuque Goal of Livable Neighborhoods and Housing: Great Place to Live; b) provide youth education where participants experience hands-on learning while promoting neighborhood revitalization and earning a high school diploma; c) comply with City Council goals and priorities; and d) support the City's efforts to be a viable, livable, and equitable community, and to advance equity and inclusion. 2. City Responsibilities The City designates its Community Development Specialist, to act as its representative with respect to the work to be performed under this Agreement, and such person shall have authority to transmit instructions, receive information, interpret and define the City's policies, and provide decisions in a timely manner pertinent to the work covered by this Agreement. The City's Community Development Specialist shall serve in this role until Agency has been advised in writing by City that such authority has been revoked. City will provide opportunities to demonstrate this support by inviting the President of the Board of the Agency and any volunteers working on services covered by this Agreement to participate in the following professional development opportunities and supporting activities: a) The opportunity to be active and engaged participants in Inclusive Dubuque peer learning opportunities and strategic efforts to advance Diversity, Equity, and Inclusion; b) The opportunity to attend intercultural and equity workshops offered by the City, including trainings that focus on developing an intercultural team with a strategic plan for advancing equity and inclusion within the Agency and through the Agency's work; Page 1 of 9 Page 187 of 2490 c) Assistance in creating quarterly status reports that demonstrate the ways in which the Agency's efforts are advancing equity and inclusion; and d) Access to the City's equity toolkit and SMART Goals Worksheet. 3. Compensation The City shall pay the Agency $10,000 as compensation for the services provided by the Agency, which payment shall constitute full and complete compensation for such services. The compensation shall be paid upon receipt by the City of a requisition for such sum from the Agency. 5. Audit and Evaluation Inasmuch as the funds to be provided to the Agency by the City are public funds, the Agency agrees that it will maintain books of account in accordance with generally accepted accounting standards together with necessary documentation to support all expenditures. The records of the Agency, including payroll accounts and other records of disbursements and receipts, and other records relating to the performance of the activities herein specified, shall be made available for inspection by the City or any certified public accountant acting on its behalf, in order to ascertain performance and compliance of the Agency under this Agreement. The Agency agrees to retain such records for not less than three (3) years after the end of the Term of this Agreement. 6. Reportinq and Monitorinq Agency shall comply with the City of Dubuque's reporting and monitoring requirements by using the following link to submit online reports detailing Agency activities related to the use of City funds provided to Agency. The online reports shall include a perFormance report on the program(s) supported by City funds and a financial report on the use of City funds. If the Agency has an annual audit perFormed, the Agency shall provide the City a copy of the annual audit report within 60 days of audit completion. The audit shall be submitted as either an electronic or paper document to the City's Community Development Specialist. 8. Discrimination In carrying out the services under this Agreement, Agency shall not discriminate against any employee or applicant for employment because of race, creed, color, sex, age, national origin, religion, sexual orientation, gender identity, or disability. Agency shall take affirmative action to ensure that applicants for employment are employed and that employees are treated during employment without regard to race, creed, color, sex, age, national origin, religion, sexual orientation, gender identity, or disability. Termination of Aqreement If, through any cause, the Agency shall fail to fulfill in a timely and proper manner its obligations under this Agreement, or if the Agency shall violate any of the covenants, agreements, or stipulations of this Agreement, the City shall thereupon have the right to terminate this Agreement by giving written notice thereof to the Agency and specifying the effective date of termination, which shall be not less than seven days from the date of the City's written notice to the Agency. If the Agency shall fail to cure its default to the satisfaction of the City, in the City's sole and absolute discretion, within such seven-day period, this Agreement shall be deemed terminated at the end of such seven-day period without further action of either party. Upon termination of this Agreement, the Agency shall immediately return to the City all unexpended funds and any funds utilized for purposes other than stated in this Agreement. 10. Assiqnabilitv The Agency shall not assign or transfer any interest in this Agreement without the prior written approval of the City. 11. Acknowledqement The Agency will acknowledge the City's financial support in appropriate signage, program materials, publicity, advertising activities, websites, and other online media pertaining to this Agreement and the work performed with funds from this Agreement. Miscellaneous 14.1 Forbearance Not a Waiver; Rights and Remedies Cumulative. No delay by the City in exercising any right or remedy provided herein, or otherwise afforded by law or in equity, shall be deemed a waiver or otherwise preclude the exercise of such right or remedy, and no waiver by the City of any particular provision of this Agreement shall be deemed effective unless in writing and signed by the City. All rights and remedies provided for herein or which the City may have otherwise, at law or in equity, shall be distinct, separate, and cumulative and may be exercised concurrently, independently, or successively in any order whatsoever, as often as the occasion therefor arises. 14.2 Severability. In the event any provision of this Agreement shall, for any reason, be held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, whether in whole or in part, the remaining provisions hereof shall not be affected thereby and shall continue to be valid and enforceable. If, for any reason, a court of competentjurisdiction finds that any provision of this Agreement is invalid, illegal, or unenforceable as written, but that by limiting such provision it would become valid, legal, and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 14.3 Successors and Assiqns Bound; Number; Gender; Agents; Captions and Headings. The rights, covenants, and agreements contained herein shall be binding upon and inure to the benefit of the respective legal representatives, successors, and permitted assigns of the parties. Words and phrases contained herein, including the acknowledgments hereof, shall be construed as in the singular or plural number, and as masculine, feminine, or neuter gender, according to the contexts. The captions and headings of the section and paragraphs of this Agreement are for convenience only and are not intended to be used to interpret or enforce the provisions hereof. 14.4 Governinq Law; Venue. This Agreement is entered into under and pursuant to, and is to be construed and enforced in accordance with, the laws of the State of lowa, without regard to its conflict of laws principles. Venue for any action arising out of this Agreement shall be in the lowa District Court for Dubuque County, lowa or the Federal District Court for the Northern District of lowa, Eastern Division, and the parties hereby irrevocably consent to the jurisdiction of such courts. 14.5 Counterparts; Facsimile and Electronic Signatures. This Agreement may be executed in counterparts, each of which shall constitute an original, and all of which together shall constitute one and the same document. Termin_at�on ofi Agreeme_nt if, through any cause, the Agency shall fail to fulfill in a timely and proper manner i#s obligafiions under this Agreement, or if the Agency shall �iolate any of fihe co�enants, agreements, or stipulations of this Agreement, the City sha[I thereupon have the right to terminate this Agreement by �iving written notice thereaf to the Agency and specifying fhe effective date of terminatian, which shall be not less than se�en days fram the date of the City's written notice to the Agency. If the Agency shall fail to cure its defaul� to the satisfact�on of the City, in the Ci�y's soEe and absolute discretion, within such seven-day period, this Agreement shail be deemed terminafed at the end of such seven-day period withaut fur#her action af either party. Assiqnability The Agency shall not assign or transfer any interest in this Agreement withaut the prior written approval af t�e City. 11_ Acknow[edgement The Agency will acknowledge the City's financial sup�ort in apprapriate signage, program materials, publicity, advertising activities, websites, and other o�line media pertaining to this Agreement and the work performed with funds f�om this Agreement. Miscellaneous 14.1 Forbearar�ce No� a Waiver- Ri hts and Remedies Cumulati�e. No delay by the City in ex�rcising any right or r�medy pro�ided herein, or otherw�se afford�d by law or in equity, shall be deemed a wai�er or atherwise preclud� the exercise of suc� right or remedy, and no waiver by the City of any particular pro�isian of this Agreement shall be deemed effective unless in writing and signed by the City. The Agency hereby releases the City and its governing body members, officers, agents, employees, and volunteers from any and all liability associated with implementation of this Agreement and agrees to indemnify and hold harmless the City and its governing body members, officers, agents, employees, and volunteers against any loss, damage, or claim of any nature whatsoever arising from this Agreement. 14.9 Notices.
