Van Milligen, City Manager SUBJECT: Contract amendment for home advocacy and nursing services for HUD Lead and Healthy Homes grant DATE: August 26, 2025 Interim Housing & Community Development Director Sandi Fowler is recommending City Council approve the amendment and extension of the subcontract with Dubuque Visiting Nurses Association for services related to the HUD Lead and Healthy Homes grant for the period of performance now extended through November 30, 2025. In November 2022 the city contracted with the Dubuque Visiting Nurses Association (VNA) for services related to the HUD Lead and Healthy Homes grant for the performance period of September 1, 2022- March 30, 2025. The city requested and received an extension for the HUD Lead Hazard Control and Healthy Homes grant IALHBO773-21 period of performance from May 30, 2025, to November 30, 2025. In order to continue VNA services to the Lead and Healthy Homes grant program, the current VNA subcontract must be amended to extend through November 30, 2025. Several of VNA's Responsibilities are ongoing and must continue to align with the Lead and Healthy Homes Grant's Period of Performance. The State of Iowa recently passed House File 856 (HF856) amending Iowa Code Chapter 19, which places new legal parameters on the language, practices, and programming related to diversity, equity, and inclusion (DEI) within state and local government operations. In response to this legislation, necessary adjustments have been made to the contracts to ensure full compliance while maintaining our commitment to respectful, lawful, and effective public service. The attached redlined version of the expired contract shows the necessary changes to comply with HF856, and adds language to replace those changes. The first amendment document adds the new language and extends the period of the contract to November, 30, 2025. To date, $35,942 has been expended leaving a balance of $27,058. These services are paid out of the HUD grant IALHB0773-21. Expending the remaining $27,058 balance is important to meet the Lead and Healthy Homes grant benchmarks. RECOMMENDATION I respectfully request the City Council authorize the City Manager to sign the attached subcontract with the VNA. Service People Integrity Responsibility Innovation Teamwork Page 89 of 629 SUBCONTRACT BETWEEN THE CITY OF DUBUQUE, IOWA, AND THE DUBUQUE VISITING NURSE ASSOCIATION FOR THE HEALTHY HOMES AND CHILDHOOD LEAD POISONING PREVENTION PROGRAM This Subcontract between the City of Dubuque, Iowa and The Visiting Nurse Association (VNA) is dated for reference purposes the 3rd day of November, 2022. Whereas, the City has entered into a contract with the Department of Housing and Urban Development (HUD) for lead hazard reduction and Healthy Homes activities to improve the housing conditions for participating clients and property owners; and Whereas, the City of Dubuque, Iowa (City) is the Contract Administrator of the Contracts; and Whereas, it is necessary for City to subcontract for certain work and services; and Whereas, City now desires to enter into this Subcontract with the Visiting Nurse Association (VNA) to provide the work and services described herein upon the terms and conditions set forth herein. NOW, THEREFORE, IT IS AGREED BY AND BETWEEN CITY AND VNA AS FOLLOWS: SECTION 1. WORK AND SERVICES. City and VNA agree to provide the following work and services (the Work and Services): 1.1. City's Responsibilities. City agrees that it will provide the following services for the Healthy Homes and Childhood Lead Poisoning Prevention Program (HH & CLPPP): (1) Submit reports/vouchers and other reporting requirements as required by the Iowa Department of Public Health (IDPH), the Centers for Disease Control and Prevention (CDC), and the Department of Housing and Urban Development (HUD). (2) Provide for environmental investigations and environmental case management for lead abatement\lead hazard reduction and healthy homes interventions in housing units in the city of Dubuque, Iowa. (3) Provide compensation to the VNA during the term of this Agreement not to exceed $63,000 for the performances of VNA's responsibilities as set forth herein. (4) Oversee and direct medical case management, healthy homes remediation, blood lead screening, and educational/outreach activities through verbal and written direction. Page 90 of 629 1.2. VNA's Responsibilities. VNA agrees to provide the following services for Healthy Homes & Childhood Lead Poisoning Prevention Program (HH & CLPPP) during the term of this Agreement for the agreed compensation: (1) Provide written quarterly reports and billing on lead and healthy homes activities on a form approved by the City. (2) Provide electronic documentation of medical case management, home advocacy, community outreach and education, and related activities into the City's Geographic Information System (GIS) lead and healthy homes database systems, Healthy Homes and Lead Poisoning Surveillance System (HHLPSS), and other related data systems as required, and of educational activities performed for each month by the 10th of the following month. (3) Provide for blood lead testing, medical case management, data management, and community education per IDPH protocols for participants in the HUD and Lead Hazard Reduction Program. Community education will include but not be limited to new citizen engagement opportunities, community partnerships, and maintaining the Green and Healthy Homes Resource Coalition. (4) Provide for client files and Home Advocate activities as described in attachment #1. (5) Enrollment as a Medicaid provider so that elevated blood level (EBL) inspection services provided by the City can be recovered under Medicaid as reimbursement and used as program income reimbursed to the City. (6) City will provide opportunities to demonstrate this support by inviting the Executive Director of VNA and any employees working on services covered by this agreement to participate in the following professional development opportunities and supporting activities: Formatted: Indent: Left: 0.5", Hanging: 0.5", No bullets or numbering Formatted: No bullets or numbering Page 91 of 629 (A) The opportunity to be active and engaged participants in peer -learning opportunities and strategic efforts; (B)The opportunity to attend workshops offered or sponsored by City, including workshops that focus on developing teams and supporting organizational culture work with a focus for creating resiliency and promoting a sense of belonging within VNA and through VNA's work; and (C)Assistance in creating quarterly status reports that demonstrate the ways in which VNA's efforts are advancing the specific community -level outcomes forwhich VNA is provided funding. SECTION 2. CONTRACT POLICIES AND REQUIREMENTS. In providing the Work and Services, VNA agrees to comply with the requirements in the City Contract, including the Special Conditions, and the General Conditions, to the extent applicable to the Work and Services described in Section 1. SECTION 3. ACCESS TO BOOKS AND RECORDS. VNA to provide access, upon reasonable notice, for the purpose of audit and examination, to its documents, papers, and records, to the extent such documents, papers, and records are related to the Work and Services, to the City, or any of their duly authorized representatives. SECTION 4. COSTS TO BE REIMBURSED. Attached hereto is a line item CLLLP/HH Performance Measure budget of specific costs to be reimbursed under this Subcontract or other cost basis for determining the amount of the Subcontract. The Healthy Homes activities will be invoiced to the City for VNA hourly rate. SECTION 5. INCORPORATION OF THE CONTRACT. VNA agrees that all of the provisions of the City Contract, including audit requirements, are incorporated herein by this reference and VNA shall have all of the same requirements, obligations and conditions as City with respect to VNA's Work and Services. SECTION 6. PERIOD OF PERFORMANCE Unless terminated as provided herein, the Period of Performance for the Work and Services shall be from the 1 st day of September, through the 30th day of November 2025. SECTION 7. TERMINATION. Either party may terminate this Subcontract for any reason, with or without cause, upon ten (10) days written notice to the other party. In the event of termination, City shall compensate VNA for its Work and Services rendered through the Page 92 of 629 date of termination. SECTION 8 INDEMNIFICATION. (1) VNA agrees to defend, indemnify, and hold Department, City and Contractor, and their officers, and employees harmless from and against any and all claims of any kind arising out of or related to VNA's negligence in the performance of the Work and Services pursuant to this Subcontract. (2) City agrees to defend, indemnify, and hold VNA and its officers, and employees harmless from and against any and all claims of any kind arising out of or related to City's negligence in the performance of the Work and Services pursuant to this Subcontract. SECTION 9. INSURANCE. VNA shall at its expense maintain insurance in compliance with City Insurance Schedule G attached as Exhibit A. ECTION 10. DISCRIMINATION 10.1 In carrying the services under this Agreement, VNA shall not discriminate against any employee or applicant for employment because of age, color, familial status, gender identity, marital status, mental/physical disability, national origin, race, religion/creed, sex, or sexual orientation. VNA shall take affirmative action to ensure that applicants for employment are employed and that employees are treated during employment without regard to age, color, familial status, gender identity, marital status, mental/physical disability, national origin, race, religion/creed, sex, or sexual orientation. Such action shall include but not be limited to the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of Pay or other forms of compensation; and selection for training, including apprenticeship. 10.2 VNA agrees and will undertake whatever affirmative measures are necessary so that no person shall be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activities funded in whole or in part with any of the funds made available to VNA under the terms of this Agreement because of age, color, familial status, gender identity, marital status, mental/physical disability, national origin, race, religion/creed, sex, or sexual orientation. WHEREAS, City and Subcontractor entered into a Subcontract dated November 3, 2022; and WHEREAS, City and Subcontractor desire to amend the Subcontract as set forth herein. NOW THEREFORE, IN CONSIDERATION OF THE MUTUAL TERMS AND COVENANTS CONTAINED HEREIN, CITY AND SUBCONTRACTOR AGREE AS FOLLOWS: SECTION 1. Section 1.2 (VNA's Responsibilities) is hereby amended to read as follows; and (6) City will provide opportunities to demonstrate this support by inviting the Executive Director of Agency and any employees working on services covered by this agreement to participate in the following professional development opportunities and supporting activities: (A) The opportunity to be active and engaged participants in peer -learning opportunities and strategic efforts; (B) The opportunity to attend workshops offered or sponsored by City, including workshops that focus on developing teams and supporting organizational culture work with a focus for creating resiliency and promoting a sense of belonging within Agency and through Agency's work; and (C) Assistance in creating quarterly status reports that demonstrate the ways in which Agency's efforts are advancing the specific community -level outcomes for which Agency is provided funding. Section 6 (PERIOD OF PERFORMANCE) is hereby amended to read as follows; and Section 6.
