Senior Counsel Barry Lindahl is recommending City Council adopt the attached
resolution accepting the Warranty Deed from Merge, LLC, for real property described
as: Lot 2 Adams Company's 5t" Addition in the City of Dubuque, Iowa which will satisfy
the terms of the Termination Agreement.

The City of Dubuque entered into a Termination Agreement dated for February 2,
2026 with Merge, LLC for the acquisition of the following described real property in
Dubuque County, Iowa:
Lot 2 Adams Company's 5t" Addition in the City of Dubuque, Iowa
Merge, LLC has provided the Warranty Deed to the property as required by the
Termination Agreement.
I recommend that the attached Resolution accepting the Warranty Deed be
submitted to the City Council for consideration and approval.

ACCEPTING THE DEED TO CERTAIN REAL ESTATE IN DUBUQUE COUNTY, IOWA
FROM MERGE, LLC
WHEREAS, the City of Dubuque entered into a Termination Agreement dated
February 2, 2026 with Merge, LLC for the acquisition of the following described real
property in Dubuque County, Iowa:
Lot 2 Adams Company's 5th Addition in the City of Dubuque, Iowa
WHEREAS, the terms of the Termination Agreement have now been met.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF DUBUQUE, IOWA, AS FOLLOWS:
Section 1. The City of Dubuque hereby accepts the Warranty Deed from Merge,
LLC, a copy of which is attached hereto.
Section 2. The City Clerk is hereby authorized and directed to record this
Resolution and the Warranty Deed with the Dubuque County Recorder.

KNOW ALL MEN BY THESE PRESENTS: that Merge, LLC, an Iowa limited
liability company ("Grantor"), in consideration of the sum of One Dollar and no/100
Dollars ($1.00) in hand paid, and other good and valuable consideration, does hereby
GRANT, SELL AND CONVEY unto the City of Dubuque, Iowa, a municipality
("Grantee"), the following described parcel(s) situated in the County of Dubuque, State
of Iowa, to wit (the "Property"):
Lot 2 Adams Company's 51 Addition in the City of Dubuque, Iowa
This Deed is exempt from transfer tax pursuant to Iowa Code Section
428A.2(6).
There is no known private burial site, well, solid waste disposal site,
underground storage tank, hazardous waste, or private sewage disposal
system on the property as described in Iowa Code Section 558.69, and
therefore the transaction is exempt from the requirement to submit the
groundwater hazard statement.
This Deed is given pursuant to the authority of Resolution No. LjI- )6
of the City Council of the City of Dubuque adopted the 1{� day of
