NOW, TIlEREPORE, BE IT ORDAINED
BY THE CITY COUNCn.. OP THE CITY
OP DUBUQUE, IOWA:
Section \. Definitions.
\. Whenever the word "city" appears in
this ordinance, it is intended
and shall be held to mean the City of
Dubuque, Iowa.
2. Whenever the word "company"
appears in this ordinance, it is
intended and shall be held to mean the
Interstate Power Company, ila
successors and assigns.
3. Whenever the word "grantee" appears
In this ordinance, it Is in"'nded and shall be
held to mean the Interstate Power Company,
a Delaware COJPoration, its successors and
assigns.
4, Whenever the word "franchise"
appears in this ordinance it is intended and
shall be held to mean the grant of authority
contained in this ordinance as accepted by
the company.
5. Whenever the word "streel" appears in
this ordinance, it is intended and shall be
held to mean streets, alleys, bridges, avenues,
highways and other similar public places
used for transportation purposes within the
city.
6. Iowa Utilities Board means the utilities
board or utilities division established by
Iowa Code Chapter 474 (or its successor).
Section 2.. Grant of franchise. There is
hereby granted to the company, its
successors and assigns, for a perind of
twenty-five (25) years a nonoexclusive
authority to maintain and operste its existing
electrical production, transmissioo and
distribution system and construct extensions
and additions within the limila of the city
including any areas added to the city by
annexation or otherwise, together with all
necessary facilities and equipment in, under,
upon, over, across, and along the streets of
the city for the transmission, distribution and
sale of eleelrical power therein. Also
granted is the right of eminent domain, as
provided in Iowa Section 364.2 (1993).
Section 3. Street Usaae, The company
shall not locate any new electrical
distribution or service line, including poles
or other faciliûes, within the city in the
public right of way without the approval of
the city engineer. The city reserves to itself
the power to irrq>ose reasonable regulations
on the company's use of streets. The city
reserves the right by resolution or otherwise
to designate the location of any new electric
distribution or service line including poles
and other facilities with reference to other
street facilities such as sewer and water
mains and services and street trees in such a
manner as to promote the public aafety and
to protect XIblic property.
The company agrees to consult with the
City as to the location of any new
transmission lines that will be outside the
city limila which will serve the city, and to
consider the location of such lines so they
will be compatible with any impacted
zouing, ecooomic development. growth and
other plans of the city.
Section 4, Excavations and Other Worb.
A written permit will be obtained &om the
city engineer whenever it becomes necessary
for the company to excava'" in streets or
public grounds of the city. Such permits
shall slate a particular part or pninl of the
street where the escavatioo is to be made
and the length of time in wbich such permit
shall authorize the work to be done. An
exception to a requirement for a permit shall
be made in cases of emergency involving
public safety, in which case a permit will be
obtained at the earliest opportunity after the
work has slarted.
In making excavations in the streets the
company shall proceed with such work as to
cause the least possible inconvenience to the
public. Tbe company shall properly protect,
according to safety standards generally
accepted at the time of placement. as may be
determined &om time to time by the city
engineer, all excavations and obstructions by
proper shoring, surface plates, barricades,
warning lights and such other or additional
devices as circumslances may warrant. If in
the opinion of the city engineer such
excavation or obstruction is not properly and
aafely protected, the engineer sball notify the
company and the company will immediately
comply with such reasonable instructions.
Immediately after boried electrical service
lines are inslalled or repaired, the IIencbes in
which such lines are inslalled will be refilled
by the company. No bench or excavation in
the streets sball be filled or covered without
giving the city the right to inspecl the same.
All backfilling in streets will be acoording to
city specifications. Temporury street
surfacing will be placed in sucb excavations
as soon as the same has been backfilled.
Pavements, sidewalks, curb and gutters or
other pnrtions of streets and public places
opened, disturbed or damaged by company
shall be J>1'OI11>tly restored and replaced with
like ma"'rials by the company at its own
expense and left in as good condition as
before. In the event like replacement
materials are not available, the company
shall notify the city engineer who must
approve the use of any alternate materials.
In the event that the company shall fail to
comply with the provision of this section,
after having been given reasonable notice,
the city may do such work as may be needed
to properly repair such pavements, sidewalks,
curb and gutters or other pnrtions of streets
and public places and the colt thereof shall
be repaid to the city by the company. In
some cases where a cut or disturbance is
made in a section of street paving or
sidewalks, rather than replace only the area
cut. the company shall replace that area
stipulated by the city engineer which in no
event shall exceed the panel or panels
disturbed.
Tbat whenever any person bas obtained
permislÎon &om the municipaûty to move
any building or structure which may interfere
with the poles, wires or other fixtures of said
Grantee, Grantee shall, upon five days'
notice thereof, and at the expense of the
person desiring to move such structure,
remove such poles, wires or other fixtures as
may be necessary to allow the passage of
such structure, for a reasonable length of
time, upon receipt &om such person of
satisfactory assurance covering the cosl of
such removal and replacement and any
liability or damage resulting therefrom
Section 5. Relocation of Service Lines.
Whenever the city shall pave or repave any
street or shall change the grade line of any
street or public place or shall construct or
reconstruction any conduit. water main
service or water connection, se- or other
municipal public works or utility, it shall be
the duty of the company, except wbere
easements of record are held by the
company, wben so ordered by the city, to
relocate its service lines and other property
in the streets or other public places at its
own expense so as to conform to the
eslablished grade or line of sucb street or
public place and so as not to interfere with
the conduits, sewers and other mains so
constructed or recoostructed. However, the
company sball not be reqnired to relocate
poles or other facilities and appurtenances
when the street. alley or XIblic grounds, in
which they are located, Is vacated for the
convenience of abutting property owners and
not as an incident to a public improvement.
urness the reasonable cost of such relocation
and the loss and espense resulting therefrom
is first paid to the company by the abutting
property owners. In the case of public
improvements, including but not limited to
Urban Renewal projects, the city may require
the company to relocate its poles, service
lines and appurtenances in the streela at
company's expense.
The city may at ila discretion assign
personnel for inspection of excavadon and
related work being performed by the
company. Should the company fail or
refuse to do and perform the things provided
in this ordinance, the city may, after
reasonable notice, perform the work and
charge the expense thereof to the company
and the company sball promptly pay said
charges.
Section 6. Accessions to Pranchise.
Wbere any electric service line is presently
or in the future placed anywbere in the
corporate limits of the city, either as now
existing or hereaf"'r exteuded, not in a
public street and a street shall thereafter be
opened or dedicated so as to include said
line within the right-of-way of such street.

Section 7. Representation of Conn>anv.
The company agrees to provide and mainlain
its entire system pursuant to Iowa Utilities
Board rules in such condition that it will
furnish safe, adequa"', efficient and
continuous service,
Section g. Reeulatorv Review. To the
extent the provisions of this Section 8 are
consistent with slate and federal law and
regulation the rights described in this section
are reserved to the City and may be
exercised by it in its discretion in accord
with the duty of the City to protect the
health and welfare of its citizens.
Slandards for meters and meter pmctices
shall be in accordauce with regulations, rules
or directives adopted by the Iowa Utilities
Board of the Iowa Department of Commerce.
Section 9. Reserved Re.ulatorv Ri.hts.
In the event the Slate of Iowa or the Uniæd
Sta"'s ceases to regulate any aspect of the
delivery of electrical service now regulated
by either or both, the City reserves the right
upon such cessation to regulate such matters
to the extent such matters are local affairs
impacting the hcalth, safety or welfare of
residents of the City.
Section 10. Extension of Service. The
company shall be reqnired to extend its
electric dislribution service lines as reqnired
by Iowa Utilities Board rules. The
Company, consis"'nt with this paragraph,
shall maintain the availability of service
throughout the entire City (including newly
annexed areas) by extending lines in a
manner consis"'nt with the econcmic growth

of the City and the City shall in the
extensioo of streets and roads make
provisioo for the placement of electric
service lines, however, failure of the City to
reserve right of way for electrical usage ia
not a default or breacb WIder this agreement.
Seeûon 11. Rates. The company shall
supply electricity to consumers within the I
city at maaonable tates. It is recognized
that under the statues of the State of Iowa,
the Iowa Utilities Boon! of the Iowa
Department of Commerce is vested with
legal authority to supervise, fix or change
tates and charges authorized to be charged
by the company to electricity consumers. It
is also recognized by both the company and
the city that matters involving tate changes
and charges are Incal in their applicatioo and
effect and that the city, through its city
council, shall be within its privileges and
municipal responsibilities in ma1ring
inquiries, expressing interest or a adopting a
position 00 matters of tate changes or
cbarges by the company. Simultaneously,
with the filing by the company of application
or petition or request in any form with the
Iowa Utilities Board, or other regulatory
body vested by law with authority and
jurisdiction to authorize change of rates or
charges, for an increase in or authority to
increase tates or charges, or for any revision
or change which would have the effect of
increasing the taWS and prices to be paid to
the company by consumers of electricity in
the city, the company shall file with the city
clerk of the city a written notice slating that
it intends to make such application for rste
increase. The notice sball state in a clear
and defiuite way the amount of such increase
tate to be requested as applied to each class
of consumer use.
In the event tates or charges in general, or
any class or type of tate or cbarge shall,
during the term of this franchise, cease to be
regulated by any state or federal agency the
City CoWlcil reserves the right to regulate
sncb rates within the City.
Section 12. Reoorts to City Council. The
company shall file with the city clerk a 1rue
copy of the annnal report of the company
pertaining to the operation or conduct of
business of the company under this
franchise. The report may be the same as
the company shall have prepared for such
year in the ordinury course of the conduct of
the bosiness of the company and filed with
the Iowa Utilities Board.
Section 13. Coruvanv rules. The
company sball. file with the cily clerk any
copy of its rules and regulations for
supplying eIeclrical service to consumers.
Such copy sbaU be kept current. showing
any changes, additioos, deletions or
amendments.
Sectiou 14. Mavs of Distributioo System
The company shall, prompdy after the award
of this franchise, fumisb the city engineer a
delailed map or maps of its distribution
system both within the city limits and the
area immediately surrounding the cily. The
company shall thereafter update the map or
maps every year showing all subsequent
additions or deletious to the distribution
sysæm. Prior to any excavation by the city,
or Its agents, a representative must conlact
the company regarding current information
on the locatioo of underground electric lines
in the area concerned. The obligatioo to
conlact the company under this section shall
be asûsfied if conlacl is made with a
coq>oration organized pursuant to Iowa Code

Section 15. Indemnification. The
company shall indemnify and hold the city
harmiess at all times during the term of this
franchise from and against all claims for
injury or damage to persons or property
caused by the constructioo, erection,
operstion or maintenance of its properties, or
the negligence of its cootractors or its
employees. In case of any suit or action at
law being conunenced against the City, upon
any claim for damage arising out of any loss,
injury or damage, claimed to have been
caused by any inslaUation, improvement
obs1ruction or excavation in any street, alley,
sidewalk or public place in the city of
Dubuque, and which installation.

Section 16. Nonassi.nment. No sale,
assignment or lease of this franchise shall be
effective unûl it is approved by the city
coWlcil and until the company has filed in
the office of the city clerk written notice of
the proposed sale, transfer, disposition or
assignment. such notice to clearly summarize
the proposed procedure and the ærms and
couditions thereof. Such approval by the
city shall not be unreasonably withbeld. The
proposed vendor, assignee or lessee shall

similarly file an ins1rument. duly executed,
reciting sncb proposal, accepting the tem1J of
this franchise and agreeing to perform all the
conditioos thereof.
This proviaion shall not apply, however,
to sales, assignment. or transfers made
pursuant to a corporate reorganization,
divestiture, or consolidation, or to a sale of
all or aubslanûally all of the electric
distribution properties of Interstate Power
Company.
Section 17, 1'orfeiture of Prsnchise. The
violatioo of any material pnrtion of this
franchise by the company or its successors
or assigns, or its failure prompdy to perform
any of the provisioos of this franchise shall
be cause for forfeiture of this franchise and
the ærmination of all rights thereunder.
Such forfeiture shall be accomplished by
ordinance of the city afær written notice by
the city manager to the company and a
continuation of the violation, failure or
default specified in the notice for at least
thirty (30) days from the date the notice was
served.
Section 18. Sevetabilitv. If any section
or provision of this ordinance is held invalid
by a court of competent jurisdiction, snch
holding shall not affect the validity of any
other provisions of this ordinance which can
be given effect without the invalid pnrtion or
pnrtions and to Ibis end each section and
provisioo of this ordinance is sevetable.
Section 19. Revival. The parries
recognize that over the duration of this
francbise both technological and regulatory
cbanges will lake place which will impact
the enforceability of this ordinance or parts
of it. In recognition of such factors the
parries agree that in the event pnrtions of this
ordinance which are now, or in the future,
are found or declared inapplicable or
unenforceable, become through a subsequent
cbange in law or technology again to be
applicable or enforceable, such provisions
sball be revived and again form a pnrtion of
this ordinance,
Section 20. Cure of Defaults. If either
party determines there is a default under this
franchise the other party shall be given
written notice describing the default in delail,
whether a forfeiture or termination of the
franchise will be sought and wbere curable a
reasonable time to cure the default which
sball not be less than 30 nor more than 180
days.
Reservation of Home Rule
ordinance is intended to be
construed as consistent with the
reservation oflncal authority conlained in the
Twenty Pifth Amendment to the Iowa
Constitution granting municipalities home
rule powers. To such end any limilation on
the power of the city is to be stricdy
construed and the city reserves to itself the
right to exercise all power and authority to
regulate and control its Incal affairs and all
ordinances and regulations of the city shall
be enforceable against the company unless,
and ooIy to the extent. they are irreconcilable
with any rights granted the company under
this ordinance.
Section 22 ACQuisition at Expiration. If
at the ex¡Uation of this franchiae the
company wishes to ahandon the electric
service system within the city and su~ect to
any approval required by Slatute, the
company shall upon the city's request, given
not earlier than 180 days before expiration of
more than 90 days after, sell the eIeclric
distribution sysæm to the city at a price
determined by a mutually agreeable
appraiser, or if the parries cannot with 60
days of notice agree upon an appraiser, then
they shall each appoint an appraiser and the
appraisers shall appoint a third, the price
shall then be the price the appraisers agree
upon, or if they do not agree within 60 days
of being appointed, the price shall be the
average of the two appraisals which are
closest in dollar amount.
This provision shall not apply, however,
to sales. assignment. or transfers made
pursuant to a corporate reorganization,
divestiture, or consolidation, or to a sale of
all or subslantially all of the electric
distribution properties of Interstate Power
Company.
Section 23. Pranchise Pee. Tbe City
CoWlcil may, in its discretion after a public
hearing and upnu an affirmative vote of all
of the members of CoWlcil, impose a
franchise fee not to exceed 3% of the gross
revenue of the company generated &om the
sale of eleclricity within the city; provided,
however, that the fee shall not be effec~ve
against the company Wlless and un~l the
City imposes a fee or laX of the same
perœnlage on the gross revenue of sales of
energy within the City by all other energy
suppliers with which the City has an
effective franchise agreement allowing such
fee. Any such franchise Iree imposed shall
be a direct charge to customers as required
by the Iowa Utilities Board.
Section 24. Adoption. Tbis ordinance
following its passage, its ratification by a
majorily of the qualified voters of the city,
voting at an election called for the purpose
of voting thereon, and its publiearion by law
provided, shall become effective upon its
acceplance by the company and shall
effectively supersede and cancel ordinance
no. 57-68, being the prior electric franchise
held by the company.

WHEREAS, the City Council of the City
of Dubuque has this day adopted Ordinance
No. 58-93, an Ordinance granting to
Interstate Power Company, a Delaware
COIJ>O"aIÌon, a non-exclusive authority for a
period of twenty-five (25) years to maintain
and operate its existing eleclrical system and
construct exænsions thereto within the limits
of the City of Dubuque, subject to the
approval of the voters of the City of
Dubuque at a special election; and
WHEREAS, Iowa Code Section 364.2(4)
(b) provides that no Oniinance granting a
franchise shall become effective unless
approved at an election; and
WHEREAS, Iowa Code Section 364.2(4)
(c) requires that notice of such election be
given by publication as prescribed in Iowa
Code Section 49.53 in a newspaper of
general circulation in the City; and
WHEREAS, the Dubuque Telegraph
Herald is a legal newspsper printed wholly
in the English language, as defined by Iowa
Code Section 618.3 and is publisbed in the
City of Dubuque and is of general circulation
therein;
NOW THEREfORE, BE IT RESOLVED
BY THE CITY COUNCIL OP THE CITY

Section I. That there is hereby called a
special City election on Tuesday, the 7th day
of December, 1993, at wbich election there
shall be submitted to the qualified electors of
said City the following question, to-wit:
Sball Interslate Power Company, a
Delaware Corpnrsrion, its successors and
assigns, be granted a non-exclusive
authority for a period of twenty-five (25)

adopted by the City Council of the City
of Dubuque on October 4, 19931
Section 2. That the voting place or
places for slid election and the hours the
polls sball be opened and closed shall be as
set out in the notice of election, slid notice
to be prepared and approved by the County
Commissioner of Elections.
Section 3. That the form of ballot to be
used at slid election shall be of the type
authorized by the Code of Iowa that will
permit the use of electronic counters and will
be in subslantially the form set forth in the
Notice of Election. Tbat. if more than one
public measure shall be submitted to the
electors at the time of the slid election, all
such measures shall be printed upon one
ballot.
Section 4. That the Election Board for
the voting precincI or precincts shall be
appninæd by the County Commissioner of
Elections, not less than 15 days before the
date of said election, a certified copy of
wbich appoinbnent shall be officially placed
on file in the office of the Clerk of said City.
Section 5. ThattbeAuditorofDubuque
County, Iowa, being tbe County
Commissiouer of Elections, is hereby
directed to publish the notice of election
once in the Dubuque Telegraph Herald,
being a legal newspsper, printed wholly in
the English language, as defined by Section

publication to be not less than four clear
days nor more than twenty days prior to the
date of said election.

District shall be regulated as follows.
