to the pipes have been cleaned

the drainage area including South-
ern Avenue, Huff Street, VaHey
Street, Samuel Street, English
Lane and Sullivan Street wilJ he
investigated and designed this
late falJ and early winter.

struction will be completed over
a five year period with an initial
start made in 1963 with the con-
struction of a portion east of
Kerrigan Road.

The drainage system consists of
a storm line 48 inches by 54 inches
running from a point on Southern
Avenue about 500 feet west of
Valley Street and extending diagon-
ally to a point behind the Dairy
building where it enters a 60 inch
culvert under Kerrigan Road.
There is also a 48 inch by 54 inch
pipe which runs down Valley Street

7th Street to Hill Street approxi-
mately 300 feet east of the inter-
section of HilI Street and West 7th
Street, claiming that said side-
walk had an accumulation of ice
thereon rendering it unsafe and
dangerous and in failing to proper.

Sears, Roebuck and Co., herein-
after caller "Sears", is now build-
ing a new store on property known
as Rafferty Park and, in connection
with the operation thereof, has
need for a warehouse in proximity
thereto. For the purpose of acquir-
ing such a warehouse site, Sears
makes the following offer:
1. To purchase from City of Du-
buque, Iowa, hereinafter called
"City", a parcel of land, consist-
ing of approximately two and one-
half acres, part of which is now
owned by the City and part of
which is to be acquired by the City
from illinois Central Railroad Com-
pany, the location and description
of which is set forth on a plat of
survey marked "Exhibit An and by
this reference made a part hereof
for the price of $2,500.00 per acre.
2. This offer, if accepted by City,
is subject to the following terms
and conditions:
a. City shall establish and extend
Huff Street in city of Duhuque,
Iowa so that the said street shall
extend from the present souther-
ly terminus of said street to the
south line of the property de-
scribed in paragraph 1 hereof in

Section 1. That the offer to Sears,
Roebuck and Co. dated September
27, 1962 offering to purchase the
parcel of land located and describ-
ed on the Plat of Survey marked
Exhibit "A" and by reference
made a part of said written offer,
subject to the terms and conditions
set forth in said offer for the
purchase price of $2500.00 per
acre as set out in said offer dated
of special assessments on adjoin-
ing property, and that the assess-
ment against Sears therefor will
be in the approximate sum of
$2,500.
g. Sears agrees that when it ob-
tains title from City to the prop-
erty described in paragraph 1
hereof, it will build a warehouse
on said premises at a cost in the
approximate sum of $175,000.
h. City covenants and warrants that
the property described in para-
graph 1 hereof is now zoned for
heavy industrial Use.
i. City agrees to convey to Sears
good merchantable title free
from liens and encumbrances to
the premises described in para-
graph 1 hereof by quit claim
deed or by some other deed with-
out warranty of title, said con-
veyance to be made on or before
Fehruary 15, 1963; and upon
delivery of deed conveying such
title, Sears wiJI pay City the
agreed consideration of $2,500
per acre. City agrees to deliver
to Sears a complete abstract of
title covering the premises de-
scribed in paragraph 1 hereof
and shan allow Sears thirty (30)
days for title examination after
the delivery of said abstract,
and the sale shalJ not be closed
until thirty (30) days after the
delivery of said abstract of title
to Sears. If the City cannot con-
vey good merchantable title to
Sears, then either City or Sears
may cancel this contract of sale.

Sears that City does not now own
all of the property described in
paragraph 1 hereof and that title
to part of said premises will have
to be obtained by City from mi-
nois Central Railroad in order to

for any reason City is unable to

This letter is in regard to the
proposed parking ramp and the
proposed ramp site located between
Eighth, Ninth, Locust and Bluff.
I request that authority be
granted to the City Solicitor and
City Manager to negotiate options
for the purchase of land and build-
ings of those portions of the pro-
posed site that are presently avail-
able.
I also request that authority be
given the City Manager to select
and engage a designer for the ramp
and to proceed with the design of
the ramp.
These grants of authority are re-
quested at this time for the follow-
ing reasons:
1. A definite beginning of the
project should be made now if
the time schedule of starting
construction by next spring is
to be maintained;
2. Such problems as ramp size,
type, cost and method of opera-
tion can only be resolved by
proceeding with design and
specifications;
3. The requested grants of au-
thority will not interfer with
land negotiations now bemg
carried on.
I admit that there are many un-
answered questions about the rJ.mp
and site. I believe however, that at
the beginning of a large project,
this is an expected condition.
I also believe that the l'eqUt~st
grants of authority will initiate
solutions to the outstanding prob-
lems which cannot otherwise be
brought before the Council.

In addition to this $5,000 saving
to the City, a separate fund is
being raised by individuals inter-
ested in seeing the parking ramp
become a reality. This fund totals
$33,000 in pledges to date. This
fund and any additions to the fund
will be turned over to the City to
be used in the parking ramp devel-
opment to help offset the cost.
The Dubuque Chamber of Com-
merce also has entered into con-
tracts with Victor Gruen & As~
sociates for Downtown Planning
and Design Studies and the Larry
Smith Company for Economic Stud-
ies of Downtown Dubuque, at a
cost of $24,000, which will be in-
corporated in the over-all Corrunun-
ity Renewal Program, being under-
taken by the City with federal as-
sistance. With these plans for the
future of Dubuque now in the de-
velopment stage, the Dubuque
Chamber of Commerce feels it most
important that the first recommen-
dation received from the Victor
Gruen firm regarding construction
of the parking ramp be implement.

has heretofore been given in strict
compliance with the provisions of
Chapter 75 of the Code of Iowa by
publication of notice for two or
mOre successive weeks in at least
one newspaper located in Dubuque
County; and
Mayor Schaller read the call and
stated that service thereof had
been duly made and that this meet-
ing is called as an adjourned meet-
ing of the Special Meeting held on
September 24, 1962, for the purpose
of completing the proceedings for
the issuance of $400,000 Water Rev-
enue Bonds, 1962 Series, of the
City of Dubuque, Iowa, and acting
on any other business as may prop-
erly come before the meeting.

has been continuously operated by
said City for many years, and the
management and control of said
utility is vested in the City Council
of said City and no board of
trustees exists for this purpose;

WHEREAS pursuant to a resolu-
tion fiually adopted by the City
Council of said City on April 7,
1955, $1,500,000 Water Revenue
Bonds, 1955 Series of said City
have heretofore been issued, of
which bonds in the amount of
$1,200,000 are now outstanding,
dated May 1, 1955, bearing interest
at the rate of Two and three-eights
per cent (2% %) per annum and
maturing serially on December 1 of
each of the years 1962 and 1974,
inclusive, and pursuant to a re~olu-
tion finally adopted by the City
Council of said City on February
4, 1957, $330,000 Water Revenue
Bonds, Series 1956, of said City
have heretofore been issued, of
which bonds in the amount of
$310,000 are now outstanding,
dated December I, 1956, bearing
interest at the rate of Three and
three-eights per cent (3% %) per
annum and maturing serially on
December 1 of each of the years
1962 to 1974, inclusive, and in

tain a reserve therefor, are all
hereby ratified and confirmed, and
all such provisions shall insure and
constitute the security for the pay-
ment of the interest on and the
principal of the Water Revenue
Bonds, 1962 Series, hereby author-
ized as may from time to time be
outstanding; provided, however,
that the amounts to be annually
set aside and paid into said Water
Revenue Bond Sinking Fund in
equal monthly installments shall
be sufficient to pay the interest
and principal due in each year, not
only of the bonds issued and out-
standing under the provisions of
said resolutions adopted April 7,
1955, and February 4, 1957, but
also the interest on and principal
of the Water Revenue Bonds, 1962
Series, issued pursuant to this
resolution and from time to time
outstanding and to maintain a
reserve therefor. In addition to the
payments required to be made into
said Water Revenue Bond Sinking
Fund under the provisions of Sec-
tion 5 of said resolution adopted
April 7, 1955, aud Section 5 of

4, 1957, and in order to pay matur-

All accrued interest as may be re-
ceived from the sale of the bonds
hereby authorized shall be con~
verted into said "Water Revenue
Bond Sinking Fund".
Section 4. That so long as any
of said bonds or any other bonds
ranking on a party therewith arc
outstanding said municipal water-
works shall continue to be oper-
ated as a revenue producing under~
taking. The rates charged by the
City of Dubuque, Iowa, to custom-
ers of the municipal waterworks,
including the municipality, shall
be such reasonable rates within
the following maximum rates as
will be sufficient to pay for the
operation and maintenance of said
plant and system, the principal of
and interest on the presently out-
standing bonds referred to in the
preamble hereof and the principal
of and interest on the bonds herein
authorized. The maximum rates
that need be charged for services
rendered by said waterworks are
hereby determined to be as fol-
lows:
A sum equal to 100% of the
principal of all said Water Rev-
enUe Bonds, 1962 Series, matur-
ing on the December 1 next suc-
ceeding, plus a sum equal to
100% of the interest becoming
due on and prior to December 1
next succeeding on all of said
Water Revenue Bonds, 1962 Ser-
ies, then outstanding; provided,

Section 5. That the provisions,
covenants, undertakings and stipu-
lations for the operation of the
municipal waterworks of said City
and for the collection, application
and use of the revenues and in-
come from such operation, as set
forth in the resolution adopted by
the City Council of said City on
April 7, 1955, and pursuant to
which the outstanding Water Rev-
enue Bonds, 1955 Series, of said
City were issued and as set forth
in the resolution adopted by the

were issued shall inure and apper-

Section 10. The City of Dubuque
agrees that so long as any of the
bonds hereby authorized remain
outstanding it will maintain insur~
ance for the benefit of the hold-
ers of the bonds issued hereunder
of a kind and in an amount which
usually would be carried by pri-
vate companies engaged in a sim-
ilar type of business, that it will
keep proper books of record and
account, separate from all other
records and accounts, showing
complete and correct entries of
all transactions relating to said
waterworks, and that the holders
of any of said bonds shall have
the right at all reasonable times
to inspect the system and all
records, accounts and data of the
said City relating thereto. The City
further agrees that it will within
sixty days following the close of
each calendar year cause an audit
of such books and accounts to be
made by a certified public ac-
countant not in the regular employ
of the City showing the receipts
and disbursements for account of
the waterworks and that copies of

to priority or preference one over

waterworks or with respect to the
pledge of the property securing
their payment, regardless of the
time or times of the issuance of
such bonds, it being the intention
that there shall be no priority
among the bonds authorized to be
issued under this resolution re-
gardless of the fact that they may
have been actually issued and
delivered at different times. Any
other bonds or obligations here-
after issued or incurred which are
payable from the net revenues of
said municipal waterworks plant
and system shall be subject to the
priority of any of the Water Rev-
enue Bonds, 1955 Series, and
Water Revenue Bonds, Series 1956,
referred to in the preamble here-
of which are then outstanding and
to the priority of the bonds then
outstanding under the provisions
of this resolution; provided, how-
ever, that said City of Dubuque
hereby reserves the right and priv-
ilege of issuing additional bonds
from time to time payable from
the same source and ranking on a
parity with the Water Revenue
Bonds, 1955 Series, and the Water
Revenue Bonds, Series 1956, here-
inbefore referred to and on a
parity with the bonds herein auth-
orized or permitted to be issued as
may be then outstanding, in order
to pay the cost of future improve-
ments and extensions to said
waterworks, but only if the offi-
cially reported net revenues of
said waterworks for the last pre-
ceding calendar or fiscal year
prior to the issuance of such ad-
ditional bonds was equal to at least
one and one-fourth times the total
of (1) the maximum amount of
principal and interest that will
become due in any calendar year
on the Water Revenue Bonds, 1955
Series, and Water Revenue Bonds,
Series 1956, hereinbefore referred

Section 7. That the City of Du-
buque hereby covenants and agrees
with the holder or holders of said
bonds, or any of them that may
from time to time be outstanding,
that it will faithfully and punc-
tually perform all duties with
reference to the municipal water-
works required and provided by
the Constitution and laws of the
State of Iowa, that it will segre-
gate the revenues of said works
and make application thereof in
accordance with the provisions of
this resolution, and that it will not
sell, lease or in any manner dis-
pose of said waterworks, including
any and all extensions and addi-
tions that may be made thereto,
until all the bonds herein auth-
orized shall have been paid in
full, both principal and interest,
or unless and until provisions
shall have been made for the pay-
ment of said bonds and interest
thereon in full.
Section 8. That for the further
protection of the holders of the
bonds herein authorized to be
issued and the coupons thereto
attached a lien is hereby recog-
nized and declared to be valid and
binding upon the improvements
and extension to the waterworks
acquired with the proceeds of the
bonds hereby authorized, Which
lien shall take effect immediately
upon the delivery of any of said
bonds. In the event of a default
in any of the terms of this resolu-
tion, said lien may be enforced
and foreclosed for the use and
benefit of all of said bonds then
outstanding in the manner pro-
vided by the laws of the state of
Iowa for the enforcement and
foreclosure of chattel mortgages
and it is hereby specifically agreed
with each holder of any of said
bonds that the improvements and
extensions acquired through the
issuance of the revenue bonds
hereby authorized shall be and
remain chattels and never be re-
garded as fixtures or become a
part of the real estate upon which
located, even tho ugh attached
thereto. The City Clerk is hereby
authorized and directed to file a
certified copy of this resolution
Section 6. That the provisions
of Section 9 of said resolution
adopted April 7, 1955, aud of Sec-
tion 9 of said resolution adopted
February 4, 1957, with respect to
