Leisure Services Manager Marie Ware recommends City Council approval of the First
Amendment to the Agreement between the City of Dubuque and the Multicultural Family
Center. This Amendment reflects the Multicultural Family Center Board's commitment
to pay $31,000 per year for a three-year period for the 29-hour per week Assistant
Director position to be made full time.

INTRODUCTION
The purpose of this memo is to recommend acceptance of the First Amendment to the
Agreement between the City of Dubuque and the Multicultural Family Center (MFC), a
501(c)3.
BACKGROUND
The Multicultural Family Center opened at its current location in 2009. At that time a
non-profit 501(c)3 was started called Multicultural Family Center. A Board was
recruited, Articles of Incorporation were developed and approved and a 501(c)3 status
was granted. The staff was hired as city employees and most AmeriCorps members
were a part of City AmeriCorps programs at the time. Staff and operations were and
are supervised by the Leisure Services Manager. The Board established policies and
procedures for the Center as well as implemented a variety of fundraising strategies.
The Board's focus was and is on programming and fundraising and the city's focus is on
staff, operations and infrastructure. The City performed and continues to manage the
day-to-day operations. This relationship has continued to mature since 2009. No
formal agreement was developed between 2009 and 2014. Most agreements are
developed because there is an exchange of funds. It was determined recently an
agreement would be helpful to both parties —the board and the city. Work then began
by both to create and bring forward an agreement that outlines the partnership that has
been so successful in providing a Center, programs, activities and services in our
community.
The current Agreement was adopted September 2, 2014. The Agreement
codified a successful relationship in which both parties are committed to common goals.
The mission of the MFC is "The Multicultural Family Center empowers all families and

community members of Dubuque to reach their potential and build unity out of diversity."
The City Council's sustainability model has two pillars, Social Cultural Vibrancy and
Economic Prosperity that the mission of the Center embodies. Programs, events and
services of the Center address the principles of community knowledge, community
health and safety and community design. The Council's top priority goal of Dubuque as
a welcoming, inclusive community further supports the acceptance of the Agreement
between the Board and the City.
There are many examples that show the value of this partnership and the outcomes.
April 2, 2014 the Multicultural Family Center (MFC) offered a Dubuque Welcome
DinnerM/orld Carnival event for 50+ community members. The majority of the event
was funded through the Sustainable Dubuque Community Grant Program to the
Multicultural Family Center non-profit with the remainder covered by MFC Board funds.
Afterwards, four families that attended (new to the Dubuque community, two of which
work at John Deere and two at McGraw Hill) contacted the MFC staff asking to
collaborate and create an India Independence Day event.
MFC Board, MFC city employees and AmeriCorps members partnered with these
community members families to create "Flavors of India." The event took place on
August 15, 2014 with over 70 diverse long-term and new residents' attendance
including several first time visitors to the MFC.
In addition to an amazing array of homemade food prepared by the Indian families,
traditional Indian clothing was available for people to try on and wear, Karaoke featuring
Bollywood music was enjoyed along with Indian children's games. Several people also
left the center adorning Indian henna tattoos. Guests also enjoyed an educational
presentation on the history and culture of India. There were questions from the
audience about the culture of India including many questions about the traditional
seven-day wedding ceremony. Attendees increased their understanding and
knowledge of a new culture and made new friends and acquaintances.
Thanks to the MFC Facebook page and a feature article in the Telegraph Herald the
event reached additional community members, increasing awareness of the
Multicultural Family Center and more importantly promoting an inclusive community in
which all cultures are welcome and included. This event highlights the great partnership
between the City and the Multicultural Family Center non-profit and it's Board and how
their work achieves the Board's mission and City Council vision and goals.
DISCUSSION
The Multicultural Family Center Board during a strategic planning session and
subsequent Board meetings discussed the importance and advantage of making the 29-
hour per week Assistant Director position full time. Initially they requested consideration
to fund it as improvement package. City Manager Michael Van Milligen and I met with
the Board. It was shared that the city's fiscal situation would not allow recommendation

of that package. A great discussion then ensued which resulted in the Board agreeing
to pay for the difference for a three-year period at $31 ,000 per year.
This action resulted in an improvement package being submitted for recommendation to
the City Council with the commitment/contribution from the Multicultural Family Center
Board. The commitment of the Board is significant. It furthers the goals of the Board as
well as the City Council goals. The partnership between the two organizations is a
model for not only this community but others across the country. It is an exciting time in
the history of the Multicultural Family Center. This improvement package was approved
as a part of the FY16 budget process and would take effect July 1 , 2015. The
Amendment attached outlines the commitment of the Board to pay for the Assistant
Director position to become full time. This Amendment has been reviewed and
approved by the MFC Board.
RECOMMENDATION
I wholeheartedly and respectfully recommend acceptance of the First Amendment of the
Agreement between the City of Dubuque and Multicultural Family Center.

FIRST AMENDMENT
TO
AGREEMENT
BETWEEN
THE CITY OF DUBUQUE, IOWA
AND
MULTICULTURAL FAMILY CENTER
This First Amendment to Agreement between the City of Dubuque, Iowa and
Multicultural Family Center, dated for reference purposes the (' day of Aar+ I ,
2015, is made and entered into by and between the City of Dubuque, Iowa (City) and
the Multicultural Family Center (Agency).
Whereas, City and Agency have entered into an Agreement, dated for reference
purposes the 2nd day of September, 2014; and
Whereas, City and Agency now desire to amend the Agreement as set forth
herein.
NOW, THEREFORE, IT IS AGREEMENT BY AND BETWEEN THE PARTIES
AS FOLLOWS:
1. The Agreement is amended by adding the following:
SECTION 9. RENEWAL. This Agreement will automatically renew on July 1,
2015, July 1, 2016, and July 1, 2017 for a one-year term unless either party gives
written notice of non -renewal to the other party by March 15 of the initial term or any
subsequent term. At the end of each such one-year renewal term, Agency agrees to
contribute $31,000 to the compensation for the Full -Time Assistant Director to be paid
by Agency to City on June 1 of each renewal term with the first such payment due June
1, 2016.
2. All other terms and conditions of the Agreement will remain in full force and
effect.

THE CITY OF DUBUQUE, IOWA
AND
MULTICULTURAL FAMILY CENTER
THIS AGREEMENT, dated for reference purposes the day of
2014, is made and entered into by and between the City of Dubuque, Iowa (City) and
the Multicultural Family Center (Agency) organized under 26 U.S.C. § 501(c)(3).
WHEREAS, the City is a governmental body and the Agency is a nonprofit entity;
and
WHEREAS, the City and Agency wish to provide a welcoming place; programs
and events where all feel welcome, can meet and can build relationships; and
WHEREAS, the City and the Agency wish to ensure successful operation of the
Multicultural Family Center (Facility) that provides a safe, clean, and successful learning
environment; and
WHEREAS, the City and the Agency agree to respect the role of each and
conduct joint planning efforts for the betterment of both the City and the Agency; and
WHEREAS, the City wishes to build upon the success of Facility programs; and
WHEREAS, the Agency has a mission to empower families and community
members of Dubuque to reach their potential and build unity out of diversity; and
WHEREAS, the City has deemed it to be in the public interest to provide
personnel (currently a full-time director, part-time assistant director, part-time site
supervisor, and AmeriCorps members), property maintenance and support services,
and private contributors have allocated funds or other resources for the support of the
Agency and Facility; and
WHEREAS, Appendix A outlines City Council Vision, Mission, and Priorities.
NOW THEREFORE, the parties hereto agree as follows:
SECTION 1. AGENCY RESPONSIBILITIES. Agency will:
A. Develop a strategic plan and set specific goals and measurable
benchmarks each year related to programming and fundraising.
B. Develop policies related to programming.
C. Solicit and generate funding to support programming and programming
costs; Agency understands that the Director's role in raising funds will be limited
to grant, foundation and other sources, research and writing, supporting, the
organizational efforts of the Board in fundraising efforts, and being available to
answer donor or potential donor questions related to Facility programming and
results.
D. Collaborate with City staff and community members to design and
implement programming in the following areas:
1. Cultural events and programs to celebrate diversity and encourage
cross-cultural interaction and understanding in Dubuque.
2. Educational, environmental, and service-orientated programs with
an emphasis on programs for middle school students, teens, and families.
E. Provide adults educational resources and community building
opportunities.
F. Lead and take minutes for all Board and Committee meetings, including
an Executive Session to occur at the end of each Agency Board meeting. The
Executive Session will include only the City Manager designee, Director, and
Agency Board, and its purpose is to provide an opportunity to talk about topics
not appropriate for an open board meeting. At the end of Executive Session, the
Director will be asked to leave in order to provide an opportunity for the Agency
Board to provide the City Manager's designee with input on. a wide variety of
topics, which may include, but are not limited to mentoring, professional
development, and training needs, without the Director present. Any Agency
Board Member at any time can contact the City Manager or City Manager's
designee about any issue.
G. Abide by City of Dubuque policies governing the use of its facilities,
including policies relating to health and welfare, which are designed for the
benefit of the City and all facility users. The City Manager designee will provide
copies of all applicable policies to the Director and Agency prior to the
commencement of this Agreement and will also provide any new or modified
policies to the Director and Agency during the term of this Agreement.
H. Work with Inclusive Dubuque using the collective impact model to achieve
goals outlined in this Agreement.
I. Provide input on job description and assist in recruitment and selection
process as outlined in 2.1 (C) and (D).
SECTION 2. CITY RESPONSIBILITIES. City designates the City Managerto act as
its representative with respect to the work to be performed under this Agreement, and
such person has authority to transmit instructions, discipline, hire and fire employees,

determine job description, receive information, interpret and define City's policies, and
provide decisions in a timely manner pertinent to the work covered by this Agreement
until Agency has been advised in writing by City that such authority has been revoked.
2.1 City will:
A. Provide program and office space at 1157 Central Avenue, Dubuque, IA
52001;
B. Provide a management structure as follows:
1. Leisure Services Manager reports to the City Manager.
2. Director reports to Leisure Services Manager.
3. Other employees report to the Director.
Agency will be notified of any change-determined-by the-City Manager-in-the-City- --
management structure, the City Manager designates the Leisure Services
Manager as designee for purposes of the designated activities under this
Agreement;
C. Appoint a selection and recruitment team to assist in the recruitment and
selection process of the Director through the City Manager approved process,
which at a minimum will include the relevant Department Manager and the Chair
of the Board of the Multicultural Family Center. The City Manager will make
additional appointments to the selection and recruitment team with the input of
the relevant Department Manager and the Chair of the Board of the Agency. The
selection and recruitment team will consist of some members who are part of the
formal interview process and others who are involved in a less formal meeting
with the finalists. Those who participate in the formal interview will engage in
dialogue with the City Manager's designee about their recommendation. Those
who participate in ways other than the formal interview will individually rank each
final Director candidate and provide that ranking to the City Manager's designee.
The Manager's designee will then make a recommendation to the City Manager.
The City Manager will make the hiring decision;
D. Seek input from the Agency's Board Chair and the Governance
Committee Chair on the job descriptions, job search, and hiring process for the
Director and employees as determined and approved by City Manager;
E. Provide personnel, property maintenance, and support services as
outlined in Section 4 along with supervision of said personnel according to City
policies and procedures;
F. Act as a resource for the Multicultural Family Center Board on topics

related to the Board's Mission;
G. Receive input of Agency Board members through Executive Sessions
described in Section 1(F);
H. Provide building and contents insurance;
I. Provide background checks for all volunteers;
J. Participate in the Agency's strategic planning process;
K. Receive information on staff from the Board with the understanding by the
Board that the City is limited in sharing personnel information with the Board.
2.2 City Multicultural Family Center staff will:
A. Supervise building during operating hours;
B. Collaborate with the Board on program development and evaluation
services, and implement programs accordingly;
C. Assist with process of raising funds, however will not solicit funds;
D. Write grants;
E. Further community initiatives in collaboration with both Agency and City;
F. Partner with community organizations to promote the Multicultural Family
Center and its mission;
G. Engage volunteers at the Center and with its programs;
H. Participate in Agency committees; and
I. Assist in marketing Agency programs.
SECTION 3. TIME OF PERFORMANCE. This Agreement will be from July 1, 2014
through June 30, 2015.
SECTION 4. COMPENSATION. City will provide personnel, property maintenance,
and support services to. Agency for Fiscal Year 2015 estimated at an amount of two
hundred sixty-two thousand three hundred sixty-three dollars ($262,363.00). Including:

SECTION 5. NON-DISCRIMINATION.
A. In carrying out the services under this Agreement, Agency will not discriminate
against any person because of race, creed, color, sex, age, national origin, religion,
sexual orientation, gender identity, or disability.
B. Agency agrees and will undertake whatever affirmative measures are necessary
so that no person will be excluded from participation in, be denied the benefits of, nor be
subjected to discrimination under any program or activities funded in whole or in part
with any of the funds made available to Agency under the terms of this Agreement
because of race, color, creed, religion, sex, national origin, age, sexual orientation,
gender identity, or disability. Agency will take into consideration any ways in which
program design may be discouraging or limiting participation based on race, color,
creed, religion, sex, national origin, age, sexual orientation, gender identity, or disability
and will take reasonable action to modify programs accordingly in order to broaden
participation.
SECTION 6. TERMINATION OF AGREEMENT. Either party has the right to
terminate this Agreement by giving written notice to the other party of such termination
and specifying the effective date thereof not less than thirty (30) days before the
effective date of such termination.
SECTION 7. ASSIGNABILITY. Agency may not assign any interest in this
Agreement without the prior written permission of City.

SECTION 8. INSURANCE. At the time of execution of this Agreement by Agency,
Agency must provide City copies of Agency's insurance certificates showing coverage
acceptable to City which includes property contents coverage, liability and auto.
