INTRODUCTION This memorandum seeks City Council approval of the Easement Agreement for the O'Rourke Property and to authorize the City Manager to execute the Grant of Easement for the proposed construction of the Utility Extension to the Dubuque Regional Airport. BACKGROUND The O'Rourke Easement Agreement has been negotiated over the last year. An appraisal and review appraisal were completed for the easement areas located on two separate Parcels. We propose to acquire permanent easements, temporary construction easements and access easements created for the purpose of constructing the sanitary sewer, water main, fiber optics and performing clearing and grubbing and erosion control construction activities related to the construction of the utilities. Said proposed easement plats are shown in Exhibit 1 of the attached Offer to Buy DISCUSSION The terms of the Offer to Buy are as follows: • Total purchase price: $43,252.20 payable at closing, comprised of: a. Permanent Sanitary Sewer, Water Main and Fiber Optic Easements: $30,225.00 b. Temporary Construction Easements: $12,352.20 c. Access Easement: $675.00 BUDGET IMPACT The agreed cost for the permanent and temporary sanitary sewer easement along with the access easement is $$43,252.20. The budget fund code to support this portion of the project is: CIP 7102409 - Granger Creek Sanitary Sewer Extension Budget Amount: $4,294,090.94 Current Fund Balance: $4,174,113.52 Easement Amount: $ 25,793.47 CIP 7402395 Water Extension —Airport Budget Amount: $5,689,371.16 Current Fund Balance: $5,428,407.58 Easement Amount: $ 16,585.79 CIP 3002491 Fiber Optics to Airport Budget Amount: $ 310,000.00 Current Fund Balance $ 310,000.00 Easement Amount: $ 872.94 RECOMMENDATION recommend approval of the easement agreement for the total of $43,252.20; and adoption of the attached resolution authorizing the City Manager to take such further action as is required to complete the purchase of the Easements. The permanent access easements must be a minimum of thirty (30) feet in width. 2.3 Buyer will replace the fencing that is disturbed during the course of construction. Existing openings in the fence will be reinstated in the replaced fencing so that the location of the opening remains the same. Current City of Dubuque specifications will be met when replacing the disturbed fencing. 2.4 Buyer will remove all growth and brush completely from easement areas. 2.5 Buyer will reimburse Seller for any crops damaged during construction based on the following formula: (Disturbed area x Bushels per acre) x Dollars per bushel = Reimbursement to Seller. Harvest yield and dollars per bushel must be provided by Seller at the end of the affected growing season. SECTION 3. POSSESSION. If Buyer timely performs all obligations, possession of the Real Estate shall be delivered to Buyer on May 1, 2015, or on such other date as 031215 the parties agree in writing, with any adjustments of rent, insurance, and interest to be made as of the date of transfer of possession. SECTION 4. ABSTRACT AND TITLE. Seller, at Buyer's expense, shall promptly obtain an abstract of title to the Real Estate continued through the date of acceptance of this offer, and deliver it to Buyer for examination. It shall show merchantable title in Seller in conformity with this agreement, Iowa law and Title Standards of the Iowa State Bar Association. The abstract shall become the property of the Buyer when the purchase price is paid in full. Buyer shall pay the costs of any additional necessary abstracting and title work. SECTION 5. DEED. Upon payment of the purchase price, Seller shall convey the Real Estate to Buyer by Grant of Easement, free and clear of all liens, restrictions, and encumbrances. SECTION 6. TIME IS OF THE ESSENCE. Time is of the essence in this contract. SECTION 7. REMEDIES OF THE PARTIES. 7.1 If Buyer fails to timely perform this contract, Seller may forfeit it as provided in the Iowa Code, and all payments made shall be forfeited or, at Seller's option, upon thirty days written notice of intention to accelerate the payment of the entire balance because of such failure (during which thirty days such failure is not corrected) Seller may declare the entire balance immediately due and payable. Thereafter this contract may be foreclosed in equity and the Court may appoint a receiver. 7.2 If Seller fails to timely perform this contract, Buyer has the right to have all payments made returned to it. 7.3 Buyer and Seller also are entitled to utilize any and all other remedies or actions at law or in equity available to them and shall be entitled to obtain judgment for costs and attorney fees as permitted by law. SECTION 8. CONTRACT BINDING ON SUCCESSORS IN INTEREST. This contract shall apply to and bind the successors in interest of the parties. SECTION 9. CONSTRUCTION. Words and phrases shall be construed as in the singular or plural number, and as masculine, feminine or neuter gender, according to the context. SECTION 10. TIME FOR ACCEPTANCE. If this offer is not accepted by Seller on or before 5 o'clock p.m. Central Standard Time, March 16, 2015, it shall become void and all payments shall be repaid to the Buyer. SECTION 11.
