Curriculum Vitae Dr. Edward T. Cawley Edward T. Cawley taught on the teaching faculty of Loras for 37 years. He has served on most major committees during this time, including the Faculty Council and the Faculty Senate. He chaired the Biology Department 1982-88. He has been director of the Environmental Research Center since it's start in 1975. He has experience as a field biologist with experience in boreal, prairie, deciduous forest, southeastern forests, subtropical communities, desert, freshwater lentic and lotic habitats and coral reef communities of the Carribean and has taught courses or teacher workshops on each area. He has carried on an active program of research on mussel populations of the Mississippi river for 20 years. He has cooperated with Dr. Czarneci in studies on the Abandoned Mines lands of Iowa. He has taught programming for biologist in Apple, Macintosh, and HyperCard environments since 1980. He has worked with video for the last 15 years, including work on the Iowa Public Television series "Land Between Two Rivers" and the award winning "River of Dreams" mutimedia presentation for the Riverboat Museum in Dubuque. He developed an interactive CD-Rom on Iowa Biomes with REAP-CEP funds from the State of Iowa, and a CD Rom simulation of GIS Investigation of Pool 13, Upper Mississippi River, with funds from the US Fish and Wildlife Service for use in the River Discovery Center. He has developed a number of computer programs related to ecology and natural history. He is a consultant to the Dubuque County Historical Society in their planing for the River Discovery Center, a major Environmental museum on the Upper Mississippi River. In order to determine the suitability of alternative materials and methods of installation; to provide for reasonable interpretations of the plumbing code, to serve as an appeal body for the decisions of the building official; to advise the city council on all plumbing regulations and procedures; and to provide for examining applicants for master plumbers and journeyman plumbers licenses and issuing master plumber and journeyman plumbers licenses; there is hereby created the plumbing code board. (b) Membership. The plumbing code board shall consist of five (5) members appointed by the city council. One member shall hold a license as a journeyman plumber of at least five (5) years experience; two (2) members shall be master plumbers who have engaged in the plumbing business as master plumbers for at least five (5) years in this city; the fourth member shall be one who holds a bachelor of science degree in the area of physical sciences; and the fifth member shall represent the public at large. (c) Term of office. The term of office of all board members shall be three (3) years. (d) Rules and regulations. The board shall make such rules and prescribe such procedures as may be reasonably necessary for its operation, except that such rules shall include the following: (1) Board chairperson. The chairperson of the board shall be a member of the board elected annually by a majority of the board. (2) Secretary of the board. The building official, or the building official's designee, shall be secretary of the board. The secretary shall arrange for meetings and prepare and keep such minutes and records and perform such other clerical work as the board may direct. (3) Quorum. Three (3) members shall constitute a quorum. The concurring vote of three (3) members of the board shall be necessary to pass any motion. (4) Service until appointment of successor. Upon completion of the term of office, members of the plumbing code board shall continue to serve in their full capacity until their successor has been duly appointed. (5) Meetings. The plumbing code board shall meet at least once every three (3) months upon call of the chairperson, secretary or city manager. Members of the plumbing code board shall attend at least two-thirds (2/3) of all scheduled meetings within atwelve-month period. If any member does not attend such prescribed number of meetings, it shall constitute grounds for the board to recommend to the city council that said member be replaced. (6) Attendance. The attendance of all members shall be entered on the minutes by the secretary. (7) Conformity with open meetings law. All meetings shall be held in conformance with provisions of the Iowa Open Meetings Law. (8) Minutes. The plumbing code board shall file with the city council a copy of the minutes of each meeting of the board within ten (10) working days after such meeting. (9) Administrative policies. All administrative, personnel, accounting, budgetary, and procedural policies of the city shall govern the plumbing code board in all of its operations. (10) Duties when serving as an appeals board. Any person who is aggrieved by a decision of the building official on any requirements resulting from the enforcement of the plumbing code, may appeal from such decision to the plumbing code board and said board shall serve as an appeal board. In case the aggrieved party is a member of said board, said member shall be disqualified as a member of the board acting as an appeal board, until the person aggrieved has been heard and a decision rendered. The appeal shall be made by the person aggrieved, giving written notice of such appeal to the building official at the building official's office within seven (7) days of receipt of decision from which the appeal is taken. The plumbing code board sitting as an appeal board shall meet within seven (7) days after receiving such notice and render a decision within five (5) days thereafter. Any interested party, including the building official, shall have the right to present their case to the appeal board, whose decision shall be final unless appealed to the district court as provided by law. The board of appeals may reverse or modify a decision of the building official only on finding that: a. The building official incorrectly interpreted a provision of this code; b. The decision of the building official creates an unnecessary hardship upon the appellant. In so modifying or reversing such decision of the building official, the board of appeals may authorize any alternate to the decision of the building official and the provisions of the plumbing code, provided it finds the proposed material or method of construction is satisfactory for the use intended and complies with the provisions of this code, and that the material, method or work offered is, for the purpose intended, at least equivalent to that prescribed by this code in suitability, strength, effectiveness, durability, safety and sanitation. The board of appeals shall require that sufficient evidence or proof be submitted to substantiate any claims made regarding the use of alternates. Sec. 30.8. Licensing, Examination and Registration of Plumbers Required. (a) Definitions. As used in this section, the following terms shall have the definitions as specified herein: (1) Apprentice shall mean any person who does not hold a license as a journeyman plumber or master plumber and is assisting in the installation, alteration or repair of plumbing equipment and systems. (2) Journeyman plumber shall mean any person having the necessary qualification, training, experience and technical knowledge to do plumbing work in accordance with current plumbing ordinances of the city. (3) Master plumber shall mean a person: a. Engaged in the business of erecting, installing, altering, repairing, relocating, replacing, adding to or maintaining any plumbing equipment or systems; b. Skilled in the planning, supervising and practical installation of plumbing equipment and systems; c. Familiar with codes, rules and regulations governing the installation of plumbing equipment in the city; and d. Licensed under the provisions of this chapter. Appointment; Term: The transit advisory board shall comprise five (5) trustees appointed by the city council. All appointments shall be for a term of three (3) years or until a successor has been appointed and qualified. B. Officers: The transit advisory board shall elect from its own number a chairperson and a secretary who shall serve for such terms as the board shall determine. (Ord. 18-09, 4-6-2009) 8-2-2: COMPOSITION: The human rights commission created by this chapter shall consist of nine (9) members. (Ord. 18-09, 4-6-2009) 8-2-3: APPOINTMENT; TERMS; FILLING OF VACANCIES: The human rights commission members shall be appointed by the city council for terms of three (3) years each and shall serve thereafter until a successor has been appointed. Vacancies shall be filled for the remainder of the unexpired term. Appointments shall take into consideration the various racial, religious, cultural and social groups of the city. (Ord. 18-09, 4-6-2009) 8-2-7: RULES: The human rights commission created by this chapter may adopt, amend, or rescind such rules as may be necessary for the conduct of its business. (Ord. 18-09, 4-6-2009) 8-2-8: MEETINGS: A. Regular Meetings: The human rights commission shall meet not less than monthly on a regular basis. B. Special Meetings; Notice: The chairperson, the vice chairperson, or any three (3) members of the human rights commission may call a special meeting by giving at least twenty four (24) hours' notice to every other member of the commission. The call for a special meeting shall include an agenda and only matters included in that agenda may be acted on at the meeting. C. Conformance With Open Meetings Law: All meetings of the human rights commission shall be held in conformance with the Iowa open meetings laws. D. Attendance: Members of the human rights commission shall attend at least two-thirds (2/3) of all regularly scheduled meetings within any twelve (12) month period. If any member does not attend such prescribed number of meetings, it shall constitute grounds for the commission to recommend to the city council that said member be replaced. A majority of the members present and voting shall be necessary for the passage of any motion. The chairperson shall vote as a member of the commission. (Ord. 18-09, 4-6-2009) 8-2-10: RECORDS TO BE PUBLIC; EXCEPTIONS: All records of the human rights commission shall be public except charges, complaints, reports of investigations, statements, and other documents or records obtained in investigation of any charges shall be closed records. (Ord. 18-09, 4-6-2009) 8-2-11: CONFIDENTIALITY OF COMPLAINTS: No member of the human rights commission or its staff shall disclose the filing of a charge, the information gathered during the investigation, or the endeavors to eliminate such discriminatory or unfair practice by conference, conciliation, or persuasion unless such disclosure is made in connection with the conduct of such investigation or after the commission has held a public hearing upon a complaint filed in connection with such charge. This section does not prevent any complainant, witness, or other person from publicizing the filing of a charge or complaint or the matter therein complained of. To receive, investigate, and finally determine the merits of complaints alleging unfair or discriminatory practices. B. To investigate and study the existence, character, causes, and extent of discrimination in public accommodations, employment, apprenticeship programs, on the job training programs, vocational schools, other educational institutions, and housing in the city and to attempt the elimination of such discrimination by education and conciliation. C. To hold hearings upon any complaint made against a person, an employer, an employment agency,. a labor organization, or the employees or members thereof, to subpoena witnesses and compel their attendance at such hearings, to administer oaths and take the testimony of any person under oath and to compel such person, employer, employment agency, labor organization, or employees or members thereof, to produce for examination any books and papers relating to any matter involved in such complaint. The commission shall issue subpoenas for witnesses in the same manner and for the same purpose on behalf of the respondent upon the respondent's request. Such hearings may be held by the commission, by any commissioner, or by any hearing examiner appointed by the commission. If a witness either fails or refuses to obey a subpoena issued by the commission, the commission may petition the district court having jurisdiction for issuance of a subpoena and the court shall, in a proper case, issue the subpoena. Refusal to obey such subpoena shall be subject to punishment for contempt. D. To issue such publication and reports of investigations and research as in the judgment of the commission shall promote civil and respectful behavior which shall tend to eliminate discrimination. E. To prepare and transmit to the mayor and city council from time to time, but not less often than once each year, reports describing its proceedings, investigations, hearings conducted, and the outcome thereof, decisions rendered, and the other work performed by the commission. F. To make recommendations to the city council concerning discrimination. G. To cooperate, within the limits of any appropriations made for its operation, with other agencies or organizations, both public and private, whose purposes are consistent with those of this chapter, in the planning and conducting of programs designed to eliminate discrimination or cultural and intergroup tensions. H. To adopt, publish, amend and rescind regulations consistent with and necessary for the enforcement of this chapter. I. To delegate any of its functions, duties and powers to its staff including functions, duties and powers with respect to investigating, conciliating, determining, certifying, reporting, or otherwise acting as to any work, business, or matter under this title. ARTICLE II OFFICES The principal office of the corporation in the State of Iowa shall be located in the City of Dubuque. The corporation may have such other offices, either within or without the State of Iowa, as the Board of Directors may determine or as the affairs of the corporation may require from time to time. The corporation shall have and continuously maintain in the State of Iowa a registered office, and a registered agent whose office is identical with such registered office, as required by section 504A.8 of the Iowa Code. The address of the registered office may be changed from time to time by the Board of Directors. ARTICLE III MEMBERS The corporation shall have no members. ARTICLE IV BOARD OF DIRECTORS Section 1. General Powers. The affairs of the corporation shall be managed by its Board of Directors. Section 2. Composition, Tenure and Qualifications. The initial Directors, as named in the Articles of Incorporation of the Foundation, shall serve until the appointment of replacement Directors as specified in this section. After the term of the initial Directors, The Board of Directors shall be five, two of whom shall be appointed by the City of Dubuque City Council and three of whom shall be appointed by MCC Iowa, LLC. Each director shall hold office for one year from the date of his or her appointment, and shall serve at will until his or her successor has been appointed and qualified. Notwithstanding any other provision of these by- laws, no change to the number of directors shall be made except by unanimous approval of all of the directors of the Foundation. Section 3. Regular Meetings. The Board of Directors may provide by resolution the time and place, either within or without the State of Iowa, for the holding of regular meetings of the Board without other notice than such resolution. Section 4. Special Meetings. Special meetings of the Board of Directors maybe called by or at the request of the President or any two Directors. The person or persons authorized to call special meetings of the Board may fix any place, either within or without the State of Iowa, as the place for holding any meeting of the Board called by them. Section 5. Notice. Notice of any special meeting of the Board of Directors shall be given at least five business days previously thereto by written notice delivered personally or sent by mail or telegram to each Director at his or her address as shown by the records of the corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail in a sealed envelope so addressed, with postage thereon prepaid. If notice be given by telegram, such notice shall be deemed to be delivered when the telegram is delivered to the telegraph company. Any Director may waive notice of any meeting. The attendance of a Director at any meeting shall constitute a waiver of notice of such meeting, except where a -2- Director attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of, any regular or special meeting of the Board need be specified in the notice or waiver of notice of such meeting, unless specifically required by law or by these by-laws. Section 6. Quorum. A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board; but if less than a majority of the Directors are present at said meeting, a majority of the Directors present may adjourn the meeting from time to time without further notice. Section 7. Manner of Acting. The act of a majority of the Directors present at a meeting at which a quorum is present shall be the act of the Board of Directors, unless the act of a greater number of Directors is required by law or by these by-laws. Section 8. Vacancies. Any vacancy in the Board of Directors created by the departure of a director originally appointed by the City Council shall be filled by a succeeding director appointed by the City Council and any vacancy in the Board of Directors created by the departure of a director originally appointed by MCC Iowa shall be filled by a succeeding director appointed by MCC Iowa. A Director elected to fill a vacancy shall be elected for the unexpired term of his or her predecessor in office. Section 9. Compensation. Directors as such shall not receive any stated salaries, for their services, but by resolution of the Board of Directors a fixed sum and expenses of attendance, if any, maybe allowed for attendance at each regular or special meeting of the Board not to exceed the sum of $50 for each director for each meeting and further not to exceed the sum of $600 per year for any one director; but nothing herein contained shall be construed to preclude any Director from serving the corporation in any other capacity and receiving compensation therefor. Section 10. Informal Action by Directors. Any action required by law to be taken at a meeting of directors, or any action which maybe taken at a meeting of directors, may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all of the Directors. ARTICLE V OFFICERS Section 1. Officers. The officers of the corporation shall be a President, one or more Vice Presidents (the number thereof to be determined by the Board of Directors), a Secretary, a Treasurer and such other officers as maybe elected in accordance with the provisions of this Article. The Board of Directors may elect or appoint such other officers, including one or more Assistant Secretaries and one or more Assistant Treasurers, as it shall deem desirable, such officers to have the authority and perform the duties prescribed, from time to time, by the Board of Directors. Any two or more offices may be held by the same person, except the offices of President and Secretary. -3- Section 2. Election and Term of Office. The officers of the corporation shall be elected annually by the Board of Directors at the regular annual meeting of the Board of Directors. If the election of officers shall not be held at such meeting, such election shall be held as soon thereafter as conveniently maybe. New offices may be created and filled at any meeting of the Board of Directors. Each officer shall hold office until his or her successor shall have been duly elected and shall have qualified. Section 3. Removal. Any officer elected or appointed by the Board of Directors may be removed by the Board of Directors whenever in its judgment the best interests of the corporation would be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the officer so removed. Section 4. Vacancies. A vacancy in any office because of death, resignation, removal, disqualification or otherwise, maybe filled by the Board of Directors for the unexpired portion of the term. Section 5. President. The President shall be the principal executive officer of the corporation and shall in general supervise and control all of the business and affairs of the corporation. He or she shall preside at all meetings of the Board of Directors. He or she may sign, with the Secretary or any other proper officer of the corporation authorized by the Board of Directors, any deeds, mortgages, bonds, contracts, or other instruments which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by these by-laws or by statute to some other officer or agent of the corporation; and in general he or she shall perform all duties incident to the office of President and such other duties as may be prescribed by the Board of Directors from time to time. Section 6. Vice President. In the absence of the President or in event of his or her inability or refusal to act, the Vice President (or in the event there be more than one Vice President, the Vice Presidents in the order of their election) shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. Any Vice President shall perform such other duties as from time to time may be assigned to him or herby the President or by the Board of Directors. Section 7. Treasurer. If required by the Board of Directors, the Treasurer shall give a bond for the faithful discharge of his or her duties in such sum and with such surety or sureties as the Board of Directors shall determine. He or she shall have charge and custody of and be responsible for all funds and securities of the corporation; receive and give receipts for moneys due and payable to the corporation from any source whatsoever, and deposit all such moneys in the name of the corporation in such banks, trust companies or other depositaries as shall be selected in accordance with the provisions in Article VII of these by- laws; and in general perform all the duties incident to the office of Treasurer and such other duties as from time to time maybe assigned to him or her by the President or by the Board of Directors. Section 8. Secretary. The Secretary shall keep the minutes of the Board of -4- Directors in one or more books provided for that purpose; see that all notices are duly given in accordance with the provisions of these by-laws or as required by law; be custodian of the corporate records and of the seal of the corporation and see that the seal of the corporation is affixed to all documents, the execution of which on behalf of the corporation under its seal is duly authorized in accordance with the provisions of these by-laws; and in general perform all duties incident to the office of Secretary and such other duties as from time to time maybe assigned to him or her by the President or by the Board of Directors. Section 9. Assistant Treasurers and Assistant Secretaries. If required by the Board of Directors, the Assistant Treasurers shall give bonds for the faithful discharge of their duties in such sums and with such sureties as the Board of Directors shall determine. The Assistant Treasurers and Assistant Secretaries, in general, shall perform such duties as shall be assigned to them by the Treasurer or the Secretary or by the President or the Board of Directors. ARTICLE VI COMMITTEES Section 1. Committees of Directors. The Board of Directors, by resolution adopted by a majority of the Directors in office, may designate and appoint one or more committees, each of which shall consist of two or more Directors, which committees, to the extent provided in said resolution, shall have and exercise the authority of the Board of Directors in the management of the corporation, except that no such committee shall have the authority of the Board of Directors in reference to amending, altering or repealing the by-laws; electing, appointing or removing any member of any such committee or any Director or officer of the corporation; amending the articles of incorporation, restating articles of incorporation; adopting a plan of merger or adopting a plan of consolidation with another corporation; authorizing the sale, lease, exchange or mortgage of all or substantially all of the property and assets of the corporation; authorizing the voluntary dissolution of the corporation or revoking proceedings therefor; adopting a plan for the distribution of the assets of the corporation; or amending, altering or repealing any resolution of the Board of Directors which by its terms provides that it shall not be amended, altered or repealed by such committee. The designation and appointment of any such committee and the delegation thereto of authority shall not operate to relieve the Board of Directors, or any individual Director, of any responsibility imposed upon it or him or her by law. Section 2. Other Committees. Other committees not having and exercising the authority of the Board of Directors in the management of the corporation may be appointed in such manner as maybe designated by a resolution adopted by a majority of the Directors present at a meeting at which a quorum is present. Except as otherwise provided in such resolution, members of each such committee shall be Directors, and the President of the corporation shall appoint the members thereof. Any member thereof maybe removed by the person or persons authorized to appoint such member whenever in their judgment the best interests of the corporation shall be served by such removal. Section 3. Term of Office. Each member of a committee shall continue as such until the next annual meeting of the members of the corporation and until his or her successor is -5- appointed, unless the committee shall be sooner terminated, or unless such member be removed from such committee, or unless such member shall cease to qualify as a member thereof. Section 4. Chairman. One member of each committee shall be appointed chairman by the person or persons authorized to appoint the members thereof. Section 5. Vacancies. Vacancies in the membership of any committee may be filled by appointments made in the same manner as provided in the case of the original appointments. Section 6. Quorum. Unless otherwise provided in the resolution of the Board of Directors designating a committee, a majority of the whole committee shall constitute a quorum and the act of a majority of the members present at a meeting at which a quorum is present shall be the act of the committee. Section 7. Rules. Each committee may adopt rules for its own government not inconsistent with these by-laws or with rules adopted by the Board of Directors. ARTICLE VII CONTRACTS, CHECKS, DEPOSITS AND FUNDS Section 1. Contracts. The Board of Directors may authorize any officer or officers, agent or agents of the corporation, in addition to the officers so authorized by these by- laws, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the corporation, and such authority may be general or confined to specific instances. Section 2. Checks, Drafts, etc. All checks, drafts or orders for the payment of money, notes or other evidences of indebtedness issued in the name of the corporation, shall be signed by such officer or officers, agent or agents of the corporation and in such manner as shall from time to time be determined by resolution of the Board of Directors. In the absence of such determination by the Board of Directors, such instruments shall be signed by the Treasurer or an Assistant Treasurer and countersigned by the President or a Vice President of the corporation. Section 3. Deposits. All funds of the corporation shall be deposited from time to time to the credit of the corporation in such banks, trust companies or other depositaries as the Board of Directors may select. Section 4. Gifts. The Board of Directors may accept on behalf of the corporation any contribution, gift, bequest or devise for the general purposes or for any special purpose of the corporation. -6- ARTICLE VIII BOOKS AND RECORDS The corporation shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its Board of Directors and committees having any of the authority of the Board of Directors. All books and records of the corporation maybe inspected by any Director, or his or her agent or attorney, for any proper purpose at any reasonable time. ARTICLE IX FISCAL YEAR The fiscal year of the corporation shall begin on the first day of January and end on the last day of December in each year; provided that the first fiscal year of the corporation shall begin on first date of corporate existence of the corporation pursuant to the Articles of Incorporation of the corporation as filed with the Iowa Secretary of State. ARTICLE X WAIVER OF NOTICE Whenever any notice is required to be given under the provisions of the Iowa Non-Profit Corporation Actor under the provisions of the articles of incorporation or the by-laws of the corporation, a waiver thereof in writing signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice. ARTICLE XI AMENDMENTS TO BY-LAWS Except as provided in Article IV hereto, these by-laws may be altered, amended or repealed and new by-laws maybe adopted by a majority of the Directors present at any regular meeting or at any special meeting, if at least two days' written notice is given of intention to alter, amend or repeal or to adopt new by-laws at such meeting. 171585_1 -7- CITY OF DUBUQUE, IOWA BOARD/COMMISSION APPLICATION FORM Individuals serving on Boards and Commissions play and important role in advising the Council on matters of interest to our community and its future.
