LICENSE AGREEMENT
BETWEEN
THE CITY OF DUBUQUE, IOWA
AND
HIRSCHBACH MOTCIR LINES, INC.
T is License Agreement(the Agreement), dated for reference purposes the
day of , 2018, is made and entered inta by and between the City of
Dubuqu , lowa a municipal corporation (City) and Hirschbach Mokor Lines,
Inc,(Hirschbach}, an lowa for-profit corporation with its principal place of business in
Dubuque, 1owa.
IIUHEREAS, City af Dubuque is the owner of an area available for use {the
Licensed Area) shown on the a�tached Exhibit A and by reference incorpgrated herein as
though fully set aut herein; and
WHEREAS, City and Hirschbach are desirous of entering info an agreement where �
City gran#s ta Hirschbach a license for the privilege of using the Licensed Area for 1
praviding truck driving training to Hirschbach employees under the terms and conditions !

NOW THEREFORE, in consideratian of the mutual covenants and agreements set �

SECTIC?N 1. TERM OF AGR�EMENT. Subject to Paragraph 11, Cit�r hereby grants to
Hirschbach a nonexclusive license to use the Licensed Area for truck driving training of
Hirschbach employees from Aprif 1, 2018 thraugh June 30, 2018. :

Hirschbach understands the City will license this area far the use af other en#ities during '
the term af this Agreement. (ndividuals and entities holding City of Dubuque Special i
Event Permits for usage of the area shown on Exhibit A will take priority over �
Hirschbach during the term of the special event permit, Hirschbach may obtain �
infarmation an the dates of permitted special events from the City Clerk's Office. �
SECTION 2. PARKING LICENSE USE �EE. The license use fee (the Fee) for the �
Licensed Area is One Dollar ($1.00) for each day the Licensed Area is used by i
Hirschbach.
SECTION 3. USE OF PREMISES �

3.1 Hirschbach covenants and agrees ta use and occupy the Licensed Area for truck
driving training of Hirschbach employees only.

3.2 Nirschbach may not place or allow any permanent structure on or in the Licensed
Area. Temporary structures ta facilita#e truck driving training of Hirschbach employees
are authorized.
SEGTION 4. ASSIGNMENT AND SUB�ETTING. Hirschbach may not assign or sublet
this Agreement or the Parking Area nor any portion fhereof.
SECTION 5. MAINTENANCE OF PROPERTIES. City shall be responsible for snow
and ice removaf in the Licensed Area at its expense. Hirschbach shall be responsible far
removing any trash from the Licensed Area fallowing each training date.
SECTION 6. RESP4NSIBILITY FOR ENFORCEMENT, City is not respansible in any
manner far enforcement of Hirschbach's privilege to use the Licensed Area. Hirschbach
must use the Licensed Area in a manner that is compatible with the City's operation �f
the licensed area and may not cause or aIIQw any conflicts or inferruptions to the City's
operation.
SEGTION 7. DEFAULT. !f Hirschbach defaults in the payment of khe Fee hereunder
or any p�art thereof, or defaults in the pertormance of any of the other cavenants herein
cantained, and such default continues far a periad of thirty {3Q) days af#er wrikten natice �
fhereof; specifying the defauit camplained of, mailed to Hirschbach by United States !
certified mail, then City may, at its e�ection, declare the terms of this Agreement ended �
and re-enter the Licensed Area, with or withaut process of law, and expel and remove
Hirschi�acn or any person or persons in or upon 'tne Licensed �rea, using such rorce as �
may be necessary under the circurnstances; and if at any time, by reason of such default i
o# Hirschbach and the continuance thereof for such period of thir�y {30) days after written �
notice has been given, said term will be so ended, Hirschbach hereby covenants and �
agrees to surrender and deiiver up the Licensed Area peaceably to the City. �

SECTION 8. INDEMNITY. Hirschbach agrees to defend, indemnify and hold harmless ;
City, its officers, agents and employees, from any and all damages or claims whatsoever �
by reason of Hirschbach's use of the Licensed Area and further agrees to reimburse City ,
for any and alE damage fa the Licensed Area resuiting fram the use of the Licensed Area
far activities associated with Hirschbach's business. City agrees to pramptly give nofice
of any and all damages or claims and to permif Hirschbach andlor its insurance carrier to �
investigate and defend the same.
SECTION 9. INSURANCE. Hirschbach must at afl times during the Term maintain
insurance in accordance with City Insurance Schedule A as shown in Exhibit B.
SECTION 10. SURRENDER OF PREMISES AT END QF TERM. Hirschbach agrees
that upon termination of this Agreement it will surrender, yield up and deliver the Licensed
Area in good, clean conditian.
