AND
ST. MARK YOUTH ENRICHMENT
This Agreement, dated for reference purposes the ��day of , 2019,
is made and executed between the City of Dubuque, lowa, (Ci y), a municipal
carporation, and St. Mark Youth Enrichment (St. Mark), an lowa non-prafit corporation
with its principle office in Dubuque, lowa.
!^lHERE��, City and St. l��ark desire t� enter into ar agreement ��rrhereby City
grants permission to St. Mark to use Multicultural Family Center (MFC) South located at
1101 Central Avenue owned by City (the Building), upon the terms and conditions
hereinafter stated.
NOW, THEREF�RE, in consideration of the mutual covenants and agreements
of the City and St. Mark, each to the other, it is agreed as follows:
SECTION 1. PREMISES. City hereby grants to St. Mark the privilege to use the
Bui[ding as set forth herein.
SECTION 2. TERM OF AGREEMENT. The term of this Agreement is June 10, 2019
through August 5, 2Q19.
SECTION 3, RENTAL. St. Mark must pay to City on or before June 10, 2019 rent of
$1.00.
SECTION 4. USE OF PROPERTY.
4.1. St. Mark agrees that the Building will be used only for the St. Mark Heroes
Summer Academy.
4.2. St. Mark sponsors the Heroes Summ�r Academy from 8:00 a.m. to 12:00 p.m.
every Monday through Friday from June 17, 2019 through August 2, 2019. Set up far
the Heroes Summer Academy will begin at 7:45 a.m. with doors ciosing at 12:45 p.m.
There will be no pragram the week of July 1, 2019 through July 5, 2019. The use of the
Building will be limited to those days and the times listed,
4.3 MFC tables and chairs wili be available for St. Mark use. If tables and chairs are
left set up, khey may be used for other events that might take place in the Building on
other days and times of the week that are not designated in this Agreement.
4.4 St. Mark will be allowed to use only the main meeting area, small meeting rooms,
kitchen area and restrooms of the building.

4.5 City will provide two keys to 5t. Mark employees assigned to opening and closing
the Heroes Summer Academy in the Building. City will also provide two keys ta St.
Mark employees to "MFC North", 1157 Centrai Avenue owned by the City, for access to
the front door and basement for use in case of tornado warnings. The keys will be
provided on the first day of the Term of this Agreement and must be returned to the
MFC Director on the final day of the Term of this Rgreement.
4.6 City will provide Wi-Fi internet access through a "Hot Spot".
SECTION 5. GROUNDS AND MAINTENANCE. St. Mark is responsible for the
following:
5.1 Returning the Building to the condition prior to its use by St. Mark after each
program day. The areas used shall be cleaned, swept and/or vacuumed after each use.
5.2 Collecting and removing trash during the Term of the Agreement.
5.3 Complying with all applicable City ordinances, including building and electrical
codes.
5.4 Restrooms and mopping of floars shall be cleaned by City.
SECTION 6. MANAGEMENT AND CONTROL OF THE BUtI.DING. St. Mark agrees
that City will continue to have sole management authority and control of the Building.
SECTION 7. INSURANCE. St. Mark must provide insurance as required by the
attached Insurance Schedule A.
SECTION 8. INDEMNITY. St. Mark agrees to save, defend, indemnify and hold
harmless City, its officers, agents and emplayees, against any and all loss, damage,
claims, causes of action, judgments, costs and expenses that City may hereafter suffer,
incur, be put to, pay or lay aut by reason of the performance or lack of performance by
St. Mark andlor its agents and employees of the conditions of this Agreement.
SECTION 9. ASSIGNABILITY. St. Mark may not assign, transfer, or sublet any
interest in this Agreement.
SECTION 10. TERMINATION. In the event St. Mark fails to keep, perform and
observe in a timely and proper manner any of its covenants or obligations under this
Agreement, City may, at its option, terminate this Agreement by delivering twenty-four
(24) hours written notice to St. Mark, in which event St. Mark must immediately remove
all of its displays and other property and equipment from the Building and restore the
Building to its condition prior to the commencement of the Term.
