PARTIES
1. Plaintiff Frantz Family Properties, L.L.C. ("FFP") is a domestic limited liabiliry
company organized and existing under the laws of the State of Iowa, liaving its p�incipal place of
business in Linn County, Iowa.
2. Plaintiff 73 CHS Forwards, LLC ("CHS Fotwards") is a domestic limited liabiliry
company organized and existine under the laws of the Stete of Iowa, Iiaving its principal pface of
business in Joh�so�1 County, Iowa.
3. DePe�da�t Ru�ker Financial, LLC ("Bazker FinaueiaP') is a domestic limited
liability company oreanized and existing under t6e Izws of the State of]owa, having its principal
plece of business in Johnson Counry, ]owa.
4. Defendant Dubuque 13ank and Tmst Company ("DB&T") is a domestic baiilc

5. Defe�da�t Ciry of Dubuquc ("City'� is an lowa municipaliry locafed io Dubuque
County, Iowa.
6. Venuc is appropiiate before this Cow4 beeause this aetion concerns rcal properry �
located in Dubuque Counry and two of the Defendanis reside in Dubuque County. Iowa Code
§§ 616.7, 616.17.
7. The amount in controversy exceeds the threshold of this Court.
COMMON ALLEGATIONS
8. From approximately December 1, 2003, to approximately August 15, 2018,
MichaeL D. Fcantz ("Frantz") was a Member and Manager of FFP.
9. Prom 201 I to approximately August 15, 2018, Pra��tz was a Member and Manager
of CHS Forwa�ds.
10. Frana holds a 412% interest in FFP, and FPP holds an 88.24% interest iu CHS
Forwards.
11. On June 30, 20L0, CHS I'orwards purchased real property localty Imown as 299
Main Stceet and 201 West 3rd Sn-ut, Dubuqne, Iowa (`Cooper Wagon Building"), and legally
desc�ibed as:
Lot 73 (exeept the southerly 3 inches therco�, in the City of Dnbuque,
Iowsy according to the U�ited States Commissioners' mTp thoreof.
12. On August I6, 2010, CHS Forwards and the City entei�ed info a Development
Ae�eement, pursnant to which CHS Fo�wai�ds agreed to provide certain improvements to tl�e
Coopee Wagon Building and the Ciry agreed to provide aid for said improvements.
13. Ci-IS Forwards completed the improvements to the Cooper Wagon Building.
14. Certain iights grantcd to and obligations imposed upou CHS Foiwards by the �

Development Agreeme�t survived completion of the imp�rovements.
15. On or about April 16, 2014, purportedly in his capacity as Manager of CHS
Fo�wards, Prantz executed a Mortgage on the Cooper Waeon Building for the benefit of Barker
Financial purporting to secure a $1,600,000 loa� to Fra�tz Ve�itures, L.L.C. ("Prantz Ve�tures").
As seeurity, F�a�tz purported to pledge the Cooper Wagon Auilding. A true and con�eet copy of
the Mortgage is altached as Exhibi[ ("Ex.") I.
l6. Upon infoimation and belief, Frantz is t6e sole Member and Manager of Frantz
Ventuxes.
7 7. Frantz Ve�tures holds no interest in FFP or CHS Forwards. Neither FFP nor CHS
Forwa�ds holds any interest i� F�antz Ventures.
18. Neither CHS Porwa�ds nm�thc individual members of CHS Forwards authocized
Frantz to execute the Mortgage or pledge the Cooper Wagon Building as security for fhe v[oitgage.
19. Accordingly, Frantz did nof have the reyuisite authority to enter i�to tlie Mortgage
on bchalf of CHS Foiwa�ds.
20. Barker Financial knew or should have known that Frana did not have the requisite
autliority to enter into the Morfgage on behalf of CHS Foiwards.
21. FFP received no consideration for the Moitgage.
22. CHS Forwards received no considcration fo�the Mo�tgage.
23. On or about November 2, 2016, �uiportedly in his capacity as Manager of CI-IS
Forwards,Frantz executed a Speeial Wan�anty Deed, purpoitine to transfer a one-hundred percent
(100%) interest in tlie Cooper Wagon Buildiug to Barker Fivaucial. A true and coirecf copy of the
Special Warranty Ueed is attached as Ex. 3.
24. "I'hc Special Warranty Deed was executed in licu of foreclosure of the Mortgage.

See 6x. 2 at 2 ("This deed is exempt from transfer tax pursuant to Iowa Code § 428A2(]8).").
25. Neither CHS Forwards nor the individual membc�s of CHS Forwards authorized
Prantz to execute the Special Wareanty Deed conveying the Cooper Wagon Building to Barker
Financial.
26. Accocdingly, Frantz did not 6ave the req�isite authoriTy to execute tl�e Spccial
Wan�anty Deed on behalf of CHS Porwards.
27. Barker Finaocial knew or should have known tl�at Frantz did not have the requisite
authority to exuute the Special Warranty Dced on behalf of CHS Forwacds.
28. Ba�ker Financial Irnew or should have known that Frantz executed the Mortgage
and thc Special Warranty Deed for his own personal benefit to secure loans to Frantz Ventures,
and no[ for [he be�efit of PFP or CHS Forwazds.
29. On Ap�il 10, 2017, David Barker, as Manager of Barker Financial, executed a
2elease stating that the Mortgage was rcleased,satisfied, and discharged in full. A tme and corcect
copy of the Release is attached as Ex. 3.
30. On April 14, 2017, David R. Barker, as Manage�� of Barker Financial, executed a�
Assig�me�t of Rents in favor of DB&.'P, assigning all i�e�ts from the Cooper Wagon Building to
DB&T. A true and co�rcef copy of the Assigmnent is attached xs Ex. 4.
3L On Apiil 18, 2017, David R Barker, as Manager of Barker Pinancial, executed s
Moitgage in favor of DB&T securine credit in thc unount oC$2,060,000. lhe Cooper Wagon
Building was pledaed as securiry. A true and correet copy of the Mortgage is attached as Ex. 5.
32. On July 31, 2017, pwpmtedly as Manager of CHS P'orwards, Franb executed an
Assignmcnt of Development Agreemcnt, purporting to assign CHS Pmwards' rights under ttie
Developmci�t Agmement to Barker F'inuieiaL The City consented to tlie assignment. A true aud

33. David Berker, as President of Barker Pinancial, also executed the Assignment of
Development Agreement.
COUNT t: BREACH OF CONTRACT (WR7'fTF.N)
(against Barker Ninancial, LLC)
34. Plaintiffs rcallege paragraphs 1 through 33 as if fully set forth in this paragcaph 34.
35. Neither PPP nor CI-IS Porwards received adequate consideration for the Moitgage.
36. Because tlie Mortgage was not supported by adequa[e consideration, it was not an
cnforceable contract.
37. Because the Mortgage was not an e�forceable eontract, Barker Financial was not
entitled [o fo�eclose or otherwise enfome it.
38. Barker Financial la�ew or should have Irnown that the Mortgage was not supported
by adequate consideration from FFP or CHS Fo�wards. Nonetheless, Barker Financial enforced
tlie Mortgage and accepted the Special Warranry Deed to the Cooper Wago� Building in lieu of
forecbsing the Mortgage.
39. Becaase the Mortgage was wienforceable, the Special Warrn�ry Deed was not
supported by adequate coosideration and is unenforceable.
40. Barker Financial Imew or should have laiown that the Special Warranty Deed was
not enforceable because it was not supported by adequate consideration.
41. Hazker Fina�lcial's eonduct was in willfuL and malicious disxegard for Ptaintiffs'
�iglits.

lieu of fbreclosure of the Morlgage.
44. Because the Mortgage was u�enforeeable for Iack of consideration,the eonveyance
of the Cooper Wagou [3uilding to Barkec Pinancial was not supported by adequate consideration.
45. Furthermore, Prantz lacked the requisite eompany authoriry to execute the
Mortgage and the Special Wan�anTy Deed on behalf of CHS Fo�wards to convey the Cooper Wago�
Building to Barker Fivancial.
46. DB&T holds a morigage on the Cooper Wagon Building. Accoidingly, DB&T is a
❑ecessary party to Plaintiffs' claim to quiet tiNe.
WHERF,FORE, Plaintiffs Frantz Pamity Properties, L.G.C. and 73 CHS Foiwards, LLC,

assignment.
51. Barker Pinancial knew or should have known that the Assignment of Dcvelopment
Agieement was not s�ppoited by adequate considerarion.
52. Barker Fina�ciaPs eonduct has been in willfial and malieious disregard for
Plaintiffs' i�ights.
WHEREFORE, Plaintiffs Prantz Family Properties, L.L.C. and 73 CHS Porwards, LLC,
respectfully xequest that this Court cnter judgment in their favor and against llefendants Barker
Financial, LLC and the Ciry of Dubuque, rescinding the Assignment of Development Agreement,
or, in the alternative, awarding Plaintiffs damages arisi��g from thc invalid and u�enforceable

Cooper Wago� Building.
57. It would be unjust for Defendants to benefit by depxiving FFP and CHS Poiwards
of their interests in the Cooper Wagon Building without fi�ty compensating them.
58. Defendanfs' eonduct has been in willful and malicious disregard for Plai�tiffs'
rights.
WHEREFORE, Plxintiffs Fcantz Family Properties, L.L.C. and 73 CHS Forwards, LLC,

ASSIGNMENT OF DEVELOPMENT AGREEMENT
THIS ASSIGNMEI�,T,OF DEVEL PMENT AGREEMENT (Assignment) dated for
reference puiposes the�day of 2017 is entered into by and between
73 CHS Forvvards, L.L.C., an lowa lim d lia ility company(Developer), Barker Financial,
LLC, an lowa limited liabiliry company (Barker), and the City of Dubuque, lowa (City).
WHEREAS, Ciry and Developer entered into a Development Agreement dated
August 16, 2010 (Development Agreement); and
WHEREAS, pursuant to the terms of the Development Agreement Developer was
to provide ceAain improvements to real estate owned by Developer, such property legally
descnbed as: Lot 73(except lhe southerly 3 inches thereo�in the City of Dubuque, lowa,
, according to the United States Commissioners Map. The real estate conveyed herein is
also locally known as 299 Main Street, Dubuque, lowa (Property). Subject to the
requirements and restrictions of that Development Agreement, City agreed to take certain
actions to aid in the rehabilitation of the Property; and
WHEREAS, Property was rehabilitated per the terms of the Development
Agreement and was subsequently deeded to Barker. As such Developer desires to
assign all of its rights and obligations under the Development Agreement to Barker and
Barker desires to accept such rights and obligations; and
WHEREAS, the parties desire to set forth their agreement regarding such
assignment in writing.
NOW, THEREFORE, the parties to ihis Assignment of Development Agreement,
in consideration of the promises, covenants and agreements made by each other, do
hereby agree as follows:
Section 1. ASSIGNMENT. Developer does hereby assign, transfer and convey to
Barker each and every right and obligation of Developer in and under the Development
Agreement.
Section 2. ACCEPTANCE. Barker does hereby accept all dghts and obligations of

Developer under the Development Agreement and agrees to be bound by such
agreement and lo be responsible for every obligation of Developer thereunder.
Section 3. CONSENT. City does hereby consent to the assignment as set forth herein
and releases Devefoper from any obligations that accrue under the terms of the
Development Agreement aker the date hereof.
Section 4. MISCELLANEOUS. This agreement is binding upon the parties hereto and
their successors and permitted assigns and shall be governed by and construed under
the laws of the state of lowa.

its name and behalf by its Mayor and attested to by its Ciry Clerk and Developer has
caused this Agreement to be duly executed on or as of the first above written.

APPROVING THE ASSIGNMENT OF THE DEVELOPMENT AGREEMENT BETWEEN
THE CITY OF DUBUQUE AND 73 CHS FORWARDS, L.L.C. PROM 73 CHS
FORWARDS, L.L.C. TO BARKER FINANCIAL, LLC.
WHEREAS, the City Council of the City of Dubuque, by Resolution No. 333-10, dated I
August 16, 2010 entered into a Development Agreement with 73 CHS Forwards, L.L.C.
(Developer), and;
WHEREAS, pursuant to the Development Agreement Developer provided certain
improvements to real estate owned by 73 CHS Forwards, L.L.C.; known locally as the
Cooper Wagon Works Building located at 299 Main Street, Dubuque, lowa(the Property);
and
WHEREAS, the Property has been deeded to Barker Financial, LLC, an lowa limited
liability company; and
WHEREAS, Developer desires to assign the Development Agreement to Barker
Financial, LLC pursuant to the Assignment attached hereto following the sale of the
Property; and
W HEREAS, the City Council finds that it is in the best interests of the City of Dubuque
to approve the Assignment.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
DUBUQUE, IOWA:
Section 1. The Assignment is hereby approved. �
Section 2. The Mayor is hereby authorized and directed to execute the Assignment on
behalf of the City of Dubuque.
Section 3. The City Clerk's Office is authorized and directed to record this resolution
