The low bid in the amount of $3,198,000 was 27.3% over the architect's estimate. Project Manager Steve Sampson Brown recommends the City Council reject the bids received for the Chaplain Schmitt Veterans Memorial Project. The memorandum dated November 1, 2018 that came to the City Council for approval of the agreement with the DRA created a Chaplain Schmitt Project Advisory Committee consisting of three City representatives and three DRA representatives. One of the primary purposes of the Chaplain Schmitt Project Advisory Committee is to ensure that the cost of the Improvements does not exceed $3,220,000.00. The Chaplain Schmitt Project Advisory Committee will make any changes to the Improvements, including but not limited to alternate materials or designs and elimination of Improvements, necessary to ensure that the cost of all Improvements does not exceed $3,220,000.00. City Leisure Services and Engineering staff, along with the consultant team, will value engineer the design and create alternatives that produce cost saving measures. It is anticipated that the project will be rebid later this year after value engineered alternatives that will deliver the project on budget have been reviewed and approved by the Chaplain Schmitt Project Advisory Committee. Van Milligen - City Manager FROM: Steve Sampson Brown — Project Manager SUBJECT: Chaplain Schmitt Veterans Memorial Project— Rejection of Bids CIP 100-2781 DATE: August 13, 2019 INTRODUCTION The enclosed resolution is in reference to the rejection of bid proposals received for the Chaplain Schmitt Veterans Memorial Project. BACKGROUND At the November 5, 2018 City Council Meeting approved the Chaplain Schmitt Island Improvement Agreement between the City of Dubuque and the Dubuque Racing Association, LTD (DRA) for the development of the Chaplain Schmitt Veteran's Memorial Project. At the December 17, 2018 City Council Meeting, the City Council approved giving authorization to the City Manager to negotiate the final terms of an agreement with RDG Planning & Design (RDG) and to execute a contract for design, engineering and construction administration services for the Chaplain Schmitt Veteran's Memorial Project. RDG completed their design work and the contract documents for the project are ready for bidding. On July 1, 2019, the City Council approved initiating the public bidding process for the Chaplain Schmitt Veterans Memorial Project. The architect's estimated construction cost for the project was $2,511,000.00. The proposed improvements for the memorial included several amenities to hor�or Veterans, Cha�lain Schmitt himself, and improve the overall experience and enhance the existing monuments. The proposed improvements also included enhancing the Veterans Memorial Plaza by improving the edge of the pond with a pathway, seating, and plaza expansion space for additional memorials and Veterans' tributes. A gateway sign was proposed to be installed where Admiral Sheehy Drive intersects E. 16t" Street along with clean-up of the pond edge to enhance viewsheds. The proposed Chaplain Schmitt Island Memorial itself was composed of a decorative swirling concrete path that transforms into an elevated boardwalk that extends from the Veteran's Plaza over the pond. Located at the end of the boardwalk was a circular landing that contains a structure/sculpture titled "Skyward". The structure/sculpture was proposed to be a 52' long stainless-steel sheet with vertical cut slits that is 24' high on one end and tapers down to 15' on the other end. The sheet was then to be loosely be rolled to a diameter of 11'. An opening would allow pedestrians to enter the sculpture to where they would be able Page 1 of 2 to read a poem that would be etched on the metal. The design also included colorful nighttime lighting used in a subtle way to honor our veterans and add prominence to the memorial. The proposed improved and expanded Memorial Plaza was intended to facilitate formal and informal gatherings, ceremonies, and contemplation. The Plaza as designed would have become part of the overall public space system on the island. Lastly, the Tri-State Vietnam Veteran's Memorial which is currently located by Miller Riverview Park was to be relocated to the new Memorial Plaza. DISCUSSION Three Bids were received on August 1, 2019, for the Chaplain Schmitt Veterans Memorial Project. Portzen Construction Inc, Conlon Construction Co., and Tricon Construction Group each submitted a bid. All three bids were substantially over the estimated construction cost. The low bid submitted by Portzen Construction Inc., in the amount of$3,198,000.00 was 27.3% over the architect's estimate. More detailed information on the bids can be found on the attached Bid Tabulation Sheet. In accordance Section 2.2 of the Dubuque Racing Association Chaplain Schmitt Island Improvement Agreement by and between the City of Dubuque, lowa and The Dubuque Racing Association, LTD dated October 25, 2018, all design, bids, change orders over $5,000.00, and design changes must be approved by a majority of the Chaplain Schmitt Project Advisory Committee. The Project Advisory Committee has been notified that the City intends to reject the bids and they did not voice any opposition to the action. City Leisure Services and Engineering staff along with the consultant team will value engineer the design and create alternatives that produce cost saving measures. It is anticipated that the project will be rebid later this year after value engineered alternatives that will deliver the project on budget have been reviewed and approved by the Project Advisory Committee. RECOMMENDATION I recommend that the City Council reject the bids received for the Chaplain Schmitt Veterans Memorial Project. Van Milligen, City Manager SUBJECT: Schmitt Island Improvement Agreement between the Dubuque Racing Association and the City of Dubuque DATE: November 1, 2018 Leisure Services Manager Marie Ware and Assistant City Attorney Maureen Quann have negotiated a Schmitt Island Improvement Agreement between the Dubuque Racing Association (DRA) and the City of Dubuque. The agreement has been unanimously approved by the Dubuque Racing Association Board of Directors. Chaplain Schmitt Island —Veteran's Memorial Site improvements include: The proposed improvements for the Veterans Memorial on Chaplain Schmitt Island will include a number of amenities to honor veterans, Chaplain Schmitt, improve the overall experience and enhance the existing monuments. All of the existing memorial elements will be preserved in their current location or integrated into the new layout. The following is a summary of the improvements: Veterans Memorial Plaza • Memorial Gardens and Plantings to welcome guests • New Paving that integrates the existing (and future) donor pavers • A waterfall feature • New and enhanced lighting Chaplain Schmitt Memorial "Skyward" and the Golden Mean • A new boardwalk out over the pond that leads to the "skyward" memorial to honor Chaplain Schmitt • Interpretive signage along the boardwalk to help tell the story of Chaplain Schmitt • Integrated lighting Recreational Trail & Pond Clean Up • A new recreational trail around the pond • A cleaned up shoreline using ecologically based design principals • Removal of invasive trees around the pond's perimeter • Places to sit and gather • Traillighting South Point Overlook • A new overlook to gather, picnic or fish • Places to connect and reflect • Seating, tables and observation areas Sign Wall • A new stone entry wall that welcomes people to the island • Lighting New Parking and Parking Lot Screening • New parallel parking will be added • The existing parking lot will be retrofitted with landscaping to screen the surround areas The estimated cost of the improvements is $3,220,000, in addition to the money the DRA has already spent on planning and design. The agreement provides that the DRA will pay for the improvements and the City of Dubuque will complete the design, engineering and construction of the project. The DRA has executed a loan agreement with American Trust and Savings Bank that allows the City to draw money from the loan as expenses are incurred. DRA acknowledges and agrees that it is the intent of the parties that City will not incur any costs related in any way to the design, design review(s), permits, city project management costs, contingency, construction, construction inspections of the Improvements and that should City in fact incur such costs, City will be fully reimbursed by DRA up to the $3,220,000.00. DRA will reimburse City for 50°� of any costs the City incurs in excess of$3,220,000.00. The agreement creates a Chaplain Schmitt Project Advisory Committee consisting of three City representatives and three DRA representatives. One of the primary purposes of the Chaplain Schmitt Project Advisory Committee is to ensure that the cost of the Improvements does not exceed $3,220,000.00. The DRA has agreed to pay those annual costs. 2 After City Council acceptance of the Improvements, City will perform and pay for Capital Improvements (exceeding $10,000), if City Council approves of such Capital Improvements. If City Council does not approve of such Capital Improvements, DRA will have the option to undertake or perform Capital Improvements, but only after prior written City Council approval. If DRA chooses to undertake or perform Capital Improvements the City Council may choose, in its sole discretion, to undertake, perform, or assist with any Capital Improvements to and within Improvements, but City has no obligation or responsibility to do so. The goal will be to complete the project by Veteran's Day November 11 , 2019, but there is a very real possibility that a more realistic completion date is Memorial Day May 25, 2020. WHEREAS, the mission of DRA is to provide for social, economic, and community development and lessen the burden of �ubuque City Government, while contributing to the growth and viability of the Dubuque area; and WHEREAS, DRA distributes 100 percent of Q Casino winnings after expenses, to area charities and to the City of Dubuque; and WHEREAS, Ciry is the owner of certain real property known as Chaplain Schmitt Island; and WHEREAS, DRA wishes to donate funds for the construction of special recreational facilities and tourist attractions (hereinafter "Chaplain Schmitt Island Improvements" or "Improvements") for individuals to enjoy in recognition of the contributions and sacrifices military veterans make ro this great country; and WHEREAS, the Mayor and City Cowcll of the City of Dubuque, lowa recognize that the Chaplain Schmitt Island Improvements will enrich the lives of people living in and visiting Dubuque; and WHEREAS, City and DRA recognize and appreciate the collaboration between the I entities for ihe betterment of Chaplain Schmitt Island and the benefit of Dubuque residents and visitors; and WHEREAS, upon completion of the Chaplain Schmitt Island Improvements, the Chapiain Schmitt Island hnprovements will be accepted by the City Council and owned by the City as part of Chaplain Schmitt Island; NOW, THEREFORE, for and in consideration of the mutual covenants, representations, and agreements contained herein, City and DRA hereby covenant and agree as follows: 10232018MQ SECTION 1. REPAIRANDREPLACEMENT(hereinafter"Repair(s)"and "Replacement(s)"): AfterCity Council acceptance of the Improvements, any repair and/or replacement of the entire I I Project or to any individual element of the Improvements with a cost less than ten thousand dollars ($10,000.00). MAINTENANCE (hereinafter "Maintenance"): After City Council acceptance of the Improvements, any maintenance including but not limited to day-to-day activities such as mowing, weeding, snow removal, litter removal according to such schedule as determined by the Ciry Manager. I I z i ICAPITAL IMPROVEMENTS (hereinafter "Capital Improvements"): After City Council acceptance of the Improvements, any repair or replacement to an individual element of, or new purchase for the Improvements with a cost of ten thousand dollars ($10,000.00) Ior more, as approved by the City Manager. ISECTION 2. ESTIMATED COST AND COMMITMENT. 2.1 The estimated cost of all the Improvements, including but not limited to I programming, schematic, design development and construction documentation, is three million two hundred twenty thousand dollars ($3,220,000.00). The funds for all of the Improvements will be provided solely by DRA. City bears no financial responsibility and will not be involved in fundraising, financing, or providing funds for the Improvements, if Ithe Improvements do not exceed $3,22Q000.00. If the cost of the Improvements exceeds � $3,220,000.00, the DRA and the City will split any excess costs equally on a 50/50 basis. I2.2 One of the primary purposes of the Chaplain Schmitt Project Advisory Committee is to ensure that the cost of the Improvements does not exceed $3,220,000.00. The Chaplain Schmitt Project Advisory Committee will make any changes to the IImprovements, including but not limited to alternate materials or designs and elimination of Improvements, necessary to ensure that the cost of all Improvements does not exceed $3,220,000.00. Consequently, alt design, bids, change orders over $5,000.00, and design changes must be approved by a majority of the Chaplain Schmitt Project Advisory Committee. 2.3 Through this Agreement, City and DRA enter into a commitment to Chaplain Schmitt Island and the individuals using Chaplain Schmitt Island. City intends to operate the Improvements and DRA intends to repair, replace, and maintain the Improvements as described in this Agreement for the useful life of the Improvements. Once the useful life of the Improvements expires as determined by the City Manager in the City Manager's sole discretion, all decisions regarding the future use of the Improvements will be within the sole discretion of the City Council and at the sole cost of City. SECTION 3. FUNDING. 3.1 DRA will upon execution of this Agreement pay to City $3,220,000.00 and will reimburse the City within thirty (30) days after receipt of statements from the City for fifty percent (50%) of all costs and expenses of any kind incurred by the city in excess of $3,220,000.00. I3.2 DRA acknowledges and agrees that it is the intent of the parties that City will not incur any costs related in any way to the design, design review(s), permits, city project I management costs, contingency, construction, construction inspections of the � Improvements and that should City in fact incur such costs, City will be fully reimbursed by DRA up to the $3,220,000.00 cap described above. DRA will reimburse City for fifty Ipercent (50%) of any costs the City incurs in excess of$3,220,000.00. I 3 SECTION 4. DESIGN AND CONSTRUCTION. 4.1 The Improvements will be designed and constructed consistent with the conceptual design shown in Exhibit B attached hereto. 42 DRA has retained RDG Planning and WHKS to continue design and construction documents for the project. 4.3 Plans for the design and construction of the Improvements and any subsequent material change orders must be submitted to the Design Review Committee and the Project Advisory Committee for review and approved by the City Manager. 4.4 The Project Advisory Committee may request or recommend change orders to the Design Review Committee and/or the City Manager. 4.5 All change orders must be approved in writing by the City Manager 4.6 The design must be consistentwith the 2017 Chaplain Schmitt Island Master Plan, 2017 Chaplain Schmitt Island Design Guidelines, and the 2018 Chaplain Schmitt Island Placemaking and Implementation Plan, as amended by the City Council from time to time. 47 City pianning, specifications, bidding and construction procedures will be used throughout the entirety of the Improvements project. SECTION 5. AFTER CONSTRUCTION. 5.1 Upon completion of the Chaplain Schmitt Island Improvements, the Improvements will be accepted by the City Council and owned by the City as part of Chaplain Schmitt Island and will be used by City as a public park or city-owned amenity to be enjoyed by I the public generally, in accordance with all applicable City rules, regulations, and ordinances. I5.2 Maintenance, Replacement, and Capital Improvements. (1) After City Council acceptance of the Improvements, DRA will perform or I contract and pay for the performance of all Repairs, Replacements, and Maintenance of the Improvements in safe and working condition for the useful life � of the Improvements or for as long as City wishes to use the Improvements for their intended purpose provided, however, that DRA continues in existence. (2) After City Council acceptance of the Improvements, City will perform and pay for Capital Improvements ro or within the 6nprovements, if City Council approves of such Capital Improvements. If City Council does not approve of such Capital Improvements, DRA will have the option to undertake or perform Capital Improvements to the Improvements, but only after prior written City Council approval. If DRA chooses to undertake or perform Capital Improvements the City I I , 4 i Council may choose, in its sole discretion, to undertake, perform, or assist with any Capital Improvements to and within Improvements, but City has no obligation or responsibility to do so. SECTION 6. ASSIGNMENT AND SUBLETTING. Neither DRA nor City may assign or sublet this Agreement without the prior written consent of the other. SECTION 7. DEFAULT. DRA will be deemed in breach of this Agreement if DRA fails, whether by action or by inaction, to timely comply with or satisfy any of the obligations imposed on DRA under this Agreement for a period of thirty (30) days after the City delivers written notice to DRA of such default. In the event of such default, City may take such action as it deems necessary to satisfy such obligations and DRA agrees to reimburse Ciry for any costs incurred by City within thirty (30) days of receipt of a statement from City for such costs. SECTION 8. INDEMNIFICATION. At all times during the performance of its obligations in this Agreement, DRA will indemnify City and hold the City harmless from and against any and all claims, actions, damages, liability and expenses (including, but not limited to, court costs, costs of defense and reasonable attorney's fees) in connection with loss of damage to property or injury or death to persons occurring in, on, or about or arising out Repair, Replacement and/or Maintenance of the Improvements which are occasioned wholly by any act or omission of DRA. SECTION 9. NOTICE. All notices related to this Agreement must be in writing and will be deemed properly delivered when and if such notices are (i) hand-delivered with receipt on the date set forth on the receipt; (ii) delivered by over-night carrier, with receipt, on the date set forth on the receipt; or(iii) sent in the United States mail, postage prepaid, certified or registered mail, return receipt requested on the date set forth on the receipt, addressed to the parties at their addresses set forth below: To City: Michael C. SECTION 11. SUCCESSORS AND ASSIGNS. This Agreement binds and inures to the benefit of City and DRA, and their respective heirs, administrators, successors, and assigns. SECTION 12. CAPTIONS. All captions, headings, titles, numerical references, and computer highlighting are for convenience only and do not affect the interpretation of this Agreement. SECTION 13. NUMBER AND GENDER. All terms and words used in this Agreement, regardless of the number or gender in which they are used, will be deemed to include the appropriate number and gender, as the coMext may require. SECTION 14. GOVERNING LAW. This Agreement is governed by the laws of the state of lowa. Appropriate venue for any action under this Agreement is the lowa District Court for Dubuque County. SECTION 15. COMPLETE AGREEMENT. This writing contains the entire agreement between the parties hereto related to the construction, maintenance, repair or replacement of the Chaplain Schmitt Island Improvements and Capital Improvements. Any modification or amendment to this Agreement must be made in writing and signed by both parties. SECTION 16. PARTNERSHIP. Nothing in this Agreement may be construed to create a partnership, joint venture, or relationship of principal and agent belween City and DRA. No provision of this Agreement may be construed to confer any rights of remedies upon any party other than City and DRA. SECTION 17. FORCE MAJEURE. Should any matter or condition beyond the reasonable control of either party including, but not limited to, war, public emergency, acts of terrorism, calamity, fire, earthquake, flood, acts of God, strikes, labor disturbances, or actions, civil disturbances or riots, or any governmental restriction prevent performance of this Agreement in accordance with the provisions hereof, in whole or in part, performance of this Agreementwill be suspended or excused to the extent commensurate with such interfering occurrences. I SECTION 18. NON-DISCRIMINATION. The parties shall comply with the provisions of federal, state and local laws and regulations to ensure that no employee, member, applicant or person is discriminated against because of race, creed, religion, color, age, Isex, gender identity, sexual orientation, national origin, disability, or other protected class. The parties shall provide state or federal agencies with appropriate repoRs as required, I 6 ensuring compliance with equal employment laws and regulations. Each party shall ensure that its authorized subcontractors comply with provisions of this clause. A breach of this provision shall be considered a material breach of this Agreement. SECTION 19. DISPUTE RESOLUTION. 19.1 City and DRA will attempt in good faith to resolve any dispute or claim arising out of or in relation to this Agreement through negotiations between a designated individual from each of the parties with authority to settle the relevant dispute. If the dispute cannot be settled amicably within thirty (30) days from the date on which either party has served written notice of dispute on the other, then the remaining provisions of this Section will apply. 192 If a dispute or daim arising out of or in relation to this Agreement or the performance of any of the terms of this Agreement cannot be resolved by negotiations between City and DRA, such matter or matters will be resolved through binding arbitration, applying the following rules and procedures: (1) Arbitration will be held in Dubuque, lowa; (2) The arbitretion will be heard by one (1) arbitrator mutually selected by the parties; and (3) The arbitration will be heard under the rules of the American Arbitration Association (AAA).
