the Management Agreement for Camping at Miller Riverview Park with Kenneth M.
Clayton.

The purpose of this memorandum is to request City Council approval of the
Management Agreement for Camping at Miller Riverview Park with Kenneth M. Clayton
of 13550 Sherrill Road.
Mr. Clayton was contracted to manage the campground in 2008 and 2009, and
performance has generally been good. He is a retired John Deere employee with a
great deal of camping experience. Mrs. Clayton will assist him and offer relief for him to
get away from the park as needed. He has good handyman skills and will be able to
assist campground users and our staff with maintenance matters.
The agreement has been revised to include the requirement that collected rental funds
for camping be deposited in a city bank account daily ( #7).
We pay the manager $3.00 per camping unit per day, $4.00 if he cleans the rest room
facility, which has worked well for us in the past. If the river is high and the park is
under water we are not out any money. We estimate around 5,500 camping units per
season so the manager could be paid $22,000 for his services. If Mr. Clayton sells
concession items he is required to pay the city 10% of gross sales.
The action requested is that the City Council approve the Management Agreement for

MANAGEMENT AGREEMENT
FOR CAMPING
AT MILLER RIVERVIEW PARK
and DUBUQUE WATER SKI CLUB
This agreement, made and entered into this day of , 2010, by and
between the City of Dubuque, Iowa, acting through the Park and Recreation Commission,
hereinafter called the "City," whose address for the purpose of this agreement is 2200
Bunker Hill Road, Dubuque, Iowa, and Kenneth M. Clayton, acting as "agent" of the City,
for whom the City is responsible in all respects, hereinafter called "Clayton," whose
address for the purpose of this agreement is 13550 Sherrill Road, Dubuque, Iowa.
It is agreed by and between the parties as follows:
1. The term of this agreement shall be from April 1st to November 1, 2010. This
agreement may be terminated by the City with three (3) days' written notice and by
Clayton with thirty (30) days' written notice.
2. Clayton will manage the camping operation at Miller Riverview Park and the Dubuque
Ski Club. He shall register all camping units, collect fees, keep accurate and detailed
records, and open and close the park. Records shall be made available for review by
the City on a monthly basis or as desired by the City.
3. All expenses for operation of the Miller Riverview Park and campground (only), shall
be the responsibility of the City. Said expenses shall include, but are not limited to,
electricity, telephone, and rest rooms.
4. General maintenance of the Miller Riverview Park and campground (only), shall be the
responsibility of the City and include, but is not limited to, grass cutting, road
maintenance, trash collection, grounds maintenance, and equipment maintenance.
5. Clayton shall supervise the area, including the enforcement of rules, regulations, and
ordinances established by the City. This shall include, but is not limited to, the ban on
swimming in the river, hours of operation, ban on the consumption of keg beer, ban on
sale of alcoholic beverages, and sale of concessions.

6. Clayton shall be paid a management fee of $3.00 per camping unit paid per day. Said
sum shall be paid by the City on a monthly basis. The City shall not be providing
worker's compensation for Clayton. Pay shall be $4.00 per camping unit if Clayton
cleans the rest room facility.
7. All funds received in conjunction with the rental of camping facilities shall be
deposited in the city bank account on a daily basis.
8. This agreement does not allow for the operation of a concession business or any other
type of business without written approval of the Leisure Services Manager.
9. Clayton shall pay the City ten percent (10 %) of gross sales for concession items.
Each item shall be approved by the City.
Clayton will manage the park in such a reasonable manner as to enhance the reputation of
the City and will not do anything which might unreasonably damage that reputation.
