BACKGROUND With the U.S. 52 / Southwest Arterial nearing completion, the City and Iowa DOT have continued the collaborative partnership with discussions on developing and implementing an ITS network along the Southwest Arterial Corridor. The City already manages and operates a robust ITS network consisting of cameras, sensors, dynamic message boards, and other related technology in the City for the purpose of easing traffic congestion and improving the safety and efficiency of vehicle transportation in and around the Dubuque area. The City and Iowa DOT wish to jointly partner together to design and construct a similar fiber optic communications and ITS system along the Southwest Arterial Corridor, consisting of cameras, sensors, dynamic message boards, and other related technology to support transportation and public safety applications. DISCUSSION To facilitate the development and implementation of an ITS network along the Southwest Arterial Corridor, the City and Iowa DOT have developed a Cooperative Agreement which outlines the terms and conditions, including funding; construction; ownership and maintenance of the ITS network. Per the Agreement, the City will be responsible for the design, construction, inspection and on -going maintenance of a multi -duct conduit system, fiber optic cable, and all related equipment to support a fiber optic communications system along the Southwest Arterial from U.S. 20 to U.S. 61/151. The multi -duct conduit system and fiber optic cable will be installed along Southwest Arterial and located within City right-of-way or City utility easement to the extent possible. The fiber optic communications and ITS system will be installed in accordance with the project plans, applicable City and Iowa DOT specifications. Upon completion of the system installation, the City shall own and operate the fiber optic communications and ITS system and shall provide the Iowa DOT access to the City ITS Network for transportation and public safety use by State of Iowa and the Iowa Communications Network (ICN). The City will reserve for the Iowa DOT - 24 strands of fiber optic cable from a City installed fiber optic cable along the Southwest Arterial Corridor from U.S. 20 to U.S. 61/151. In return for the City designing, constructing, operating and maintaining the fiber optic communications and ITS system, including the 24 strands of fiber optic cable reserved / used by the Iowa DOT, the State of Iowa shall reimburse the City for an amount not to exceed $1,500,000. DISCUSSION The anticipated project funding is summarized as follows: CIP Funding Source Amount 3002848 Iowa DOT / State of Iowa $ 1,500,000.00 City (Sales Tax Fund 30%) - FY 21 / 22 100,000.00 Total Project Funding $ 1,600,000.00 The City has budgeted $50,000 in both FY2021 and FY2022 to cover staff payroll expenses to administer the design and construction of the fiber optic communications and ITS system. RECOMMENDATION I recommend that the City Council adopt the enclosed resolution and authorize the Mayor to sign the Agreement with the Iowa DOT for the development and implementation of an Intelligent Transportation System (ITS) for the Southwest Arterial Corridor. The DOT shall not be responsible .for the transmission or reception of cornrnunications or signals by CITY Equipment or for the quality of, or defects in, such transmission or reception. f CITY will install ITS cameras in such a manner to establish full video coverage along the SW Arterial from U.S. 20 to one-half mile southwest of Cascade Road. CITY will establish full video coverage of the remainder of the corridor within three years of this agreement. It is assumed that to achieve full video coverage of the SW Arterial corridor, up to nine (9) camera sites which include in e fixed - view cameras per site and related electrical service and equipment, will be needed. CITY shall maintain current "As Built" documentation and provide documentation to the DOT of DOT assigned assets. This will include a written description of the proposed networks that will be allocated at the strand level. The ITS system will include up to four (4) ITS camera sites: thatconsist of five fixed -view cameras with related electrical service and equipment, The cost for installation of the rernaintng five (5) ITS camera sites will be addedto this agreement by future amendment. A request for payment of actual costs will be sent to the DOT by the CITY at agreed schedule milestones for completion of final design, construction, and acceptance. 4. The CITY shall, at no cost or obligation to the DOT, reserve a minimum of 4 strands, and add future strands up to a maximum of 12 strands as available, of dark, single -mode fiber from a CITY -metalled fiber optic cable along two general paths, thereby creating a redundant fiber communication ring as..follows a. SW Arterial/U,S. 151 interchange to U.S 20 running generally along, parallel or adjacent totheUS 61/US 151 corridor along the east side of Dubuque. b. U S. 20/SW Arterial interchange to U.S. 61/151 running generally along or parallel to the U.S. 20 corridor. Therouting ofthe `fiber strands °ill be based on general availability of existing CITY fiber and future CITY fiber installation plans within, near, or adjacent to the generalized corridors outlined above, in coordination with the DOT. The CITY shall make the minimum 4 strands of the redundant fiber loop available to DOT within two y ears of this agreement The CITY 'Will act in good faith to provide the full 12 strands of this redundant loop to the DOT within five years of this agreement. The CITY shall end all of the DOT fibers from each of the above paths (total of 24 strands 2 cables) with 300-foot coils in a fiber vault near the intersection of U.S. 20 and Old. Hwy Road. The DOT shall provide the required fiber and splicing of terminations from the intersection of .U.S. 20 and Old Hwy Road to the Iowa Army National Guard access point for the ICN equipment at no cost or obligation to the CITY. The CITY shall, at no cost or obligation to the DOT, provide live video streams from existing and future CITY cameras to the DOT along or adjacent to the following transportation corridors: a. U.S. 52 (SW Arterial) from U.S. 20 to U.S. 61/151 b. Any additional :devices installed by the DOT shall be at no cost or obligation to the CITY. NThNANCE The CITY w2i1 provide maintenan e for the designated DOT fiber specified in this Agreement: a. CITY, or a CITY authorized contractor, shallperform all maintenance on .the. Faber,- including any giber repairs, Fiber restoration, and Fiber relocation that become necessary during the term of this Agreement. If CITY incurs any costs associated with Fiber repairs, Fiber restoration, or Fiber: relocation, the POT.shall reimburse CITY for the DOT's .proportional share of fibers. In the event that the fiber repairs are necessitated by fiber damage caused by a third party, -CITY will first attempt to recover the cost of repair from the negligent third party, If CITY is. unable to recover the fhil cost of damage repair from the third party, the DOT shall reimburse CITY for their proportional share of the costs for the repair. In the event of a fiber cut or other need for an emergency repair, upon notification by the State, CITY shall commence to respond to correct the interruption in service. The DOT shall contact .CITY at.563-589-4415 in the event of a service. interruption. Upon repair and when appropriate, CITY will invoice the. DOT for their proportional share of the casts for: the repair. b. If CITY or a contractor operating under the direction of CITY performs any activity, such as, but not limited to: splicing, accesses splice cases, or performs any o ther procedure that could accidentally disrupt the passage of light in the Fibers or o therwise directly impact the DOT's designated fibers, the activity must be preplanned five (5) working days in advance and performed during established DOT Maintenance Windows (normally midnight - 6 AM.) CITY shall call the ICN Service Desk at 515-725-4400 or 1-800-572-3940 to establish all maintenance windows. CITY may modify its designated Dark Fiber by splicing, terminating, or o therwise extending its facilities. If CITY allocates some of their fibers to other entities, it shall be CITY responsibility to collect the fair/proportional share of costs for relocates and/or repairs from those entities," Miscellaneous Provisions It is the intent of both (all) parties that no third party beneficiaries be created by this Agreement. 10.. If any section, pro% ision, or part of this Agreement shall be found to be mvalid or unconstitutional, such finding shall not affect the v alidity of the Agreement as a whole or anvv section, provision; or part thereof not found to be invalid or unconstitutional, except to the extent that the original intent of the Agreement cannot be fulfilled. 2020-16-033_nu buque.docx 5 11. This docu rent; as well as the unaffected provisions of any previous agreeinent(s), addendum(s), and/or amendment(s); represents the entire Agreement between the CITY and DOT regarding this project. Any •subsequent change or modification to the terms of this Agreement will be in the form of a duly executed amendment to this document. 12. Unless otherwise terminated according to provisions of Item 15 ;of this Agreement, the Agreement shall continue for a. period of ten (10) years after the full ; execution of this Agreement. Renegotiate and Renewal. Prior to the natural expiration of this Agreement either Party may give the other Parties ninety (90) days written. notice of the notifying Party's desire to renegotiate this Agreement. During-. the pendency of these ``negotiations, this Agreement will rem in iri :full force and effect f no Party provides nonce concerning a desire to .renegotiate, then this Agreement wv-ill. automatically renew for one additional five (5) year terra or unless sooner terminated as provided herein. Termination for Convenience. Any Party day terminate this Agreement :at any time by giving the other Parties one (1) year's written notice. Each Party shall be liable for its share of the maintenance:. costs incurred until the effective date of the termination. Termination. for Breach. This Agreementmay be terminated for a material breach not cured within a reasonable time following written notice. Such notice, to be effective must describe the breach or breaches complained of and provide.:a reasonable time to cure which time may not be less than forty-five (45) days following receipt, unless the cure is only the payment of money, in which case such time may be thirty (30) days Following a failuretocure, the breaching Party may notify the remaining Parties -in wrthng that the Agreement is terminated as to the breaching Party effective in one (1) year following the receipt of such notice.
