SUBJECT: Assignment of Vendor Services Agreement for Grass Mowing Services

INTRODUCTION
The purpose of this memorandum is request approval to assign a vendor services
agreement for grass mowing services from JJ Block Landscaping to Brune Enterprises.
DISCUSSION
In 2019, a vendor services agreement for grass mowing services was awarded to JJ
Block Landscaping for mowing grass at various City properties. This agreement is for a
term of three years. Jordan Block of JJ Block Landscaping has sold his business to
Allan Brune of Brune Enterprises. Allan was the person performing the grass mowing
for JJ Block Landscaping during the 2019 season.
Steve Fehsal, Park Division Manager is recommending the agreement be assigned to
Brune Enterprises for the remaining two years of the agreement. Barry Lindahl, Senior
Counsel for the City Attorney's office has prepared the attached assignment. Brune
Enterprises has also submitted the appropriate insurance documents.
RECOMMENDATION
I respectfully recommend approval and request your approval for me to sign the
attached vendor services agreement for grass mowing services.

AND
BRUNE ENTERPRISES
This Assignment of the Vendor Service Agreemenf, datec� for refierence purposes
the day of , 2020, is made and entered into by and between JJ B�OCK
(Assignor) and BRUNE ENTERPRISES (Assignee}.
WHEREAS, Assignor entered infia a Vendor Service Agre�ment with t�e City of
Dubuque, lowa dated the 21 St day of May, 2019, (the Agreement)for the purpose of grass
mowing services; and
WHEREAS, Assignor c�esires to assign all its interest in and to the Agre�ment to
Assignee and Assignee desires to accept such assignment and agrees to be bound �y
the terms thereof; and
WHEREAS, the assignm�nt by Assignar fo Assignee hereund�r is permanent and
complete and Assignor retains no rights under the Agreement whatsoe�er as of the date
hereof; and
WHEREAS, the parties desire �a reduce the assignment to writing.
THEREFORE, Assignor hereby assigns to Assignee the Agreement pursuant to
the fiollowing terms and conditions:
1. Assiqnment. Assignar hereby assigns to Assignee, and Assign�e here�y
accepts from Assignor, this assignment af t�e Agreemer�t, which ass�gnmen� includes al[
rights and obligations of any sort whatsoe�er of Assignor thereunder such that, upon
acceptance hereof by Assignee, Assigr�or shall ha�e no right or interest whatsoever in
and to the Agreement as of the date hereof and Assignee agrees to be fully bound by the
Agreem�nt and shall carry out all abligations o#, and be entitled to ali righfs of, Assignor
thereunder.
2. Affirmation. The pa�ties hereby affirm the Agr�ement in all respects. The
Agreement shall remain in f�ll force and effect according #o its #erms. �
