The Insurance Commissioner has the duty of administering Iowa laws governing � perpetual care cemeteries. Iowa Code § 523L201(1). � � 3. The Insurance Commissioner has the duty of administering Iowa laws governing � cemeteries and funeral merchandise and services. Id. § 523A.801(1). 4. Linwood Ceinetery Association is an Iowa non-profit corporation, organized pursuant to Iowa Code chapter 504. Linwood Cemetery is registered as a �perpetual care cemetery with the Iowa � � Insurance Division, subject to Iowa Code chapter 523I. The cemetery was initially dedicated as a � � j � cemetery in the 1850s and is located between Windsor Avenue and Rhomberg Avenue in the North � ;� End of Dubuque, Iowa. An abbreviated description of the property's location is "Northeast i ,, Quarter of Section 13, Township 89 North, Range 2 East, City of Dubuque." The Insurance i ; � � Division is filing the plat o�the cemetery property as an exhibit to this Petition. See Ex. A �� (Linwood Plat). !� � 6. Linwood has an 11-member Board of Directors. The current president of the ', Linwood Board of Directors is Dennis Avenarius. The current secretary of Linwood Cemetery � Association is Kenneth L. Miller. See Ex. B (Linwood Affidavit). 7. The City of Dubuque, Iowa, is a municipality of the state of Iowa and is named as a defendant because it has the dury to"preserve and protect the cemetery. . .as necessary to restore '� or maintain its physical integrity as a cemetery," if such preservation is not otherwise provided. 'I , Iowa Code §§ 523I.212(5); 523I316(3)(a). The City is also authorized to acquire or operate the cemetery under Iowa Code section 523I.501. The Insurance Cornmissioner will seek to transfer ;j �� I' tl�e duty to preserve and protect the cemetery to the City if such duty cannot be reasonably assumed �!, 4; by other means under Iowa Code section 523I.212(5). ;; � 8: Venue is proper in Polk County. Id. §§ 523A.�11(3); 523L203(2); 523I.212(3). � � Factual Summary x � 9. Fn November 2019, Linwood reached out to the Insurance Division regarding � � ongoing financial issues and the maintenance of Linwood Cemetery. See Ex. C (Molly Dennert G Affidavit). � � � p � � � � � E 2 � �, � � z C u � 9 � ' E-FILED 2020 JUL 07 3:11 PM POLK-CLERK OF DISTRICT COURT 10. Linwood Secretary Ken Miller informed the Division that Linwood is 150 years ',� � , old and sits on rolling hills. In 2019, over 30 trees were felled by severe weather. Roads within i the cemetery are in disrepair. There is a leak in the water supply and visitors inust bring their own ��water. The chapel roof and the maintenance building roof are both in excess of 25 years old and ,� � ji in disrepair. Id. " �� 11. Molly Dennert,,a compliance officer for the Insurance Division, communicated �� I with Linwood staff and learned that the operations of the cemetery generate a monthly shortfall of � $10,000 to $12,000 per month. There is insufficient money for repairs or maintenance of the �� i� 'i cemetery. � � 12. Due to�rends in the funeral industry away from traditional burials and the need for j a full range of services,Linwood's business model no longer supports its operations. �'� � � � 13. ` Despite ongoing issues, Linwood's Perpetual Care Fund and other restricted assets li il have been safeguarded and managed in a prudent inanner. On June 19, 2020,the Division issued �� �1 an order approving a withdrawal from Linwood's perpetual care trust fund for a financial ��;i emergency pursuant to Iowa Code section 523A.81 L j� �' 14. The Division has reached the conclusion that the cemetery does not have adequate � funds to operate through the upcoming year. - - 15: The Linwood Cemetery Association Board (`Board"), agrees that the Cemetery is in a financial crisis. On May 18,2020,the Board voted to place the Linwood in receivership. See Ex. B (Linwood Affidavit). Grounds for Relief 16. A receivership is needed to teinporarily preserve and protect the cemetery grounds � I and burial records using the powers authorized by Iowa Code section 523I.212(3) and Iowa Code � � chapter 680. � �� 18. Upon the commencement of a receivership under Iowa Code section 523I.212,the i Insurance Cominissioner will be empowered to use the enforcement fund described in Iowa Code � l, section 523I.213 to pay the costs of the receivership and, in the event Linwood sold cemetery and ; i i� funeral merchandise and funeral services subject to Iowa Code chapter 523A, the Insurance 'I Commissioner will be empowered to use the insurance division regulatory fund described in Iowa �'i i Code section 523A,812 to pay certain costs of the receivership. � Request for Receivership and Injunctive Relief ! �I �� 19. The Insurance Commissioner requests that the Insurance Division be appointed �1 li �I receiver, as provided in Iowa Code sections 523I.212(3)and 523A.811(4),with all powers granted N by Iowa Code section 523I.212(4) and Iowa Code chapter 680. � � q �� 20.
