Van Milligen, City Manager SUBJECT: Proposed Amendment to Master Co-Location and Shared Services Agreement Between the City of Dubuque and Wisconsin Independent Network (WIN) DATE: October 14, 2020 Information Services Manager Chris Kohlmann, Civil Engineer II Dave Ness and Sustainable Innovation Consultant David Lyons recommend City Council approval of an Amendment to the Master Co-Location and Shared Services Agreement with Wisconsin Independent Network. The Amendment would allow Wisconsin Independent Network to co-locate equipment and lease telecommunication space at the City Hall Annex located at 1300 Main Street, which will allow Wisconsin Independent Network to provide additional service to the Carnegie-Stout Public Library. Wisconsin Independent Network is one of the broadband carriers that the City presently leases bandwidth from to meet City of Dubuque's internal internet needs. That lease is presently $900 per month. In addition to an up-front payment of$2,635.20 for the fiber license, applying Wisconsin Independent Network's co-location under this Amendment to that City lease will reduce City monthly payments from $900 per month to $300 per month. A total positive of approximately $74,635.20 over the term of the proposed Amendment occurs for the City budget. DATE: October 14, 2020 INTRODUCTION The purpose of this memo is to request approval of an amendment to the Master Co- Location and Shared Services Agreement between the City of Dubuque and WIN. BACKGROUND In 2016 the City of Dubuque undertook its Broadband Acceleration Initiative. The Initiative focuses on public/private collaborations and includes a comprehensive strategy to reduce the cost and time required for broadband expansions in Dubuque. One effort within that strategy is the use of"Master Agreements", where an overall legal, structural, and financial relationship is established between the City and broadband providers and approved by the City Council. Project Statements carried out pursuant to that Master Agreement can then be quickly considered and approved. DISCUSSION WIN was the first carrier partner to enter into a Master Co-location and Shared Services Agreement with the City on July 29, 2016. All activity under that Agreement and subsequent Amendments has gone well, with the City receiving all anticipated value. WIN desires to enter a new Amendment which would allow it to co-locate WIN equipment with the City at its City Hall Annex, primarily to provide additional service to the Carnegie Stout library. The project would involve colocation of equipment and lease telecommunications space at the City Hall Annex located at 1300 Main Street, including one rack of equipment and power. Also, the City would provide WIN permission to use a designated pair of fiber strands to connect to the Carnegie Stout Library. The co-location lease costs to WIN would be $7,200 per year for a ten-year term. The fiber license costs would be a one-time charge of$2.16 per linear foot. Crenna Brumwell, City Attorney Barry Lindahl, Senior Counsel Steve Brown, Project Engineer Anita Gonyier, Confidential Account Clerk PROJECT STATEMENT: Sharing agreement # _2_ between WIN, LLC (f/k/a Wisconsin Independent Network, LLC) (“WIN”) and City of Dubuque (“CITY”) Pursuant to the Master Co-location and Shared Services Agreement between CITY and WIN, dated November 21, 2015 and attached hereto, the Parties hereby agree to the following PROJECT STATEMENT: Narrative description of co-location and service sharing: 1. WIN co-location of equipment and lease of space at City's facility located at 1300 Main Street, Dubuque IA and known generally as the "City Hall Annex”. The equipment shall consist of one rack for equipment and access to power 2. WIN license of one pair of fiber running from City Hall Annex to the Carnegie Stout Library located at 360 W 11th St, Dubuque, IA and estimated at 1,220 linear feet Term of Project: Ten (10) year term beginning October 15, 2020 and running through October 15, 2030, with two five (5) year extensions upon the mutual agreement of both parties. Charges and payment terms: City shall provide WIN permission to co-locate one rack of equipment with power at the City Annex at an annual cost of $7,200 beginning on the execution date and each anniversary of that date during the term of this agreement. City will provide WIN with escorted access to WIN equipment as soon as reasonably possible after notice. City shall provide WIN permission to use the designated fiber at a one-time cost of $2.16 cents per fiber optic cable strand pair per linear foot. Access shall only be by City approved splice and WIN shall bear the costs of any approved splice and costs of reconfiguring any of City’s fiber sheath as needed. A City authorized contractor shall perform all maintenance on the Fiber, including any Fiber repairs, Fiber restoration, and Fiber relocation that becomes necessary during the term of this Agreement. If WIN or a contractor operating under the direction of WIN performs any splicing, accesses splice cases, or performs any other procedure that could accidentally disrupt the passage of light in the Fibers or otherwise directly impact City’s Fibers, the activity must be pre-planned and approved by City in advance.
