Information Services Manager Chris Kohlmann, Civil Engineer II Dave Ness and
Sustainable Innovation Consultant David Lyons recommend City Council approval of an
amendment to an existing Master Co-Location and Shared Services Agreement with
ImOn Communications LLC. The amendment will provide the Grand River Center with
increased capacity and redundancy for high-speed fiber connections to serve the
immediate need of the vaccine point of distribution, along with requests for events
where safety and security of those in attendance and remotely would employ the
additional connection and speeds.
I concur with the recommendation and respectfully request Mayor and City Council
approval.

INTRODUCTION
The purpose of this memo is to request approval of an amendment to an existing Master
Agreement and Project Statement in place between the City of Dubuque and ImOn
Communications LLC.
BACKGROUND
One of the impacts of the Covid 19 Pandemic is an increased complexity and cost to
providing City services. At the present time, the Grand River Center is in immediate
need of increased capacity and redundancy for high-speed fiber connections. Improved
connectivity for both internet services and redundancy at Grand River Center will serve
the immediate need of the vaccine point of distribution site along with requests for
events where safety and security of those in attendance and remotely would employ the
additional connection and speeds.
DISCUSSION
The City will be able to accommodate these needs and gain significant savings by using
existing City conduit and fiber running to the Grand River Center as well as using the
ImOn Communications services agreement to provide needed bandwidth and an
additional internet services provider for Grand River Center. ImOn Communications has
indicated its interest in expanding its broadband access into the Port of Dubuque and
eventually to industry on East Commercial and 7th street, creating a second "Port
loop". The City is interested in collaborating on this route to create access for
underserved areas and increased redundancy of routes in this key commercial area.
BUDGET IMPACT
Under this agreement ImOn would enter into a license with the City to access certain
available City conduit on the first portion of this "loop", allowing it to respond to the
immediate needs of Grand River Center. Payments for duct lease under the license
would begin as soon as ImOn placed its first commercial business on the route.
In essence this arrangement allows the City to avoid a good portion of the "access fees"
that would otherwise be passed on to the Grand River Center. The market value
provided to City of Dubuque by ImOn for this project statement is $16,131.
ACTION STEP
This Amendment supports Dubuque's provision of critical services during the Covid 19
pandemic. We would respectfully request your approval and recommendation to City
Council.

Amendment to Master Co-location and Shared Services Agreement between
ImOn Communications LLC and City of Dubuque
Pursuant to the Master Co-locations and Shared Services Agreement between City of Dubuque and
ImOn Communications, LLC, dated , 2021 and attached hereto,the Parties hereby agree to
the following PROJECT STATEMENT:
Narrative description of co-location and service sharing:
- City will allow ImOn access to and use of certain presently unused conduit, for purposes of providing
broadband communication services and support to the community of Dubuque.
- ImOn is responsible for obtaining all permits required from Federal,State or Local government
including but not limited to Department of Transportation, Corps of Engineers, Dept. of Natural
Resources and Railroads,for work on the conduit.
- City shall have the right of prior review and approval of any repairs, restoration, relocations,
improvements, enhancements and maintenance of the conduit and fiber contained therein
proposed by ImOn.
- Any additional conduit and fiber capacity available or added, other than that which is specifically
designated for ImOn, shall be considered City assets and its future use controlled by the City.
- During the term of this Project Statement ImOn will have the responsibility to manage and maintain
the conduit and fiber therein, including but not limited to the following:
■ ImOn shall provide physical assets and management services to City of Dubuque for its needs as
it relates to this conduit.
■ If ImOn incurs costs associated with future fiber repairs, fiber restoration or fiber Re-location
City will reimburse ImOn for a percent of such costs on a pro-rata basis based on the
proportionate amount of capacity being used by City.
■ Each party will notify the other if it detects any problems that may interrupt service. ImOn

responsibilities under this Project Statement is $0.
The market value provided to City of Dubuque by ImOn for this Project Statement is$16,131.
The market value provided to ImOn by the City of Dubuque for this Project Statement is $0.
There are no additional charges or payment terms required for the implementation of this Project
Statement.

All other terms and conditions of the Master Co-Location and Shared Services Agreement are
