Van Milligen, City Manager SUBJECT: Proceedings for the Public Hearing on the Issuance of Not to Exceed $46,250,000 General Obligation Bonds, Not to Exceed $700,000 General Obligation Bonds, Not to Exceed $700,000 General Obligation Bonds, Not to Exceed $600,000 General Obligation Bonds, Not to Exceed $950,000 General Obligation Urban Renewal Bonds DATE: March 24, 2021 Director of Finance and Budget Jennifer Larson recommends City Council approval of the suggested proceedings for the public hearing on the issuance General Obligation Bonds. $40,535,000 of the proceeds are intended to provide funds to refund nine previously issued bond series that are now callable to realize estimated interest savings of $3,098,099. $5,000,000 of the proceeds are intended for projects in the City budget previously approved by the City Council which include Chavenelle Road Improvements, River pock Expansion, Clock Tower Plaza Rehab, Jackson Park Amenities and Restrooms, Downtown Parking Ramp Property Acquisition and Design, New Enterprise Resource Planning System, Fire Headquarters HVAC, and Transit Vehicle Replacements. Although the City is selling General Obligation Bonds to support the projects, repayments of the debt will be local option sales tax, Dubuque Industrial Center west TIF and Greater powntown TIF. The refunding debt is repaid by local option sales tax, gaming revenue, sanitary sewer user fees, water user fees, parking user fees, Airport Passenger Facility Charges, Dubuque Industrial Center tax increment revenue, and Greater powntown tax increment revenue. Additionally, as to the General Corporate Purpose and Urban Renewal portions of the issuance, at any time before the date of the hearing, a petition may be filed with the City Clerk requesting that the issuance of the bonds be submitted to an election. To qualify, a petition must be signed by eligible electors equal to at least ten percent of the number who voted at the last regular municipal election (but not less than ten persons). If a valid petition is filed, Bond Counsel should be notified as soon as possible since the hearing proceedings will have to be revised to cover the action taken by the Council in either abandoning the proposal to issue the Bonds or directing the County Commissioner to call a special election upon the question of issuing the Bonds. As to the urban renewal purpose portion of the issue, these proceedings are prepared to show, as a first step, the advice by the City Clerk to the Mayor that no petitions have been filed pursuant to Section 362.4 relating thereto. The procedure then continues with the receipt of any oral or written objections from any resident or property owner to the proposed action of the Council to issue. A summary of objections received or made, if any, should be attached to the proceedings. After all objections have been received and considered if the Council decides not to abandon the proposal to issue, a resolution follows that should be introduced and adopted taking additional action for the issuance. Section 384.25 of the Code of lowa, provides that any resident or property owner of the City may appeal the decision to take additional action to issue the Bonds, to the District Court of a county in which any part of the city is located, within 15 days after such additional action is taken, but that the additional action is final and conclusive unless the court finds that the City Council exceeded its authority. In the event an appeal is filed by any resident or property owner, bond counsel should be notified immediately; and, as soon as available, a copy of the notice of appeal should be furnished to bond counsel for review. DISCUSSION Of the bond amount: • $1,295,000 is intended to provide funds to pay costs of Chavenelle Road Improvements with repayment from Dubuque Industrial Center West TIF. • $406,000 is intended to provide funds to pay costs of the River pock Expansion with repayment from Greater powntown TIF. • $33,000 is intended to provide funds to pay costs of Clock Tower Plaza Rehab with repayment from Greater powntown TIF. • $500,000 is intended to provide funds to pay costs of Jackson Park Amenities and Restroom with repayment from Greater powntown TIF. • $872,000 is intended to provide funds to pay costs of the property acquisition and design of a new Downtown Parking Ramp with repayment from Greater Downtown TIF. • $250,000 is intended to provide funds to pay costs of a New Enterprise Resource Planning System (ERP) with repayment from local option sales tax. • $580,084 is intended to provide funds to pay costs of Ladder and Pumper Replacements with repayment from local option sales tax. • $248,924 is intended to provide funds to pay costs of Fire Headquarters HVAC Replacement with repayment from local option sales tax. • $798,942 is intended to provide funds to pay costs of Transit Vehicle Replacements with repayment from local option sales tax. • $40,535,000 is intended to provide funds to refund previously issued bond series that are now callable to realize estimated interest savings of $3,098,099. The refunding includes Exempt General Obligation Bond Series 2012A $2,665,000, 2012B $4,515,000, 2012D $3,670,000, 2012E $1,965,000, 2012H $1,410,000, and 2014B $14,820,000, and Taxable General Obligation Bond Series 2012C $4,465,000, 2012F $140,000, and 2014C $6,885,000. The bond market will be monitored, and an informed decision will be made before releasing the public offering documents and announcing the sale. • $44,114 is intended to provide funds to pay capitalized interest. • $473,480 is intended to provide funds for bond issuance costs and • $3,163,456 to be a contingency for fluctuations in the bond market for interest rates, bond issuance costs and change in project costs. Buol, in the chair, and the following named Council Members: Brad Cavanagh, Susan Farber, Rick Jones, David Resnick, Laura Roussell, Danny Sprank Absent: ___________________________________________ Vacant: ___________________________________________ * * * * * * * - 2 - The Mayor announced that this was the time and place for the public hearing and meeting on the matter of the issuance of not to exceed $950,000 General Obligation Urban Renewal Bonds, of the City of Dubuque, State of Iowa, in order to provide funds to pay the costs of aiding in the planning, undertaking and carrying out of urban renewal projects under the authority of Chapter 403 and the Amended and Restated Urban Renewal Plan for the Greater Downtown Urban Renewal District, such as those costs associated with the reconstruction, renovation, remodeling, improvement, equipping and repairing of Downtown Parking Garages and ramps, for essential corporate urban renewal purposes, and that notice of the proposal to issue the Bonds and the right to petition for an election had been published as provided by Sections 384.24(3)(q), 384.25 and 403.12 of the Code of Iowa, and the Mayor then asked the City Clerk whether any petition had been filed in the Clerk's Office, as contemplated in Section 362.4 of the Code of Iowa, and the Clerk reported that no such petition had been filed, requesting that the question of issuing the Bonds be submitted to the qualified electors of the City. The Mayor then asked the Clerk whether any written objections had been filed by any resident or property owner of the City to the issuance of the Bonds. The Clerk advised the Mayor and the Council that zero written objections had been filed. The Mayor then called for oral objections to the issuance of the Bonds and zero were made. Whereupon, the Mayor declared the time for receiving oral and written objections to be closed. Whereupon, the Mayor declared the hearing on the issuance of the Bonds to be closed. The Council then considered the proposed action and the extent of objections thereto. Whereupon, Council Member Jones introduced and delivered to the Clerk the Resolution hereinafter set out entitled "RESOLUTION INSTITUTING PROCEEDINGS TO TAKE ADDITIONAL ACTION FOR THE ISSUANCE OF NOT TO EXCEED $950,000 GENERAL OBLIGATION URBAN RENEWAL BONDS", and moved: that the Resolution be adopted. to ADJOURN and defer action on the Resolution and the proposal to institute proceedings for the issuance of bonds to the meeting to be held at __________ _____.M. on the __________ day of _______________, 2021, at this place. RESOLUTION INSTITUTING PROCEEDINGS TO TAKE ADDITIONAL ACTION FOR THE ISSUANCE OF NOT TO EXCEED $950,000 GENERAL OBLIGATION URBAN RENEWAL BONDS WHEREAS, pursuant to notice published as required by law, the City Council has held a public meeting and hearing upon the proposal to institute proceedings for the issuance of not to exceed $950,000 General Obligation Urban Renewal Bonds, for the essential corporate urban renewal purposes, in order to provide funds to pay the costs of aiding in the planning, undertaking and carrying out of urban renewal projects under the authority of Chapter 403 and the Amended and Restated Urban Renewal Plan for the Greater Downtown Urban Renewal District, such as those costs associated with the reconstruction, renovation, remodeling, improvement, equipping and repairing of Downtown Parking Garages and ramps, and has considered the extent of objections received from residents or property owners as to the proposed issuance of Bonds; and no petition was filed calling for a referendum thereon. The following action is now considered to be in the best interests of the City and residents thereof. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF DUBUQUE, STATE OF IOWA: Section 1. That this Council does hereby institute proceedings and take additional action for the authorization and issuance in the manner required by law of not to exceed $950,000 General Obligation Urban Renewal Bonds, for the foregoing essential corporate urban renewal purposes. Section 2. This Resolution shall serve as a declaration of official intent under Treasury Regulation 1.150-2 and shall be maintained on file as a public record of such intent. It is reasonably expected that the general fund moneys may be advanced from time to time for capital expenditures which are to be paid from the proceeds of the above Bonds. The amounts so advanced shall be reimbursed from the proceeds of the Bonds not later than eighteen months after the initial payment of the capital expenditures or eighteen months after the property is placed in service. Such advancements shall not exceed the amount authorized in this Resolution unless the same are for preliminary expenditures or unless another declaration of intention is adopted. As to the non-urban renewal essential corporate purpose portion of the issue, the proceedings are prepared to show as a first step the receipt of any oral or written objections from any resident or property owner to the proposed action of the Council to issue the Bonds. A summary of objections received or made, if any, should be attached to the proceedings.
