BETWEEN
DUBUQUE COUNTY
AND
CITY OF DUBUQUE
FOR A COVID-19 VACGINE POINT OF DELIVERY 8� CALL CENTER
This Memorandum of Understanding (the MOU), dated for reference purposes the 1S� of
April 2021, is made and entered into by and between Dubuque County (County) and the '
City of Dubuque (City) for the funding and operation for a COVID-19 vaccine Point of !I
Delivery (POD) facility at the Grand River Center (500 Bell St), and for a COVID-19 call
center available to all Dubuque County residents. �
WH�REAS, emergency disaster declarations related to the global pandemic COVID-19
have been issued at the federal, state, and local levels as early as January 21, 2020
and without an end date; and ,
WHEREAS, vaccinations for COVID-19 have been available in lowa starting in
December 2020 and have been made available to medical providers and pharmacies
through federal and state outlets; and I,
WHEREAS, Dubuque County and the City of Dubuque have identified the need for an I
additional I?OD at the Grand River Center and associated call center to assist in �
vaacination appointment making. ',
NOW, THEREFORE, I
A. Citv Resqonsibilities. '
a. Contract for a primary COVID-19 Vaccine POD space with the Grand ,
River Center for the Parking Garage and Parking Lot, and Exhibit Hall A.
b. Provide operational staffing for the POD, including qualified professionals
to administer vaccinations. ;
c. Make the technology improvements at the Grand River Center for I
adequate wireless Internet. �
d. Contract for call center and scheduling software to be used for the
operation of the Grand River Center POD, as well as for other vaccine II
scheduling and informaCion purposes for Dubuque County residents.
e. Submit monthly payment requests to Dubuque County. '�
f. Provide County with monthly report on vaccines administered, and call ,
center activity. I
B. Countv Resoonsibilities. Reimburse City on a monthly basis for identified POD I
expenses as follows:
a. Parking Garage & Parking Lot Facility Rental, not to exceed I
$10,000.00 in total I

b. Exhibit Hall A Facility Rental, not to exceed $16,000.00 in total '
c. Tables, dividers, cleaning services not to exceed $2,000.00 in total
d. Wireless lnternet charges, not to exceed $1,300.00 in total
e. Tra�c management signage, not to exceed $3,000.00 in total
f. Call Center & Scheduling Software, not to exceed $15,000.00 in
total
C. Term. The term of this MOU Extension shall commence on April 1, 2021 through
July 31, 2021. The Term may be extended, in writing, upon the agreement of the
paRies.
�. Termination. Either party may terminate the MOU and any Extensions upon thirty
(30) days' written notice delivered to the other party. The MOU and any
Extensions may also be terminated in writing by both the County and the City.
Upon termination the parties shall determine costs through the date of �
termination for the basis of the City's monthly payment request to the County. I
E. Insurance. Each party shall maintain its membership with the lowa Communities �I
Assurance Pool (ICAP) during the term of this Agreement.
F. Indemnification. The parties each agree to defend, indemnify, save, and hold the I,
other party, its employees, directors, officers, members, and affiliated I
organizations harmless for, from, and against any and all claims, losses, causes
of action, liabilities, fines, and expenses (including, without limitation, attorneys'
fees, court costs, and all other defense costs and interest) that may arise by ,
reason of any negligent action or non-action in connection with or incidental to ',
the performance of any responsibilities in the MOU and the Extension. �
