WIN would also reimburse the City for any attachment or occupancy fees charged by IDOT. The City could leverage this infrastructure in the future through licensing and other public/private collaborations. The first is approval to enter into a conduit license agreement with the Iowa Department of Transportation for the use of a two-inch fiber -optics conduit on the Julien Dubuque Bridge. The second is approval of an amendment to an existing Master Agreement and Project Statement in place between the City of Dubuque and Wisconsin Independent Network (WIN). BACKGROUND In 2016 the City undertook its Broadband Acceleration Initiative. The Initiative focuses on public/private collaborations and includes a comprehensive strategy to reduce the cost and time required for broadband expansions in the City. One effort within that strategy is the use of "Master Agreements," where an overall legal, structural, and financial relationship is established between the City and broadband providers and approved by City Council. Project Statements carried out pursuant to that Master Agreement can then be implemented quickly as "amendments." In 2016 the City and WIN entered into a Master Co -location and Shared Services Agreement to accelerate the deployment of new broadband capacity in the City. The Project Statements entered under that collaboration have gone well and all anticipated value to the City has been received. In 2019 the conduit which WIN uses to provide service into the City across the Julien Dubuque Bridge began to degrade. In 2020 a City team met with WIN staff to discuss the issue. It was determined that the Iowa DOT had an un-utilized two-inch conduit on the Julien Dubuque Bridge. Rather than WIN repairing/replacing its failing conduit (solving the issue for one carrier), the City began researching the ability to retrofit the existing Iowa DOT conduit with micro -duct, potentially solving WIN's issue while also creating capacity for the City, Iowa DOT, Illinois DOT and future broadband growth needs for additional carriers in the future. The City team reached out to the Iowa DOT to discuss the possibility for such a retrofit. After several discussions, the Iowa DOT agreed to consideration under the following parameters: • The Iowa DOT would license the conduit to the City as a Local Public Agency. • The City would take all responsibility for the placement of micro -duct and fiber, and any subsequent maintenance and repair. • Capacity would be retained for the Iowa DOT and Illinois DOT, should it be needed in the future. • The City would pay to Iowa DOT the required attachment fee ($1,955.24). • The City would pay to Iowa DOT the required annual occupancy fee (estimated at $23,966 for 2021) • If and when the additional micro -ducts were utilized/occupied in the future, an additional annual occupancy fee may be required. DISCUSSION Based on the response from Iowa DOT, the City team met with WIN as to the level of collaboration that could be expected. The following items were agreed to: • A retro-fitted Iowa DOT conduit option would be the preferred option for WIN. • WIN would provide and install the micro -duct needed. • The City would provide, and WIN would install and manage a high -count fiber (576 strands) in one of the micro -ducts. WIN would reimburse the City half the costs of the fiber. • WIN and City would equally share the fiber (288 strands and 288 strands). • The City would pay the attachment fee and WIN would reimburse the City the full amount. • The City would pay the annual occupancy fee and WIN would reimburse the City the full amount. • If the City were to provide a license to other carriers to utilize its fiber, that carrier would share the costs of the annual occupancy fee equally with WIN. • The City would install the conduit needed for connecting the Bridge conduit to the City's major vault at the Locust Street Connector, using newly available federal funds. The benefits to the City within such an arrangement with the Iowa DOT and WIN were determined to include: • The significant time and expense to cross the Mississippi River creates a barrier to the Dubuque Broadband Acceleration Initiative. Creating affordable capacity for new carriers to cross the river significantly reduces that barrier to entry into the Dubuque market. • There will be a greater capacity for carriers already participating in the Dubuque market to also begin servicing greater Dubuque businesses and residents in Illinois and Wisconsin communities. • The infrastructure will improve the ability for system redundancy in Dubuque (more carriers with another route into and out of the community in times of emergency or outages). • The City can leverage this new capacity for additional value and license revenue. Description of co -location and service sharing. Installation of a joint broadband infrastructure across the Iowa/Illinois Bridge at Dubuque (also known as the Julien Dubuque Bridge). 2. Scope of shared service to be provided by CITY to WIN. a. Throughout the Term of this Project Statement, City will provide WIN with access to approximately 8,255 linear feet of two-inch conduit beginning at the Locust Street Connector, Dubuque, Iowa and ending at bridge exit in East Dubuque, Illinois (the "Bridge Conduit"). 3. Scope of shared service to be provided by WIN to CITY. WIN will purchase and install within the Bridge Conduit approximately 8,255 linear feet of four (4) micro -ducts, and install approximately 8,255 linear feet of one (1) 576-count fiber cable provided by City, into one of the micro -ducts, as described in Section 4 below b. WIN will reimburse the City $1.93 per linear foot for fiber installed and return the remainder of the fiber to City. C. WIN will install and terminate the micro -ducts and fiber cable. The micro -ducts (upon installation) and fiber cable will be wholly owned by the City. WIN will inspect and maintain the micro -ducts and fiber for the Term of this Project Statement. e. As a one-time payment to be invoiced by the City WIN will reimburse City for the documented attachment fee City has actually paid to the Iowa DOT for the purposes of installation of micro -duct and fiber cable within the Bridge Conduit, as calculated according to Iowa Administrative Code Section 761, Chapter 115.12(3). f. Annually, within sixty (60) days of its receipt of an invoice from the City, WIN will reimburse City for the annual occupancy fee City has paid to Iowa DOT for the Bridge Conduit pursuant to section 115.16(8) of the Iowa Administrative. Any future splicing needs requested by City from WIN will be completed by WIN, and City will reimburse WIN for such splicing at WIN's cost plus 20%. WIN will maintain splice records of the connections. 4. Allocation of Micro -duct and Fiber. a. The four micro -ducts shall be reserved as follows: One vacant micro -duct reserved for use by Iowa DOT. One vacant micro -duct for future Illinois DOT and/or other public agency use. One vacant micro -duct for exclusive use by WIN at its sole discretion for any lawful purpose. iv. One micro -duct, into which the 576-count fiber cable will be installed, to be managed by the City for increasing availability and capacity of broadband service in Dubuque, including collaboration with private sector. Upon installation of the 576-count fiber cable, WIN shall be assigned and have an exclusive right to use 288 strands, which it may use for any lawful purpose including without limitation sublicensing to third parties. 5. Third Party Rights and Agreements. a. Both WIN and CITY may contract with other third parties for use of excess fiber capacity, provided that in no case shall WIN or the City have any right to bind the other by any contracts to which the other is not a party or assign to the other to any obligations, costs, liabilities, or risks of any kind by such contracts. b. In the event that during IDOT conduit maintenance or repair temporary fiber relocation or other one-time costs are incurred, the parties agree that any third -party licensees, the City, and WIN will share such costs equally. 6. Term and Termination. This Project Statement shall be effective as of the date of last signature and shall continue in force for a twenty (20) year term beginning July 1, 2021 and running through June 30, 2041 ("Initial Term"). Following expiration of the Initial Term, this Project Statement shall automatically renew for successive one (1) year terms (each a "Renewal Term" and, together with the Initial Term, the "Term") unless either Party provides the other Party with written notice of its intent not to renew at least three hundred (300) days prior to the expiration of the then -current Term. Hoffmann, CEO WIN, LLC Date May 5, 2021 DS V Internal Review May 5, 2021 5-5-2021 CONDUIT LICENSE AGREEMENT Agreement No. 2020-16-134 THIS AGREEMENT ("Agreement") is effective as of this day of May, 2021("Effective Date"), by and between the city of Dubuque, Iowa, a Local Public Agency ("LPA"), and the Iowa Department of Transportation ("Iowa DOT"). The LPA and DOT are sometimes referred to herein individually as a "Party" and collectively as the "Parties." WHEREAS, the Iowa DOT owns and maintains a two-inch conduit structure on the U.S. 20 Julien Dubuque bridge over the Mississippi River located between Dubuque, Iowa and East Dubuque, Illinois, as more particularly described on the map attached hereto as Exhibit A (the "Iowa DOT Conduit"); and WHEREAS, the LPA has requested to install four innerducts within the Iowa DOT conduit structure; and WHEREAS, Iowa DOT desires to acquire the right to use one of the LPA innerducts for future Iowa DOT use; and WHEREAS, the LPA is requesting to retain one innerduct for future Illinois IDOT and/or other public agency and one innerduct for future development purposes; and WHEREAS, the LPA is requesting to occupy and manage the remaining innerduct to advance the City of Dubuque's goal of increasing the availability and capacity of broadband service in Dubuque, including collaboration with public and private third -parties under the terms and conditions contained herein. NOW, THEREFORE, in consideration of the mutual agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. Permit. The LPA shall obtain an approved permit from the Iowa DOT to occupy the Iowa DOT conduit on the U.S. 20 Julien Dubuque Bridge and agrees to pay an annual fee for that permit to the Iowa DOT pursuant to Freeway Utility Occupancy Utility Permit # 2. Conduit License. Subject to the terms and conditions contained herein, the Iowa DOT hereby grants to the LPA during the term of this Agreement, an exclusive license to use the Iowa DOT conduit structure as outlined in this agreement and to install four innerducts within the Iowa DOT conduit structure as such innerduct is specifically identified on Exhibit A (the "Licensed Innerduct") for the sole purpose of installing and maintaining fiber optic cable for the transmission of video and data and to further grant usage of one innerduct to public and/or private third parties (the "License"). The License does not include fiber, fiber installation, other services or any further storage space provided by Iowa DOT unless expressly set forth in this Agreement. The LPA shall reserve three innerducts for future use, one by the Iowa DOT, one by the Illinois DOT or City of Dubuque and one for development needs. 3. Term. Unless otherwise terminated as provided for in this Agreement, the term of this Agreement shall be twenty (20) years commencing upon execution of this Agreement. The Term of this Agreement shall automatically extend for additional one (1) year periods thereafter unless Iowa DOT or LPA delivers written notice to the other not less than 180 days prior to the end of the Initial Term or Renewal Term, as applicable, that is does not intend to extend the Agreement. 4. Access to Licensed Innerduct and Installation of Fiber. Upon execution of this Agreement, the LPA will provide to the Iowa DOT maps and drawings of the Licensed innerduct within the Iowa DOT conduit structure. The LPA will submit to the Iowa DOT for approval a plan setting forth the installation specifications and the desired timeframe for the installation of the Licenced Innerducts at least thirty (30) days in advance of the desired installation start date. Within thirty (30) days of receipt of the plan from the LPA, the Iowa DOT will notify the LPA of: (a) its approval, or (b) necessary revisions to the plan. In the case of (a), the LPA shall be permitted to install the Licensed Innerduct in the Iowa DOT conduit structure in accordance with the approved plan and at the LPA's sole cost. In the case of (b), the LPA shall revise the plan accordingly and resubmit to the Iowa DOT for approval. Following the LPA's installation of the innerduct, the Iowa DOT may inspect the Iowa DOT conduit structure to verify that the Licensed Innerduct has been properly installed according to the approved plan and to confirm that the LPA has not caused injury or damage to the Iowa DOT conduit structure. 5. Attachment Fee. The "LPA Attachment Fee" is the fee that the LPA pays to the Iowa DOT for the attachment to the U.S. 20 Julien Dubuque Bridge by Utility Permit # and calculated pursuant to the Iowa Administrative Code Section 761, Chapter 115. The attachment fee is $1,955.24 . 6. Outside entities. Any outside entity that desires to utilize the remaining Licensed Innerduct will be required to obtain an approved Utility Permit from the Iowa DOT and pay a required attachment fee pursuant to Iowa Administrative Code 761, Chapter 115. No outside entity shall be allowed to install any facilities in the Licensed Innerducts without receiving said approved Utility Permit from the Iowa DOT prior to installation. 7. Recoupment of Installation, Attachment and Occupancy Costs. The LPA shall be allowed to recoup its installation, attachment, maintenance and occupancy costs from public or private entities with which it collaborates, however the amount assessed shall not exceed the actual cost of installation, attachment, maintenance and occupancy of the innerducts. 8. Termination. (a) Termination for Breach: Either Party may terminate this Agreement by giving written notice to the non -terminating Party in the event the non -terminating Party has breached any term of this Agreement if such non -terminating Party fails to cure such breach, or fails to commence diligently to cure such breach, within thirty (30) days following written notification thereof by the terminating Party. (b) Iowa DOT Termination Rights: the Iowa DOT may terminate this Agreement immediately if (i) the LPA causes frequent injury or damage to the Iowa DOT conduit structure; (ii) the Iowa DOT revokes, for any reason, the Utility Permit # ; or (iii) the Iowa DOT destroys or otherwise abandons the use and maintenance of the U.S. 20 Julien Dubuque Bridge. The Iowa DOT may terminate this Agreement upon twenty (20) days' notice if: (iv) the Iowa DOT determines, in its sole and absolute discretion, that the LPA is using the Iowa DOT conduit structure for a purpose other than the narrowly defined purpose set forth in this Agreement; or if the Iowa DOT determines in its sole and absolute discretion that it is in the State of Iowa's best interest to do so. If Iowa DOT exercises its discretion to terminate it will provide LPA with up to 180 days to create alternative connections for the public and or private partners. (c) LPA Termination Rights: The LPA may terminate this Agreement upon twenty (20) days' notice if it no longer desires to use the Iowa DOT conduit structure. 9. Events Upon Termination. Upon termination of this Agreement whether the result of the natural expiration of the Term or one of the termination events identified in Section 8 above, the LPA shall immediately remove, or cause to be removed, at its sole cost, the Fiber or other equipment installed in or leading to the Iowa DOT conduit structure. If the LPA fails to cause the removal of the fiber or any other equipment installed by the LPA within 30 days following the termination of this Agreement, the Iowa DOT shall have the right to remove and dispose of the fiber and any other equipment as it sees fit and to invoice the LPA for the cost of same. The LPA shall reimburse the Iowa DOT within 30 days of receipt of such invoice. Notwithstanding the above, if Iowa DOT exercises its discretion to terminate it will provide LPA with up to 180 days to create alternative connections for the public and or private partners and to remove fiber or any other equipment installed by the LPA . 10. Repair and Maintenance. The LPA shall maintain the Licensed Innerducts within the Iowa DOT conduit structure in useable order, condition and repair. The Iowa DOT shall have no responsibility under this Agreement for maintaining or repairing the fiber installed by the LPA. The LPA shall be responsible for performing (at its own cost) all maintenance and repairs of the Licensed Innerducts or fiber and such maintenance and repairs shall be performed in a good and workmanlike manner in accordance with applicable industry standards, and regulations of applicable governmental authorities. The LPA shall provide the Iowa DOT with proper notice as described in Utility Permit # prior to any routine maintenance or repair work on the Licensed Innerducts or fiber or any other equipment installed in or leading to the Iowa DOT conduit structure. In the event of an emergency, the LPA shall have the right to perform maintenance or repair immediately and shall notify the Iowa DOT as soon as practicable. The Iowa DOT shall have the right to supervise and have a representative present at any time that the LPA accesses the Iowa DOT conduit structure for maintenance or repair. 11. Representations and Warranties. The LPA represents and warrants that it will use the Licensed Innerducts and Iowa DOT conduit structure in compliance with all applicable government codes, ordinances, laws rules and regulations. Except as expressly set forth in the Agreement, the Iowa DOT makes no warranty, express or implied, with respect to the Iowa DOT conduit structure including any warranty of merchantability or fitness for particular purpose and all such warranties are hereby expressly disclaimed. 12. Indemnification. The LPA hereby agrees to indemnify, protect, defend and hold the Iowa DOT, its affiliates, officers, directors, employees, and representatives harmless from and against all costs (including without limitation attorney fees and court costs), liabilities, damages, loss of life, bodily or personal injury or property damage, incurred by the Iowa DOT as the result of or arising from the LPA's use of the Licensed Innerducts or Iowa DOT conduit structure or from the breach by the LPA of any provision of this Agreement. This Section 12 and the obligations hereunder shall survive the expiration of this Agreement or its termination for any reason. 13. Limitation of Liability. The Iowa DOT's liability to the LPA for any and all claims that in any manner directly or indirectly result from, arise out of or relate to this Agreement or the Licensed Innerducts within the Iowa DOT conduit structure, shall be limited, in the aggregate and cumulatively to an amount not to exceed the total amount of the Attachment and Occupancy Fees received by the Iowa DOT from the LPA under this Agreement. 14. Force Majeure. Neither Party shall be responsible for any loss, damage, delay or failure of performance (other than the payment of Fees) resulting directly or indirectly from any cause, event or circumstance which is beyond its reasonable control, including: delay in obtaining or failure to obtain or loss of any approvals, permits, licenses or rights -of -way (or any renewals thereof), except to the extent that any such delay or failure is caused by the responsible Party's negligence in applying or maintaining any such approval, permit, license or right-of-way; acts of God; any unfavorable weather, wet or frozen grounds, or other adverse weather -related conditions; acts of terrorism or by any public enemy; acts or failure to act of any governmental authority not caused by any negligent act or omission of such party; war or warlike operations; the making or changing of any order, law, rule, regulation or requirement of any government or any governmental agency or authority which has the effect of prohibiting or rendering unlawful the performance of the Agreement; mobilizations or military call-ups, and acts of similar nature; revolution, rebellions, sabotage, and insurrections or riots; fires, floods, epidemics or quarantine restrictions; strikes, and other organized labor actions which render performance hereunder impossible or impracticable; labor or material shortages or unavailability or other delay not resulting from the responsible Party's failure to place timely orders; or freight embargoes. If any Force Majeure Event causes an increase in the time required for performance of either Party's obligations hereunder (other than the payment of Fees), such Party shall be entitled to an equitable extension of time to complete such obligations in each case equal to at least one day for each day of delay resulting from the Force Majeure Event. 15. Assignment. The LPA may not assign its rights and obligations under this Agreement or otherwise transfer the Agreement without the prior written consent of the Iowa DOT. 16. Notices. Governing Law. The laws of the State Iowa shall govern this Agreement. 18. Entire Agreement. This Agreement is the entire agreement between the parties pertaining to its subject matter, and all written or oral agreements, representations, warranties or covenants, if any, previously existing between the parties with respect to such subject matter are canceled. No course of dealing or practice shall be used to interpret, supplement or alter in any manner the express written terms of this Agreement. The statements made by a party otherwise than in an express provision of this Agreement are not representations or warranties and do not create obligations. 19. Severability. If any provision of this Agreement is held by a court with jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
