FIFTH AMENDMENT
TO
FACILITY MANAGEMENT AGREEMENT
BETWEEN
THE CITY OF DUBUQUE, IOWA
AND
PLATINUM HOSPITALITY GROUP, LLC
This FIFTH AMENDMENT TO THE FACILITY MANAGEMENT AGREEMENT is
dated for reference purposes the 261h day of July, 2021.
WHEREAS, the City of Dubuque (City) and Platinum Hospitality Group, LLC
(Manager) are parties to a Facility Management Agreement (the Agreement) dated for
reference purposes the 20'h day of May, 2013; and
WHEREAS, the parties amended the Agreement by amendments dated April 4,
2016, March 18, 2019, April 29, 2020, May 18, 2021; and
WHEREAS, the parties now desire to further amend the Agreement as set forth
herein:
1. Section 9 is amended to read as follows:
TERM. The Term of this Agreement commences July 26, 2021 and terminates at
midnight August 13, 2021 unless earlier terminated as set forth herein.
2. Section 10.1 is amended to read as follows:
Termination Without Cause. This Agreement may be terminated by either party
hereto, with or without cause, upon Ten (10) days written notice to the other party.
3. Section 10.2 is deleted.
