Notification Pursuant to the Worker Adjuslxnent and Retraining
Notification Act, 2.9 U.S.C.§ 2101 et seq. and Applicable State Law - AMENDED
Dear Mayor or Highest Elected Official:
As you know, earlier this year Eagle Food Centers, Inc. ("Eagle" or the "Company"), filed for
Chapter 11 bankruptcy protection in the United State Bankruptcy Court for the Northern District
of Illinois, Eastern Division (the "Bankruptcy Court"). The Company together with its creditors
have been reviewing Eagle's financial situation and the Company's various options, including the
sale of all or some of Eagle's operations.
The Bankruptcy Court has approved procedures for the Company to evaluate offers for all or
some of Eagle's operations. To the extent the Company determines one or more offers are
acceptable, it anticipates seeking approval from the Bankruptcy Court on or before September 5,
2003. Assuming that a sale or multiple sales are approved at that time, it is expected that such
transactions would begin to close as early as September 2003. In connection with the sale
process, the Company anticipates that it will be terminating all of its employees at its stores and
its warehouse. The Company expects that such terminations will occur on September 23, 2003
or within 14 days thereafter. We are hopeful that a purchaser will make offers of employment to
many of Eagle's employees, but Eagle can give no assurances at this time.
Alternatively, ifa sale does not take place, the Company anticipates that it will need to
restructure its op~ations, which will include significantly reducing the Company's current staff
at its warehouse and many of its stores, as well as closing some facilities. Under such
circumstances, the Company expects that employee terminations and facility closings will occur
on September 23, 2003 or within 14 days thereafter. Eagle will continue to employ a limited
number of employees who will be notified of their retention in advance of such date.

Several different local unions of the United Food and Commercial Workers represent Eagle
employees at the affected grocery stores. In addition, Local 371 of the International Brotherhood
of Teamsters represents two other units of affected employees. Employees represented by a
labor union may have certain bumping rights depending on the locations affected by these

These terminations and facility closings will be permanent and will affect employees in all job
titles. Attached to this notice is a list of affected sites with addresses. There are approximately
2,650 full and part-time employees in the stores, and 100 full time employees in the office and
250 full-time employees in the warehouse.
Job classifications affected with store closures will include salaried store and assistant managers,
union department heads, cashiers and clerks. Job classifications in the warehouse include
salaried management/supervisor positions and several classifications of warehouse Workers and
drivers. Office classifications include union office/clerical workers and several salaried
classifications including buyers, accountants, secretaries, executives, and human resource
employees.
While this notice may not be required under applicable law, it is being provided to you at this
time in order to give as much advance notice as possible to everyone affected by this
development and to fulfill any obligation that Eagle might have pursuant to the federal Workers
Adjustment and Retraining Notification Act and any similar state statute that may apply. Due to
the potential impact of these developments, we felt it necessary to inform those affected by these
developments as soon as possible.
