AMENDMENT TO
FACILITY MANAGEMENT AGREEMENT
BETWEEN
THE CITY OF DUBUQUE, IOWA-*
AND
PLATINUM HOSPITALITY GROUP, LLC
This SEVENTH AMENDMENT TO THE FACILITY MANAGEMENT AGREEMENT
is dated for reference purposes theday of August, 2021.
WHEREAS, the City of Dubuque (City) and Platinum Hospitality Group, LLC
(Manager) are parties to a Facility Management Agreement (the Agreement) dated for
reference purposes the 20th day of May, 2013; and
WHEREAS, the parties amended the Agreement by amendments dated April 4,
2016, March 18, 2019, April 29, 2020, May 18, 2021, July 26, 2021,.and August 12, 2021;
and

WHEREAS, the parties now desire to further amend `fl:e Agreement as set forth
herein:
1._ Section 3.7(7) is amended to read as follows: _
(7) Snow Removal. The Manager will direct all snow removal services
on the pathways and sidewalks as well as parking lots. as shown in
Appendix A, except as follows: snow removal for tfe`-stairs to from the
Riverwalk to the entrance of the parking garage and the stairs to and from
the Riverwalk down to the exit of the parking garage ,will: be the City's
responsibility. i ;;
2. Section 3.7(18) is amended to read as follows:
(18) Landscape Care and Maintenance. `"`
(a) The Manager will provide for landscape care 'M1and general
maintenance of all areas and structures of the Facility outside'oft he building
itself. Landscape care and maintenance shall include'ut is` not limited to
turf, flowers including annuals and perennials, trees, shrubs and landscape
beds and all other structures outside the building itself. These structures
include but are not limited to fences, brick and stone landscape structures
and areas, signage, benches and waste receptacles';y TheManager shall
provide for care and maintenance of the irrigatight system and other
watering systems. The Manager shall provide for annual flowers in the beds
on the Riverwalk patio. See Appendix B-Operating Sta' lards for additional
details regarding Landscape Care and Maintenance.

(b) The City will be responsible for mowing the turF;triangles that are
located between the two sets of stairs that go from the`f .iverwalk down to
the entrance and exit of the parking garage and the: "'Grand-. River Center
patio.
3. Section 9 is amended to read as follows: ;
SECTION 9. TERM. The Term of this Agreement commences September
14, 2021 and terminates at midnight November 15, 2022 unless earlier
terminated as set forth herein.
4. Section 10.1 is amended to read as follows:
Termination. This Agreement may be terminated by either party hereto, with
or without cause, upon one hundred eighty (180) d-ays written notice
delivered to the other party._;
5. Section 10.2 is deleted.
