SUBJECT: Proposed Amendment to Master Co -Location and Shared Services
Between the City of Dubuque and Interstate Power and Light

Civil Engineer II Dave Ness, Information Services Manager Chris Kohlmann and
Sustainable Innovation Consultant David Lyons recommend City Council approval of
Amendment 7 to the Master Co -location and Shared Services Agreement with Interstate
Power and Light (IPL) for purchase of a conduit system which crosses the Iowa and
Wisconsin Bridge over the Mississippi River.
The proposed amendment would add the final section to the collaboration between IPL
and the City of Dubuque. It would allow the City to purchase an existing 4" conduit that
would extend the City's network from Schmitt Island across the bridge to Wisconsin. In
addition to its public safety aspects, conduit on this bridge would provide the City with
improved and resilient high-speed internet service as it would represent a redundant
path into and out of the community for internet carriers. Up to six carriers can share
(license) space in this conduit from the City. The City's costs to install this conduit
network on its own, including paying a separate IDOT attachment fee, was estimated to
be significantly higher (over $100,000 higher) than the cost of this proposed purchase
and shared maintenance agreement.
Approval of the proposed amendment should not have a negative budgetary impact as
the source of funds is a positive general fund balance at FY 2021 close out. It should
have a long-term positive budgetary impact as the City licenses additional space in the
conduit to private sector carriers who need to traverse the Mississippi River. It also
alleviates the need for City to install its own conduit system for public safety purposes at
a higher cost.

INTRODUCTION
The purpose of this memo is to request approval of an amendment to the Master
Colocation and Shared Services Agreement with Interstate Power and Light (IPL) for
the City purchase of a conduit system which crosses the Iowa and Wisconsin Bridge
over the Mississippi River.

In 2016 the City of Dubuque undertook its Broadband Acceleration Initiative. The
Initiative focuses on public/private collaborations and includes a comprehensive
strategy to reduce the cost and time required for broadband expansions in Dubuque.
One effort within that strategy is the use of "Master Agreements", where an overall legal,
structural, and financial relationship is established between the City and broadband
providers and approved by City Council. Project Statements carried out pursuant to that
Master Agreement can then be quickly considered and approved.
In late 2018 the City was made aware of a pending project by Interstate Power and
Light and Alliant Energy to link all the utility's generation, distribution and office facilities
in Iowa and Wisconsin via dedicated broadband fiber. Teams from the utility and the
City met and worked over the subsequent year to determine (a) how IPL could best deal
with the geographic challenges of Dubuque and the crossing of the Mississippi via the
Iowa/Wisconsin Bridge; and (b) how this new fiber build could assist the City in its
broadband acceleration efforts. It was determined that both outcomes could be
accomplished by a "joint build" which the teams then set about designing.
DISCUSSION
The proposed amendment would add the final section to the collaboration between IPL
and the City of Dubuque. It would allow the City to purchase an existing 4" conduit that

ACTION STEP
This amendment supports Dubuque's Broadband Acceleration Initiative, reduces costs,
and increases resiliency of the broadband capacity of the community and creates a
licensing opportunity for the City. We would respectfully request your approval.

AMENDMENT 7 TO MASTER CO -LOCATION AND SHARED SERVICES AGREEMENT
This Amendment is made this 131h day of September, 2021, by and between Interstate Power
and Light Company and the City of Dubuque, Iowa, the parties to a MasterCo-Location and Shared
Services Agreement dated the 3,d day of February, 2020, and designated as Contract No. 53385 (the
"Agreement").
WHEREAS, the parties wish to amend the Agreement by incorporating Project Statement #7 as a
supplemental Exhibit.
The parties have reached an understanding regarding the Agreement, and by this Amendment
reduce the understanding to binding form.
Project Statement# 7 —is hereby incorporated into the Agreement asa supplemental Exhibit:
Pursuant to the Master Co -location and Shared Services Agreement between City of Dubuque (CITY) and
Interstate Power and Light (IPL), dated February 3, 2020 and attached hereto, the Parties hereby agree
to the following PROJECT STATEMENT:
Narrative description of co -location and service sharing:
- I PL will sell to CITY an existing four (4) inch conduit estimated at 3,200 linear feet and running
from Chaplain Schmitt Drive at the Iowa and Wisconsin Mississippi River Bridge to the vault at
the exit of the Bridge in Wisconsin, and as further shown on shown on Exhibit 1. This conduit
will include micro -duct lining and is valued at $403,000. This value includes approximately
$65,000 which represents CITY's half of the Bridge attachment fee charged by the Iowa
Department of Transportation.
IPLand CITY conduit will share certain attachments, hangersand other equipment used to
access, attach and exit the bridge between Wisconsin and Dubuque, Iowa, which IPLowns and
manages. Pursuant to section 12 of the Agreement, IPLshall provide notice for any upgrade,
alteration, maintenance (general or emergency), including estimated costs, prior to undertaking
such work. Unless otherwise agreed in writing by the Parties, CITY shall be responsible for fifty
percent (50%) of such costs. IPL shall invoice CITYfor CITY'sshare of costs, which shall be paid
by CITY within ninety (90) days of receipt.
Charges and Payment Terms:
- CITY shall pay to IPL $403,000 for the above described conduit within ninety (90) days of the
signatures below.
- Unless otherwise agreed in writing by the Parties, CITY shall pay maintenance invoices within
ninety (90) days of receipt.
Exchange of Value:
The value provided by I PLto CITY is $403,000. The value provided by CITY to I PL is $403,000.
