Smarter Sustainable Dubuque Project Manager David Lyons recommends City Council
approval of an Amendment to the Memorandum of Understanding previously entered
into between the City of Dubuque and Iowa Power & Light.

the File Transfer Protocol (FTP) site to which Iowa Power & Light will transfer
meter data; and
2) Provide for the expanded area from which the City was allowed to recruit 1,000
pilot households.

Introduction
Attached is a proposed amendment to the Memorandum of Understanding entered into previously
between the City and Iowa Power and Light, which amendment we wish the City Council to consider and
approve.
Background
Earlier this year the City of Dubuque entered into a Memorandum of Understanding with Iowa Power
and Light for the conduct of the Smarter Electricity portion of the Smarter Sustainable Dubuque research
partnership with IBM. That Memorandum set out the understandings and obligations between the
parties, including the installation of up to 1,000 AMI (Advanced Meter Infrastructure) units and the
reporting and security of data from such meters. The Memorandum was a necessary condition of the
City being able to qualify for an Iowa Power Fund grant of $1,400,000.
Discussion
The attached amendment accomplishes two things:

1) Includes recognition that Dubuque will be using a third party vendor, VerityThree, to host the FTP
(File Transfer Protocol) site to which Iowa Power & Light will transfer meter data; and
2) Provides for the expanded area from which the City was allowed to recruit 1000 pilot households.
Both of these changes were made at the City's request, operated in support of the City's ability to carry
out its obligations under the Iowa Power Fund Contract and should be considered both minor and non -
substantive to the overall content and intent of the underlying Memorandum of Understanding.

We would recommend approval of the amendment by the City Council.

MODIFICATION NO. 1
TO MEMORANDUM OF UNDERSTANDING
This Modification No. 1 to the Memorandum of Understanding dated April 28, 2010 is
made, effective as of the date last signed below, by and between Interstate Power and
Light Company (IPL) and the City of Dubuque (City).
The parties have agreed to modify the terms of this MOU to expand the potential
participant recruitment area and to modify the data rights and licensing terms for use of
a third party web hosting site by the City.
Now, therefore, in consideration of the mutual covenants, terms, and conditions set forth
in this modification and the MOU, the parties hereto mutually agree to modify this MOU
as follows:
1. Clause 6.b is hereby deleted and replaced with the following:
City is granted a limited license to use and reproduce the Data in order to display
the Data in a restricted web portal hosted by VerityThree, Inc., of McHenry, IL, in
accordance with all requirements of this MOU, so that each customer may only view
its own Data and no other customers may view a customer's data. IPL will send the
Data via File Transfer Protocol (or FTP) to VerityThree, Inc. in anonymized form, but
with City's unique identification number for each customer's Data. Customers will
then use the unique identification number to view their Data. VerityThree, Inc. will
also provide access to such Data only in anonymized form by IBM in accordance
with Section 6.a above or other access by City in accordance with Section 6.d
below.
2. Clause 6.k is hereby deleted and replaced with the following:
Customer specific Data to be posted on City's website hosted by VerityThree, Inc. is
for informational use by individual customer only.
3. Pursuant to Section 3.a, Exhibit A is hereby replaced with Exhibit A attached hereto.
In all other respects, the Contract remains unchanged and in full force and effect.

Dubuque Recruitment and Meter Installation Region Expansion
The colored regions and dates on the map below correspond to the City of Dubuque's
water meter deployment schedule. Northern Water Works Supply (NWWS) and the City
are presently beginning the process to install water meters in the rest of the community.
The City's plan is to work with NWWS and when calling households to schedule their
new water installation (required) that they solicit them to also participate in the electrical
meter pilot.
The blue outlines represent areas to expand the pilot recruitment efforts into effective
immediately and allow NWWS to prioritize and start water meter installations. This
expands electric meter installations to areas inside of the blue outlined areas.
The red numbers correspond to IPL meter read routes.
Once this modification is executed by both parties, the map will supplement the one
contained in the original MOU identified below as Figure 3.

Reasons for Expansion:
• Additional homes for City of Dubuque to recruit participants to meet the 1000
participant target in a timely manner. This is required before meter installations
can begin.
• Areas contain good candidates for meter installations. Outside meters, less
chance of older meter sockets, easier access to meters
■ Additional billing windows that allow for more time to install meters during the
month and higher chance of timely meter deployment for project.
• Coordination of regions with City of Dubuque's water meter installations
