Railroad Spur INTRODUCTION Enclosed are proposed agreements between the City of Dubuque and the Iowa Chicago & Eastern (lC&E) Railroad for the installation of a five-inch fiber optic conduit underneath the Iowa Chicago & Eastern Railroad (lC&E) tracks at 17th and Elm Streets and also the construction of a railroad switch and rail extension for the Flynn Ready-Mix Concrete Co. (Flynn Ready-Mix). DISCUSSION The City has worked with the IC&E on the easement agreement for the installation of a fiber optic conduit underneath the railroad tracks at 17th and Elm Streets. This fiber optic conduit will run from 17th and White Streets, underneath the tracks at 17th and Elm, to the future Operations & Maintenance facility at Kerper Court. This conduit will be incorporated into the City network. The second agreement with the IC&E is for the construction of a railroad switch, which is part of the City's agreement with Flynn Ready-Mix to construct a spur at the end of their new facility on Kerper Court. IC&E will install the railroad track switch and approximately 676 feet of rail to the property line, with reimbursement from the City. RECOMMENDATION I recommend that the City Council approve the proposed agreements by adoption of the attached resolutions. BUDGET IMPACT The cost for the Flynn Ready-Mix Concrete Co. railroad switch and track extension is $100,645.41, which includes engineering and contingency. The funding is part of the City's Kerper Boulevard Industrial Park Capital Improvement Budget, having a balance of $150,000. ACTION TO BE TAKEN The City Council is requested to adopt the attached resolutions authorizing the Mayor to execute two (2) copies of the agreements. Schneider, CMC, City Clerk . ,. < LICENSE AGREEMENT #070103 lOW A, CHICAGO & EASTERN RAILROAD CORPORATION, hereinafter referred to as "Company", hereby licenses CITY OF DUBUQUE, hereinafter referred to as "Licensee", subject to the terms and conditions hereinafter set forth, to construct, install, maintain and use a 5" fiber optic PVC hereinafter referred to as "Facility", upon and across the right-of-way and property and under or over the tracks of the Company near MP 44.3, 17th Street, Dubuque, lA, pursuant to request of the Licensee and in accordance with the plan and in the location shown in yellow on map dated July 8, 2003, attached hereto, made a part hereof, for the sole purpose of communications. The Company may, at its option and without liability to the Licensee, revoke this license at any time by giving written notice thereof to the Licensee if the Licensee shall violate or breach any of the following terms and conditions: 1. The Licensee will procure all necessary public authority for the construction, installation, maintenance and use of said Facility and use said Facility in conformity with all requirements of public authority. 2. The Licensee will pay all taxes and assessments that may be levied or assessed against said Facility. 3(a). Said Facility shall be constructed, installed and maintained by and at the expense of the Licensee, in a manner satisfactory to the Company. 3(b). The Company shall have the right at any time to judge the necessity of repairs to said Facility. The Licensee will, within ten (10) days after written notice, make all necessary repairs at its expense. 3(c). If, at any time the Company judges it necessary to change the location, elevation or method of construction or installation of said Facility, the Licensee will do so at its sole expense. 4. Right of entry will be granted by the Company's representative upon request from the Licensee or its contractor after the Company has received a copy of the Railroad Protective Liability Insurance Certificate from the Licensee or its contractor and has notified the Licensee or its contractor of approval for said insurance. Said insurance limits shall be $6,000,000.00 aggregate limit and $2,000,000.00 each occurrence. 5. The Licensee agrees to pay the Company $15.00 per protective train order, per day, issued by Company, for each train passing through or affected by said construction area when work performed by Licensee or its contractor is within scope stated herewith: A. Men, equipment, material, structures or any other obstructions are placed within 25 feet laterally of the centerline of track; B. Men, equipment, material, structures or any other obstructions working or placed at any distance vertically from top of rail of said track, within 50 feet laterally of the centerline of said track; C. Protective train orders shall be issued until completion of construction to the satisfaction of Company's Engineering Department. D. Work outside of 25 feet from track centerline will be covered by protective train order. 6. The Licensee or its contractor agrees to pay the Company the actual costs of flagging services . , work performed by the Company in manner stated herewith: A. Flagging services performed per day - $300.00 or actual expenses, incurred by Licensee; B. In case of an emergency call 1-80Q-658-3551. A copy of this agreement must be in the contractor's possession while performing work on job site and the contractor must be prepared to produce it upon proper demand. No work will be permitted if a copy is not available upon demand. 9. The Licensee assumes and agrees to protect, indemnify and hold harmless the Company, its officers, agents, employees, invitees and other licensees, from and against any and all claims, demands, suits, liability and expense by reason of loss or damage to any property whatsoever or injury to or death of any person whomsoever, from any cause whatsoever, arising or growing direct or indirectly out of said Facility. 10. This License is personal to the Licensee and is not assignable or transferable without the written consent of the Company. 11. For the privileges herein permitted, the Licensee shall pay to the Company a onetime fee of Seven Hundred Fifty Dollars and no/100 ($750.00). TRACK CONSTRUCTION & MAINTENANCE AGREEMENT #100103 THIS AGREEMENT, made and entered into this 1 st day of October, 2003, by and between IOWA CHICAGO & EASTERN RAILROAD CORPORATION, hereinafter called the "Company", and City of Dubuque, hereinafter called the "Industry". WITNESSETH: WHEREAS: The Industry desires the maintenance and operation of approximately 676 feet of track to serve the Industry located at Dubuque, lA, as shown in solid yellow color on map dated October 1,2003, attached hereto and made a part hereof. WHEREAS: The Company is willing that said track shall be maintained and operated upon the terms and conditions herein set forth: THEREFORE, in consideration of the premises, it is hereby agreed between the parties hereto as follows: 1. The Industry shall bear the cost and expense of all maintenance and inspection of that part of said track extending between point lettered "B" being right of way property line and point lettered "C" being end of track. Maintenance shall include any and all inspections, repairs, additions, betterments and the removal of snow, ice, vegetation or any other obstructions therefrom. The necessity for such maintenance sh;a be determined by the Company. Also, the Company shall determine who ( eing Company and/or contract forces) shall do said maintenance. 2. The Industry shall pay all cost to construct said track from point "A" being point of switch to point "C" being end of track. Industry agrees to reimburse the Company for constructing new mainline switch being point "A" to point "B" being right-of-way property line as estimated in Exhibit A, totaling $100,645.41, attached and made part of this agreement. 3. The Company shall bear the cost of maintenance and inspection between point lettered "A" being point of switch and point lettered "B" being right-of- way property line. 4. The Industry shall own all of said track located on its property. The Company shall own all of said track located on its property. 5. All cars delivered to the Industry on said track shall be deemed to have been delivered as soon as the car or cars have been placed on said track and detached from the engine or train by which it is moved. The Industry agrees to assume all risk, responsibility and liability for costs of rerailing or loss or damage to said cars, from any cause whatsoever, from the time of delivery of said cars until said cars are attached to engine or train by which they are moved. , ..... ... 6. The Industry shall be solely liable for all the consequences of its sole negligence; DM&E shall be solely liable for all the consequences of its sole negligence; and both parties shall share equally all of the consequences of their joint or concurrent negligence. 7. The Industry shall not place, or permit to be placed, or to remain, any equipment, material, structure, pole or other obstruction, or any excavation within 8.5 feet on straight track, or 9.5 feet on curved track, laterally of the center, or within 23 feet vertically from the top of the rail of said track. 8. The Company shall have the right to use said track, or any extension thereof, for any and all purposes which do not unreasonably interfere with service to the Industry. 9. The Company shall have the right at it's option, to terminate this agreement discontinuing operation over said track, by giving thirty (30) days notice in writing to the Industry. 10. The Industry shall not assign this Agreement, or any interest therein, without the written consent of the Company. 11 . This Agreement shall be binding upon the heirs, executors, administrators, successors and assigns of the parties hereto. 12. Upon the termination of this agreement, the Industry shall pay the cost and expense of removing said track owned by the Industry and restoring the Company's tracks and property and public property to the condition in which it would have been had not said track been constructed. At the election of the Company, the Company may pay to the Industry the salvage value of useable material paid for by the Industry.
