SUBJECT: Paula Jo Wolfe's Transition Date to SMG
leisure Services Manager Gil Spence recommends City Council approval of an
amendment to the Management Agreement with SMG changing the date for Civic
Center Manager Paula Jo Wolfe to transition to SMG, from September 30, 2004 to
December 31, 2004.
I concur with the recommendation and respectfully request Mayor and City Council
approval.

SUBJECT: Paula Jo Wolfe's Transition Date to SMG
INTRODUCTION
The purpose of this memorandum is to request City Council approval of an amendment
to the Management Agreement with SMG changing the date for Civic Center Manager
Paula Jo Wolfe to transition to SMG, from September 30,2004 to December 31,2004.
DISCUSSION
Civic Center Manager Paula Jo Wolfe has requested that her date to transition from City
of Dubuque employment to SMG employment be delayed from September 30, 2004 to
December 31,2004. This delay allows Paula to have four years in IPERS which means
she will be vested.
SMG agrees to delay the transition of Paula, and I support the request. There is no
financial impact on this delay since the City provides the funds to SMG to pay the
salaries of their employees.
ACTION STEP
The action requested is that the City Council adopt the attached resolution amending
the Agreement for the Management of the Five Flags Civic Center with SMG.

RESOLUTION NO. 374-04
APPROVING THE FIRST AMENDMENT TO MANAGEMENT AGREEMENT
BElWEEN THE CITY OF DUBUQUE, IOWA AND SMG
WHEREAS, the City of Dubuque (City) and SMG (SMG) have entered into an
Agreement for the management of City's Five Flags Civic Center; and
WHEREAS, City and SMG now desire to amend the Agreement as set forth in
the attached First Amendment to Management Agreement.
NOW, THEREFORE, IT IS AGREED BY AND BElWEEN THE PARTIES AS
FOllOWS:
1. The First Amendment to Management Agreement attached hereto is hereby
approved.
2. The Mayor is hereby authorized and directed to sign the First Amendment to
Management Agreement on behalf of the City.

FIRST AMENDMENT
TO
MANAGEMENT AGREEMENT
BETWEEN
THE CITY OF DUBUQUE, IOWA
AND
SMG
This First Amendment to the Management Agreement (the Agreement)
between the City of Dub ue, Ipwa (City) and SMG (SMG) is made and entered
into this 4' '' day of o '// , 2004.
WHEREAS, City and SMG have entered into the Agreement for the
management of City's Five Flags Civic Center; and
WHEREAS, City and SMG now desire to amend the Agreement as set
forth in this First Amendment.
NOW, THEREFORE, IT IS AGREED BY AND BETWEEN THE PARTIES
AS FOLLOWS:
1. Par. 1 of the Agreement, Definitions, "Employment Period," is amended
to read as follows:
"Employment Period" — for (i) the Group 1 Employees (as defined in
Section 7.2), the three (3) month period beginning on July 1, 2004 and ending at
midnight on September 30, 2004, (ii) the Group 2 Employees (as defined in
Section 7.2), the six (6) month period beginning on July 1, 2004 and ending at
midnight on December 31, 2004, and (iii) the Group 3 Employees (as defined in
Section 7.2), the eighteen (18) month period beginning on July 1, 2004 and
ending at midnight on December 31, 2005. Notwithstanding the foregoing,
however, the Employment Period for the General Manager shall be the period
beginning on July 1, 2004 and ending on midnight December 31, 2004.
IN WITNESS WHEREOF, this First Amendment has been duly
executed by the parties hereto as of the day and year first above written.
