Van Milligen, City Manager SUBJECT: Assumption and Subordination of Mortgage Obligation and Promissory Note for Property Located at 231 W. 2nd Street In 1995 the City provided a Downtown Rehabilitation Loan to Fred Bakey for the rehabilitation of commercial property at 231 West 2nd Street. In 2001 Dennis Gioletti and Richard Hatton purchased the property from Bakey, and the City agreed to an assumption and subordination of the mortgage at that time. Jeffrey Jackson wishes to purchase this property and requires a similar assumption and subordination. Economic Development Director Bill Baum recommends City Council approval of the Assumption Agreement and the Mortgage Subordination Agreement that will allow Denis Gioletti and Richard Hatton to transfer responsibility for a mortgage and promissory note to Jeffrey Jackson, who wishes to purchase the commercial property at 231 W. 2nd Street. SUBJECT: INTRODUCTION This memorandum presents for City Council consideration a resolution consenting to an Assumption Agreement and a Mortgage Subordination Agreement that would allow Denis Gioletti and Richard Hatton to transfer responsibility for a mortgage and promissory note to Jeffrey Jackson who wishes to purchase the commercial property at 231 W. 2nèl Street. BACKGROUND In 1995, the City provided a Downtown Rehabilitation Loan to Fred Bakey for the rehabilitation of this property. In 2001, Gioletti and Hatton purchased the property from Bakey, and the City agreed to an assumption and subordination of the mortgage at that time. A further sale to Jeffrey Jackson requires a similar assumption and subordination. The original loan amount of $100,000 was reduced to approximately $80,000 at the time of the first assumption and now has an outstanding balance of approximately $56,000. The City is currently in a second mortgage position. DISCUSSION The attached assumption agreement will facilitate the sale of the property to Jeffrey Jackson. The agreement stipulates that he will assume responsibility for both the mortgage and promissory note signed on November 20,1995 that secured the City's original loan. Gioletti and Hatton will be released from liability. Jackson will be borrowing up to $149,000 from Livingston State Bank, Livingston, Wisconsin, to complete the purchase of the property. The attached mortgage subordination agreement allows Livingston State Bank to have a first mortgage position on this property. The City remains in a second position. Staff has met with the buyer and has reviewed his financial statements and building proforma. An appraisal of the property dated July 28, 2004 indicates a value of $231,000. That exceeds the amount of outstanding principal by $26,000. RECOMMENDATION I recommend that the City Council approve both the assumption agreement and the mortgage subordination agreement and authorize the Mayor and City Clerk to sign both agreements on behalf of the City. Jeffrey Jackson presently owns and operates a business in the building's storefront, with 4 renovated residential rental units in the upper floors. He will be fully responsible for satisfying the terms, obligations and conditions of the mortgage.
