Farmland Foods has requested to closeout the job creation portion of the
Community Economic Betterment Account (CEBA) and Community Development
Block Grant (CDBG) loans used as part of the purchase and reinvestment needed to
save FDL Foods.
Both loans set March 31, 1999, as the date for creation of new jobs by the
company and both loans established 400 jobs as the base of existing employment
in Dubuque. The CEBA loan document states that the company must create 1,254
new jobs while the CDBG loan requires the creation of 1 AOO new jobs.
In June, 1999, the City received the attached report from the East Central
Intergovernmental Association (ECIA). It states that:
1. As of march 31, 1999, FDL had 1,545 employees and 257 openings for a
total of 1,802 positions.
2. 60% of the new hires were low and moderate income.
3. The investment by FDL exceeded the original budget by $6.8 million.

Farmland Foods believes they met the intent of the contracts. They say that
despite significant recruitment efforts including advertising, job fairs, a temporary
remote recruitment office, and relocation and recruitment incentives, they were
unable to full some 257 vacant positions.

INTRODUCTION
This memorandum presents for City Council consideration a request from Farmland Foods to
closeout the job creation portion of the Community Economic Betterment Account (CEBA) and
Community Development Block Grant (CDBG) loans with FDL Foods, Inc (Farmland).
DISCUSSION
In April, 1996, Farmland Foods' subsidiary FDL Foods, Inc., executed a CEBA Loan with the
State of Iowa and the City of Dubuque for $5,000,000. These funds were disbursed on June 30,
1996 and they were repaid on July 1, 1998.
FDL Foods, Inc. executed a separate CDBG loan with the City of Dubuque in February, 1997, for
$1,000,000. These loan funds were disbursed to the company on March 7,1997. As per the loan
agreement, FDL has been making quarterly interest payments since June of 1997. Principal and
interest payments will begin in June ofthis year and will continue through March, 2007.
Both loans set March 31,1999, as the date for creation of new jobs by the company and both
loans establish 400 jobs as the base of existing employment in Dubuque. The CEBA loan
document states that the Company must create 1254 new jobs while the CDBG loan requires the
creation of 1400 new jobs.
As agreed at the time the loans were funded, ECIA has primary responsibility for collecting
reports of the Company's performance onjob creation and investment. This arrangement
streamlines the reporting requirements for the company and the City and County.
In June of 1999, we received the attached report from Jerry Schroeder of ECIA to the Iowa
Department of Economic Development regarding the State's CDBG Float Loan which was
passed through by Dubuque County. It states that: I) as of March 31,1999, FDL had 1545
employees and 257 openings for a total of 1,802 positions; 2) 60 % of the new hires were low
and moderate income; 3) the investment by FDL exceed the original budget by $6.8 million; and
4) the State's float loan was fully repaid.
Staff met with representatives of Farmland on three separate occasions over the past year to
discuss the status of job creation. At our most recent meeting on February 15, 2000, the
company provided the attached documentation of its efforts to hire workers. They claim that
despite significant recruitment efforts including advertising, job fairs, a temporary remote
recruitment office, and relocation and recruitment incentives, they were unable to fill some 257
vacant positions. They believe that they have met the job creation requirement, that they had a
sufficient number of filled and open jobs but were unable to fill the open positions as a result of
conditions beyond their control.
At this time, the City must determine how it wishes to proceed. We can accept the report from
ECIA and the company and agree that Farmland has met the job creation requirement. We can
find that the company did not meet the requirement and that it is in default of the loan agreement.
ACTION STEP
The Action Step is for the City Council to determine if the request for job creation closeout
should be approved or if Farmland should be found in default of the loan agreement.

The contract called for 1800 employees as of 3/31/99, The quarterly report shows that
there are 1545 employees. The payroll register for 4/4/99 shows the company had
6,570.24 hours of paid overtime. The company is being forced into the overtime
situation due to the 257 unfilled positions.
Farmland Foods, Inc. believes that it has successfully fulfilled the CDBG contract:

Dear Mr. VanMilligen:
In our meeting of December 21,1999, you requested infonnation supporting Farmland's employment
initiatives to meet the job creation goals required by the loan agreement with the City of Dubuque.
Attached please find a summary of recruitment initiatives and costs including ads, job orders through
Workforce Development Centers, and job fairs. Despite these efforts, there were still 257 open
positions on the project target date of March 31, 1999. In addition, Farmland established a
temporary recruitment office in Tama, la, upon the closing of the Tama beef plant, and has incurred
more than $150,000 in relocation and referral programs.
In April, 1999, Farmland was required to withdraw a 50~lhour wage increase implemented with the
Quick Start Program in the previous year. The result was an increasing decline of production '
workers to the point that, two months later, chain speeds were reduced, ham boning and chop
production lines were moved to other Farmland facilities and plans for other production originally
targeted for Dubuque were diverted to other facilities. For the seven-month period following the
elimination of the Quick Start Program at Dubuque, we estimate it has cost Farmland $3.5 million
and still have 243 open positions despite relocation of jobs out of Dubuque.
Hopefully this infonnation will be sufficient to show Farmland's attempt to meet the job creation
targets committed to in the loan agreements with the City of Dubuque, Should you have any

Employees referring applicants must be actively employed at the time their referral
qualifies for incentive in order to receive the payout.
Applicants that leave the employment of Farmland for any reason during the period you
be rewarded for, will automatically void any incentive payout.
If you know of someone who you feel would make a good employee at Farmland, have
.them fill out an application and anach a note to it stating that you referred them and also
write your name in the space provided on the application asking for a referral.
When we receive the application, it will be processed and screened through Human
Resources. It will be management's decision whether or not the applicant will be

BACKGROUND:
In 1995 the owners of FDL Foods, Inc, put the company and its assets up for sale. Persistent
efforts by State and Community leaders, especially Mr, Rick Dickinson, finally culminated in a
successful sale to Farmland Foods, Inc. of Kansas City, Mo. With the assistance of the Iowa
Department of Economic Development, Dubuque County, and the City of Dubuque, a financial
package was put together. Dubuque County obtained a $5,000,000 CDBG Float Loan from the
Iowa Department of Economic Development to assist Farmland Foods, Inc, with the purchase
of the assets of FDL Foods, Inc. The 3-year CDBG contract, negotiated by the Iowa
Department of Economic Development with Farmland Foods, Inc., called for an investment of
$39,500,000.00 and the creation of 1,400 jobs above an existing base employment of 400 jobs.
CURRENT:
The 3-year CDBG Float Loan contract expired on 3/31/99. E.C.I.A. has been working with
Farmland Foods, Inc. and the City of Dubuque to obtain the necessary documentation to close
out the CDBG Float Loan and to document to company's effort to reach the 1800 employment
level. Enclosed for your approval please find the Final Grantee Perform Report in three parts:

The Iowa Department of Economic Development has made a monitoring visit to Dubuque and
has verified the expenditures, number of employees, and the successful obtainment of the
Low/Moderate Income hiring requirement. E.C.I.A. and the Department have also reviewed the
above listed information and the company's recruitment efforts (see enclosed listing of the 257
open positions and recruitment initiatives), Based on the information received, we believe that
the Iowa Department of Economic Development is prepared to approve final closeout
documents.
It should also be noted that the company is current on the repayment of the $500,000 Dubuque
County loan.
