SUBJECT: First Amendment to Amended and Restated Lease Agreement Between
the City of Dubuque and the Dubuque Racing Association, L TD and
Second Amendment to Lease Agreement Between the City of Dubuque
and Dubuque Casino Hotel, L.L.C.
Corporation Counsel Barry Lindahl recommends City Council approval of the First
Amendment to Amended and Restated Lease Agreement Between the City of Dubuque
and the Dubuque Racing Association, L TD and Second Amendment to Lease
Agreement Between the City of Dubuque and Dubuque Casino Hotel, L.L.C. These
amendments are necessary now that the exact footprint of the Hilton Hotel has been
determined.
I concur with the recommendation and respectfully request Mayor and City Council
approval.

Between the City of Dubuque and Dubuque Casino Hotel, L.L.C.
Mike:
Attached are Amendments to the two leases at Greyhound Park, one with the Dubuque
Racing Association, and one with Dubuque Casino Hotel, L.L.C. At the time the leases
were approved by the City Council, the exact footprint of the Hilton Hotel, and
corresponding legal description, had not yet been determined. Now that the footprint
has been surveyed and a legal description provided, the leases should be amended.
I recommend that these two lease amendments be submitted to the City Council for
approval.

FIRST AMENDMENT
TO
AMENDED AND RESTATED
LEASE AGREEMENT
BETWEEN
THE CITY OF DUBUQUE, IOWA
AND
DUBUQUE RACING ASSOCIATION, LTD.
This FIRST AMENDMENT TO LEASE AGREEMENT is dated for
reference purposes this _ day of ,2005.
Whereas, the City of Dubuque (City) and Dubuque Racing Association,
LTD. (Association) are parties to an Amended and Restated Lease Agreement
dated for reference purposes the 31st day of March, 2004; and
Whereas, the parties now desire to further amend the Amended and
Restated Lease Agreement as set forth herein.
NOW, THEREFORE, City and Association, agree as follows:
1. Par. 2 of the Amended and Restated Lease Agreement is amended by
adding at the end thereof the following:
Notwithstanding the foregoing, the Leased Premises shall not include that
area shown on Exhibit A-1 attached hereto and made a part hereof.

CONSENT TO AMENDMENT
American Trust & Savings Bank consents to the foregoing First
Amendment to Amended and Restated Lease Agreement this _ day of
,2005, and further releases the property described on Exhibit A-1,
attached hereto, from the lien of the Assignment of Lease Agreement among
American Trust & Savings Bank, Dubuque Racing Association and City of
Dubuque, Iowa, dated June 15, 2004, recorded June 16, 2004, as Instrument No.
10636-04, records of Dubuque County, Iowa.

This SECOND AMENDMENT TO LEASE AGREEMENT is dated for
reference purposes this _ day of , 2005.
Whereas, the City of Dubuque (City) and Dubuque Casino Hotel, L.L.C.
(Hotel) are parties to a Lease Agreement dated for reference purposes the 6th
day of July 2004; and
Whereas, the parties now desire to amend the Lease Agreement as set
forth herein.
NOW, THEREFORE, City and Hotel agree as follows:
1. Par. A of the Lease Agreement is amended to read as follows:
A. Lessor is the owner of that certain real estate described
on Exhibit A-1 attached hereto and by this reference made a part
hereon, which Lessor desires to lease to Lessee, and Lessee
desires to lease from Lessor (the "Demised Premises"); and
