Crescent Community Health Center will be providing the following services: a) provide nutrition education and exercise classes; b) lead stress management and obesity reduction classes and programs; and c) provide general illness prevention services and group health education of all types. Operation: New View will be providing the following services: d) educational, health, nutritional, social and other services to children and families; e) enhance the social and cognitive development of children; and f) engage parents in their children's learning and help parents achieve their own educational, literacy and employment goals while engaging in their children's academic development. Each Purchase of Service Agreement is for $25,000 per year with a term of six years. Each agreement will begin July 1, 2012. DATE: February 9, 2012 INTRODUCTION This memorandum recommends approval of a resolution to approve Purchase of Service Agreements with the Crescent Community Health Center and Operation: New View to provide services to the community in the soon to be renovated Engine House #1 building (18th Street) which formerly housed the City's Housing Department offices. BACKGROUND The Housing Department moved into their new offices at the Federal Building in 2008 and since that time their former offices on 18th Street have remained vacant. The Housing Department released an RFP for ideas on re- utilization of the facility. The Crescent Community Health Center and Operation: New View's Head Start program expressed an interest in leasing portions of the building. The building will need to be renovated to accommodate these tenants. The goal is to historically rehabilitate the building using historic tax credits as one of the revenue sources. To facilitate additional funding from the State and Federal Historic Tax Credit (HTC) programs, the building must be controlled by an entity eligible to receive HTCs. The original Development Agreement was approved with Engine House #1, LLC on June 6, 2011. The Development Agreement was assigned to DB &T Community Development Corp on August 15, 2011. DISCUSSION Leaving the building vacant is detrimental to this neighborhood. The proposed services that will be provided by both the Community Health Center and the Head Start program will greatly enhance the quality of life for this neighborhood. Substantial rehabilitation of this building will also provide many benefits to this neighborhood. The City is ineligible for HTCs and must turn long -term control over to a separate entity. Dubuque Initiatives originally agreed to take on the redevelopment project. However, Dubuque Bank & Trust CDC has offered to take on the project and is better suited for the project than Dubuque Initiatives. The project is pursuing HTCs because there is a desire to rehabilitate the building to its historic condition much like it appeared when it was a fire station. This historic renovation will add some cost to the project which can be offset by receiving HTCs. It is anticipated that this rehabilitation project will also serve as a potential stimulus to enhance the renovation of other buildings in this area. A component of the financing structure is for the two non - profit organizations to receive Purchase of Service Agreements from the City to provide services to the community. Crescent Community Health Center will be providing the following services; a) provide nutrition education and exercise classes; b) lead stress management and obesity reduction classes and programs; and c) provide general illness prevention services and group health education of all types. Whereas, The Engine House #1 building located at 1805 Central Avenue is being historically renovated; and Whereas, two non - profit service providers, the Crescent Community Health Center and Operation: New View will be tenants within the building; and Whereas, the City Council believes it is in the best interest of the City of Dubuque assist these organizations to provide services in the Engine House #1 building. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF DUBUQUE, IOWA: Section 1. WHEREAS, the City desires to engage the services of Agency to promote school readiness for young children in low- income families at the property legally described as: Lot 1 of Engine House No. 1 Subdivision in the City of Dubuque, Dubuque County, Iowa; and WHEREAS, Agency has indicated its willingness to provide such services to the City; NOW THEREFORE, the parties hereto agree as follows: 1. Scope of Services Agency shall: a) provide educational, health, nutritional, social and other services to children and families; b) enhance the social and cognitive development of children; and c) engage parents in their children's learning and help parents achieve their own educational, literacy and employment goals while engaging in their children's academic development. 2. Time of Performance The term of this Agreement shall be six (6) years, beginning on July 1, 2012 and ending on June 30, 2018. 3. Compensation City shall pay to Agency a total of $25,000.000 annually as compensation for the services provided by Agency, which payment shall constitute full and complete compensation for such services. 1 The compensation shall be paid by City to Agency upon receipt by City of a requisition for such sum from Agency. 4. Discrimination In performing the services under this Agreement, Agency shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, age, national origin, sexual orientation, gender identity, or disability. Agency shall take affirmative action to insure that applicants for employment are employed, and that employees are treated during employment without regard to their race, color, religion, sex, age, national origin, sexual orientation, gender identity, or disability. Such action shall include, but not be limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. Agency agrees and will undertake whatever affirmative measures are necessary so that no person shall be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activities funded in whole or in part with any of the funds made available to Agency under the terms of this Agreement because of race, creed, color, religion, national origin, sex, age, degree of handicap, sexual orientation, gender identity, or disability. 5. Termination of Agreement This agreement may be terminated by either party by giving the other party a written, ninety (90) day notice of such determination or upon such other terms as may be mutually agreeable. If, through any cause, Agency shall fail to fulfill in timely and proper manner its obligations under this Agreement, or if Agency shall violate any of the covenants, agreements or stipulations of this Agreement, City shall thereupon have the right to terminate this Agreement by giving written notice to Agency of such termination and specifying the effective date thereof not less than five (5) days before the effective date of such termination. Upon termination of this Agreement, Agency shall return to City all unexpended funds and /or any funds utilized for purposes other than stated in this Agreement. In the event that ownership of the property legally described as: Lot 1 of Engine House No. 1 Subdivision in the City of Dubuque, Dubuque County, Iowa shall revert from its current ownership back to City, or Agency shall stop providing the services described in Section 1 of this Agreement at this property, this Agreement shall terminate immediately. If such immediate termination occurs, Agency shall return to City all unexpended funds and /or any funds utilized for purposes other than stated in this Agreement. 2 6. Compliance with Laws Agency shall comply with all applicable federal', state and local laws, ordinances and codes. 7. Assignability Agency shall not assign any interest in this Agreement without the prior written approval of City. 8. Insurance At the time of execution of this Agreement by Agency, Agency shall provide City copies of Agency's insurance certificates showing general liability, automobile liability, and workers compensation insurance coverage to the satisfaction of City for the term of this Agreement.
