SUBJECT: EDI - Special Purpose Grant: America's River Museum
Housing and Community Development Department Director David Harris recommends
City Council approval of a resolution authorizing closeout of the Economic Development
Initiative (EDI) Special Project grant from the U.S. Department of Housing and Urban
Development for the America's River Museum on behalf of the Dubuque County
Historical Society. This grant was received by the City of Dubuque on behalf of the
Dubuque County Historical Society in 2002 to pay for the development of exhibits,
visitor programs, marketing programs and resources.
I concur with the recommendation and respectfully request Mayor and City Council
approval.

INTRODUCTION
The purpose of this memorandum is to request the City Council's approval of a
resolution authorizing the closeout of the Economic Development Initiative (EDt)
Special Project grant from the U.S. Department of Housing and Urban Development for
the America's River Museum on behalf of the Dubuque County Historical Society.
BACKGROUND
An Economic Development Initiative (ED I) Special Project Grant of $1 ,000,000 was
received by the City of Dubuque on behalf of the Dubuque County Historical Society in
2002. The grant paid for the development of exhibits, visitor programs, marketing
programs and resources. The National Mississippi River Museum and Aquarium is now
open and operational. To date all $1,000,000 has been expended.
The attached final report regarding the use of the EDI grant funds has been prepared in
cooperation with Jerry Enzler, Executive Director of the Dubuque County Historical
Society.
RECOMMENDATION
It is recommended that the City Council authorize the closeout of the $1,000,000 EDI-
Special Project grant on behalf of Dubuque County Historical Society for the America's
River Museum project.
ACTION STEP
The action step for the City Council is to adopt the attached resolution, which
authorizes the Mayor to sign the certificate of project completion and grant closeout
agreement.

Final Report
Summary of Grant Activities
The City of Dubuque received a $1,000,000 grant from EDI Special Project, U.S.
Dept. of Housing & Urban Development, Grant #B-02-SP-IA-0178.
Development of exhibits: The museum worked on several high-profile exhibits,
advancing the design of these exhibits and securing needed components. The River
Today is a modern pilothouse which has a simulation towboat pilot experience. Staff
worked with the simulation technicians, the audio-visual consultants, and a boat
construction company that provided many of the parts of the exhibit. Staff also worked
with the design firm to coordinate design and production.
Staff traveled to Amherst, Massachusetts, to review audio-visual components for
the new museum. This included viewing rough cuts from the River Journey film, fine
cuts of the Barge Theater exhibit, audio cuts of the Keelboat exhibit, video cuts of the
Steamboat exhibit, and f1y-over footage and historic river panorama images.
Several new exhibits were completed including the Boat Launch, the Stream
Table, and the Cow Nose Rays Touch Tank exhibit and the Lewis & Clark exhibit.
Development of Resources: Development staff, located at the Old Jail building
and later the new museum, contacted donors, sent mailings, and made public
presentations to familiarize potential donors and partners with the America's River
project and the Museum. Grant requests were researched and grant applications
written.
Several significant donations were received during the period. Donors who have
made contributions were reminded of their pledge. Pledge payments were received and
logged in the museum's donor database. Thank you letters were sent out regularly.
Memberships: Part of the development of the new museum is the increase in
annual memberships. New membership programs were developed and approved by
the membership committee and the board of the Dubuque County Historical Society.
These membership rates provide unlimited admission to members to the new National
Mississippi River Museum & Aquarium. Through our partnership with the Smithsonian,
members at the $125 dollar level and up also receive membership in the Smithsonian
Institution and receive the Smithsonian magazine. Renewal notices were sent out and
responses processed with thank you letters sent to donors. The quarterly newsletter
was prepared and distributed to members. A new membership brochure was designed.
Marketina effort gained exposure for the museum. This was conducted by the
marketing director, working closely with the Dubuque Area Chamber of Commerce, and
other partners in the America's River project. This included creation of brochures and
ads, placement of print ads, placement of radio ads and billboards. This advertising
campaign was very successful and resulted in good exposure for the museum.
This marketing effort also included a major publicity campaign which involved
mailings to regional and national media outlets. Marketing staff developed a strong
group tour program for school classes, adult group visits and evening rentals. This
involved food and beverage staff who prepare and serve food in the museum exhibit
galleries.
Educational staff developed several new education programs. This involved
research as well as hands on trial and error methods to determine how best to interpret
the new museum exhibits.
The Museum also conducted several programs to serve its public. Notable
among these was IceFest, a 17 day festival about the frozen Mississippi River. IceFest
enabled the museum attendance for the month of January to reach 14,000 people
compared to a budgeted figure of 3,000 people.
The museum also conducted its grand opening which involved securing national
speakers, arranging for travel and publicity, arranging for speakers, etc. The museum,
with the Telegraph Herald, wrote and published a special section insert in the Telegraph
Herald describing the museum. The museum hired a television camera crew to film the
opening events and feed them to regional markets. The Associated Press picked up a
print story about the museum opening and that story appeared in over 12 large
newspapers across the country.
Since the museum opened June 28th, 2003, it has had over 500,000 visitors.
These visitors are coming from all over the country as well as several foreign countries.
The largest concentration of visitors are from Iowa, Illinois and Wisconsin.
This grant was an essential component for the museum's development. It has
resulted in tremendous economic and educational benefits for the tri-state area.

A RESOLUTION PROVIDING FOR CLOSEOUT OF THE ECONOMIC
DEVELOPMENT INITIATIVE (EDI) SPECIAL PROJECT GRANT NO.
B-02-SP-IA-0178 FOR THE AMERICA'S RIVER MUSEUM ON BEHALF
OF THE DUBUQUE COUNTY HISTORICAL SOCIETY.
Whereas, the U.S. Department of Housing and Urban Development awarded the
EDI Special Project Grant No. B-02-SP-IA-0178 for $1,000,000 to the City of Dubuque
for work associated with the America's River Museum; and
Whereas, the Dubuque County Historical Society, the sub-grantee for said
project, has utilized the grant funds for development of the museum and has expended
the $1,000,000 as per the sub-grantee contract dated July 1,2002.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF DUBUQUE, IOWA:
Section 1. That the Mayor is hereby authorized to sign the Certificate of Project
Completion and Grant Closeout Agreement for the Economic Development Initiative
(EDI) Special Project Grant No. B-02-SP-IA-0178 for the America's River Museum.
Section 2. That the Mayor is hereby authorized and directed to execute and
submit said closeout forms to the U. S. Department of Housing and Urban Development
together with such documents as may be required.

GRANT CLOSEOUT AGREEMENT
FOR
2002 EDI-SPECIAL PROJECT GRANT NO. B-02-SP-IA-0178
This Agreement, enter into by and between City of Dubuque, Dubuque, IA hereinafter referred
to as "Grantee") and the U.S. Department of Housing and Urban Development (hereinafter
referred to as "HUD").
1. Whereas, the Grantee undertook activities with financial assistance in the amount of
$1,000,000 from HUD provided pursuant to the authority of Title II of Public Law 106-377 for
project no. B-02-SP-IA-0178 hereinafter referred to as "project".
2 Whereas, the Grantee and HUD entered into a Grant Agreement dated
8/6/2002 , as revised by 11 / 10/2004 amendments, hereinafter referred to as the
"Grant Agreement", and;
3. Whereas, the authorized and specified activities which comprise the project have
been completed by the Grantee and/or other participating parties, as required by the Grant
Agreement, and;
4. Whereas, the Grant Agreement requires compliance with 24 CFR Part 84 or 85, as
applicable, which includes requirements continuing after Project completion related to
use and disposition of real or personal property purchased with Federal funds, retention
of and access to records after close-out dis-allowances of Grant payments, and collection
of amounts due;
5. Whereas, the parties hereto desire to close-out the project in reliance upon: 1)
Grantee's final progress/performance report including financial data and a
performance/narrative report; and 2) the Grantee's Certificate of Project Completion.
Now therefore, in consideration of the mutual covenants, promises and
representations contained herein, the parties hereto agree as follows:
Section A. The Grantee shall continue to comply with the applicable
requirements of 24 CFR Part 84 or 85, as applicable, related to the use and disposition of
real or personal property purchased with Federal funds, retention of and access to
records, after close-out dis-allowances of grant payments, and collection of amounts due.
Section B. The Grantee agrees to the Total Grant Amount for the Project,
including any reduction in the grant amount caused by a decrease in cost, as indicated on
the Grantee's Certificate of Project Completion attached hereto and made a part hereof;
Section C. Any excess grant funds drawn by the Grantee, in the amount
specified in Line 5 of the Certificate of Project Completion shall have been or shall be
returned immediately to HUD under the following repayment terms:
Section D. Any grant funds remaining in the Grantee's Line of Credit account
for the referenced Project have been reduced to zero (0) pending any final draw indicated
as a positive balance on line 7 of the Certificate of Project Completion. Grantee shall
draw down this balance within the following period or Credit to
zero (0) and the Grantee shall have waived its rights to the remaining funding.
Section E. Execution of this Agreement shall constitute completion of the
Project activities and financial closeout of project costs, except for ongoing requirements
described in Section A of this Close-out Agreement. This Close-out Agreement shall be
followed as required by the Program directives cited therein and the following additional
post close-out requirements shall be followed as committed to in the approved application
which was incorporated in the Grant Agreement:
Section F. If any provision of this Agreement is held invalid, such holding
shall not affect the validity of the remainder of this Agreement.
Section G. If a default occurs under this Agreement or under the Grant
Agreement, HUD may at any time proceed to protect all rights available to HUD under
this Agreement or under default provisions of the Grant Agreement.
Section H.
Special Conditions required by this Agreement are attached:
This Grant Close-out Agreement is hereby executed and delivered by the parties hereto
on the dates set forth below their respective signatures and the Grantee agrees to abide by
all governing regulations as of the date executed by HUD.
