Operation: New View Community Action Agency is the local public nonprofit agency which provides programs to serve low-income persons in Dubuque. Delaware and Jackson counties. The work of the agency is administered by a 27 -member tripartite board of directors which includes nine representatives for each of three community sectors: elected public officials, low-income persons; and private community organizations. Seats on the board of directors are maintained for organizations representing each sector. The City of Dubuque maintains three seats on our board of directors as public officials sectorrepresentatives from Dubuque County. Public officials are appointed for one-year terms which expire on December 31 each year. Your current representatives are Joyce Connors and Pat Cline. A third representative is appointed by the City Manager. This position is currentiy held by Janet Walker. With this letter, we request to be informed as to who will be your representatives for the 2006 year. As soon as you have made these appointments at your first meeting of the new year, please communicate them to us by letter so that your representatives can be seated at our first meeting in January 2006. Pu rpOSe The purpose of this Agref!ment is to create a public ageocy,to undertake pr09ra~s and activities which would improve economic and social conditicns of low and moderate income citiZens and WOUld be eligible fOr df!Signation as a community action agency as defined in Iowa Code Chapter lA, 1985. ., Effective This Agreement shall take effect on the date of -. Powers of the Board of Directors FAX:5635564402 PAGE 3/ 5 ~, ''':r., , The agency shall have a governing Board of Directors which shall consist of twenty-seven (27) members chosen as follows: c~ > Delaware County, Jowa, two members by and through the Delaware County P.oard of SupervisG~s, two members representing the private sector of Delaware County and two members representing the low income sector of Delaware County; Cit1 of Dubuque, Io,wa, three mew-hers ~y and _ through the ~,ty ~ouncil; DUbuque County, Iowa, two members by and through the Dubuque County Board of Supervisors, five members representing the private sector of Dubuque County, and five members representing the low income sector of Dubuque County; Jackson County, Jowa. two members by and through the Jackson County Board of Supervisors, two members representing the private sector of Jackson County, and two members representing the low income sector of Jackson County. The tri-partite mqke up of the board is intended to comply with the requirements of Iowa law under Jowa Code Section 7A.23 (1985) and applicable federal law. Further, the private sector and low income sector members of the board shall be chosen in a manner consistent with state and federal law governing community action agencies. The selection of the public sector members shall be at the discretion of the public agency making the appointment. Each board member shall have one vote. A simple majority of board members shall constitute a quorum for the transaction of business. The Board of Directors shall function as the advisory board for the agency. The BOird of Directors shall have the following powers to be used in the furtherance of th@ stated purpose of the agency: A. To sue and be sued; B.
