Thanks for your phone call inquiring about ECIA's boards and Dubuque's representation
on them. Enclosed is a chart listing the various ECIA boards, the representatives from
Dubuque and the meeting schedules for each board. I have also enclosed pages from
ECIA's Bylaws in which Section IV - Committees states that the Chairperson of any
committee formed under ECIA shall be a voting member of the Executive Committee. I
have also included pages from the Articles of Agreement for the DMA TS in which
Article III - Organization states representatives on the board will include the Mayor and
six City Council members of the City of Dubuque.

ARTICLE II - PURPOSE
Sectinn 1: To establish ~ coo~dinating committee and
adviso~y committee to insu~e the conduct of and pa~ticipation
in a continuing comp~ehensive t~anspo~tation planning p~ocess
which will p~ovide fo~ the coope~ative development, analysis
and ag~eement on existing conditions and futu~e plans and
p~og~ams affecting the development of t~anspo~tation
facilities in the Dubuque Met~opolitan A~ea T~anspo~tation
Study a~ea.
Sertion 2: To delegate and define the roles and
~esponsibilities of the "met~opolitan planning o~ganization"
and othe~ ~egional agencies and establish a mechanism fo~ the
coo~dination of all agency responsibilities in conducting
local, state and fede~al p~og~ams fo~ t~ansportation planning
and allied planning and development matte~s which will foste~
and develop coope~ation on an inte~state, inte~~regional and
i nte~-l ocal basi sin the DubuqLle Met~opol i tan A~ea
T~anspo~tation Study.

ARTICLE III - ORGANIZATION
c
S~rtion 1: Policy Committee: The~e shall be c~eated a
coo~dinating committee known as the Dubuque Metropolitan Area
T~anspo~tation Study Policy Committee. Such committee shall
consist of the following ~ep~esentatives:
a. A Commissione~ o~ Sec~eta~y of each State Depa~tment
of Transportation signing this Ag~eement or their formally
designated rep~esentative.
b. The designated ~ep~esentative of each County Boa~d
of Supe~visors signing this Ag~eement, who shall be an
elected official residing in o~ having autho~ity within the
Dubuque Met~oplitan A~ea Transpo~tation Study area, and who
shall also represent those po~tions of the transportation
study area contained within incorporated areas not otherwise
represented on the Policy Committee,
c.
Dubuque,
The Mayor and six City Councilmen of the City of
Iowa,
d. The chief elected official or a formally designated
~ep~esentative of the governing body of any township,
municipality o~ village within the t~anspo~tation study a~ea
having a population of mo~e than 2,000 persons but less than
50,000 persons, and having legislated ~esponsibility fo~
t~ansportation policy and development.

e. The Chairman or designated ~epresentative of each of
the ~egional planning o~ganizations signing this Agreement,

f. A formally designated representative of each public
transit authority providing transportation services within
the Dubuque Metropolitan Area Transportation Study area,
g. Representatives of federal agencies having
transportation related responsibilities, who shall serve
without a vote,
h. A formally designated representative of any other
public board or commission having jurisdiction in the
operation of transportation facilities; as such board of
commission may hereafter become signatory to this Agreement
at the consent of the Policy Committee.
Sertion 2: Technical Advisory Committee. There shall be
created a Technical Advisory Committee consisting of the
following representatives:
a. The Director or Secretary of each State Department
of Transportation signing this Agreement or their formally
designated representatives,

b. The Executive Director of each of the regional
planning organizations signing this Agreement, or the
Director"s formally designated representative,
c. The City and County Engineers or Commissioners
responsible for construction or maintenance of transportation
facilities within the transportation study area.
d. The chief administrator officer of any duly
constituted municipal or county zoning commission having
jurisdiction for land use regulations and plan administration
within the transportation study area.
e. Representatives of federal agencies having
transportation related responsibilities, who shall serve
without a vote,
f. The chief administrative officer of each public
transit authority or any other public board or commission
having responsibility far transportation operations within
the transportation study area.

g. Representatives of such ather agencies or
organizations as the Technical Advisory Committee may
nominate, and as such membership shall be confirmed by the
Policy Committee upon determination that such representation
shall add technical expertise within the scope of particular
studies, including but not limited to: air quality control,
rail transportation, water transportation, common carrier
transport, interstate commerce, environmental impact, or
ather approriate concerns.

Sertion 3. Citizens Advisory Committee. The Policy
Committee shall seek the advice and cooperation of citizens
and may appoint such committees or may seek advice of
existing organizations or interest groups as may be deemed
necessary to effectively carry out the purposes set forth
herein. Establishment or acknowledgement of advisory
committees shall be set forth in writing and approved at a
- regular meeting of the Policy Committee.
ARTICLE IV - POWERS
Sertion 1: The Policy Committee shall have the power to
define and alter the transportation study area and to
formulate and adopt a Comprehensive Transportation Plan for
the transportation study area, containing such elemens as may
be required pursuant to the authority set forth in this
Agreement.

Section 2, The Policy Committee may adopt rules to provide
for the cooperative review of transportation development
plans, land use plans, and other plans and programs having
potentially significant impact upon the transportation study
area as may hereafter be undertaken by any of the units of
local government Dr their agencies within the transportation
study area. Any agency signing this Agreement who shall
prepare plans or programs within the scope of study under
this Agreement, shall sUbmit such to the Policy Committee 30
days prior to the next Policy Committee meeting. The Policy
Committee shall review and may make recommendations within a
30 day period following that meeting concerning continuity
with their studies and programs prior to final action to
adopt such plans or programs by the contributing agency. The
Policy Committee shall monitor comprehensive plans of
participatory -agencies and shall attempt to observe goals,
objectives, plans and programs of state and regional agencies
who have signed this Agreement.
Section 3: The Policy Committee shall promulgate such
reports, and programs as may be required under authority of
this Agreement. The Policy Committee may also, at its
discretion, provide for a public information program relating
to matters of transportation planning or development.
Sgrtinn 4: The Policy Committee may formulate and sign
cooperative agreement and memoranda of understanding with any
and all agencies, public or private, operating within the
Dubuque Metropolitan Area Transportation Study area without
the consent of the "metropolitan planning organization."

BYLAWS
of the
COUNCIL OF THE
EAST CENTRAL INTERGOVERNMENTAL ASSOCIATION
SECTION I
A. ARTICLES OF AGREEMENT. The authority and basic rules for this
Council are established through agreement by, between and
among the member governments of the Association. Such
agreements shall not hereby or herein be violated. The Bylaws
shall clarify and expand upon the Association Articles of
Agreement as understood by the Council. Any time there is a
conflict, the Articles of Agreement shall prevail.
B. RULES OF ORDER. These Bylaws shall constitute the standing
rules of the Council. The rules contained in the latest
version of Robert's Rules of Order shall govern the Council
in all cases to which they are applicable, and in which they
are not inconsistent with the Bylaws of the Councilor
Articles of Agreement of the Association. Further rules of
order shall be made as amendments to these Bylaws.
SECTION ,II MEETINGS AND QUORUM
A. MEETINGS. The Council may hold Regular or Special meetings.
1. REGULAR. The Council may hold monthly meetings which
shall be held on the third ( 3rd) Wednesday of any
calendar month which date, time and place shall be
established at the previous meeting. Notice of such
meetings, including agenda and related materials, shall
be mailed to representatives and alternates at least
seven (7) days prior to such meetings. Public news media
shall receive a notice and agenda at the same time.
2. SPECIAL. The chairman or any two (2) representatives
residing in separate county jurisdictions may call a
special meeting of the Council by notifying
representatives and alternates by mail, telephone or
telegram at least three (3) full days in advance stating
the time, place and purpose of such meeting. Public news
media shall receive similar notice.
3. ANNUAL. The regular meeting of the Council first held
after the beginning of the Association's fiscal year
shall be the Council's Annual Meeting.
B. QUORUM. A quorum of the Councilor any subsidiary committee
shall consist of not less than a majority of elected or
appointed members.
SECTION III OFFICERS
A. ELECTION. The Council officers shall be elected by roll call
vote at the annual meeting of the Council. The Executive.
Committee shall serve as the nominating committee.
B. NUMBER AND QUALIFICATION. Officers are to serve one year
terms beginning upon election at the annual meeting. No
officer shall serve more than two consecutive terms. All
officers except the secretary shall be elected from among the
duly appointed representatives to the Council.
1. CHAIRPERSON. The Chairperson shall preside at all
regular and special meetings of the Council; make
appointments to functional and special committees,
subject to ratification by the Executive Committee; give
signature when authorized; serve as chairman of the
Executive Committee.
2. VICE CHAIRPERSON. The Vice Chairperson shall preside in
the absence of the Chairperson at all regular and special
meetings as well as meetings of the Executive Committee
and perform all other functions and responsibilities of
the Chairperson in his absence. The vice Chairperson
shall assume the position of Chairperson if that position
becomes vacant due to the resignation or death of the
Chairperson or other situation that causes the position
to become vacant. Amended March 27, 1991.
3. TREASURER. The Treasurer shall work ,with the Executive
Director in monitoring the operating policies and
procedures specified by the Executive Committee; cosign
drafts written on accounts of the Association; and report
annually to the Council.
4 . SECRETARY. The Secretary shall take and keep the
official records of the Association with the assistance
of such staff members as shall be designated by the
Secretary; assist the presiding officer in determining
a quorum, counting ballots and votes, and determining
questions of procedure in accordance with standing rules
of the Council and Association; and receive and file
reports of functional and special committees.
SECTION IV COMMITTEES
A. EXECUTIVE COMMITTEE. The Council shall form an Executive
Committee to conduct the business affairs of the Council.
1. MEMBERSHIP. The Executive Committee shall consist of
five (5) members, to be elected from the members of the
Council with each county jurisdiction apportioned one
seat. In addition, the Chairperson of any committee
formed under section IV. B. shall be a voting member of
the Executive Committee where said Committee is not
represented in the first five members. When the
Executive Committee is not constituted by an uneven
number of voting members, the Council shall elect from
its members one additional committee person. The
Chairperson of the Council shall serve as Chairperson of
the Executive Committee.
2. MEETINGS. The Executive Committee shall hold regular
meetings at least quarterly or as it may otherwise
determine, at such place and at such times as it may in
its discretion determine. Regular and special meetings
of the Executive Committee may be called at any time by
the Chairperson of the committee or by any two of its
members by mail, telegraph or telephone with three (3)
days notice.
3. DUTIES. The Executive Committee shall supervise the
fiscal affairs of the Association, regulate its internal
economy, approve expenditures and commitments according
to prescribed rules, and carry out directives of the
Council. The Executive Committee shall prepare an annual
work program and budget and recommend the same to the
Council with an annual assessment. In order that the
Executive Committee can coordinate the work program of
the Council, it shall receive annual budget submissions
from each committee formed under Section V. B. and review
the same for continuity and adequacy.
The Executive Committee shall appoint and remove the
Executive Director of the Council, and approve staff and
operations policies.
B. FUNCTIONAL PLANNING COMMITTEES. The Council may form
functional planning committees or may recognize any existing
functional planning committee serving in whole or in part
within the Council's jurisdiction. These committees shall be
formed for the purpose of coordinating single function and
comprehensive planning and programming activities, keeping
local elected officials informed and responsible about
areawide activities, and gaining some economics through joint
staffing and administration of areawide programs.
1. ORGANIZATION. The Council shall establish functional
planning committees to operate specific functional
planning programs by drafting agreements authorized under
Article II of the East Central Intergovernmental
Association Articles of Agreement. Such agreements shall
specify the responsibilities and limits of the committees
authority and duties. The committee shall become
formally recognized when listed below through an
amendment to these Bylaws.

Existing organizations desiring to be recognized as
Functional Planning Committees shall be considered duly
recognized after mutual ratification of an agreement
between such committee and the Council, and inclusion of
such committee in the following listing which requires
a formal amendment to these Bylaws.

2. MEMBERSHIP. All Functional Planning Committees shall
consist of membership representing criteria established
through federal, state or local programs for which such
committees are formed. However, it is recognized as
beneficial that each Functional Planning Committee have
at least one member appointed from the Council.
Membership on each committee shall be made or ratified
by the Executive Committee of the Council.
C. SPECIAL COMMITTEES. The Council may from time to time form
special committees to conduct specific activities or perform
some special task for the Council.
1. ORGANIZATION. Special committees shall be considered
properly organized upon passage of a resolution of the
Council specifying the committees purpose, membership,
tenure, responsibilities and relationships.
