The Commission has found that the sub- division meets the minimum re- quirements of the subdivision regu- lations and that it is an appropriate design for this area. Two parcels of land included in the plat are proposed to be public streets in the future; however, be- cause the sewers cannot be put in these areas at this time, it is not desireable to have the streets im- proved and dedicated. Threat of Condemnation. This Agreement has been nego- tiated and agreed upon between the parties after the Buyer served notice upon the Seller that Buyer was required to obtain title to the aforesaid described property for use as a detention basin incident to the construction and operation of the proposed flood wall along the shore of the Mississippi River and that if the parties could not agree upon the terms and condi- tions of sale, that the City of Du- buque would take title by condem- nation under eminent domain pro- ceedings. 13. Special Covenants. A. The premises herein pur- chased are being acquired by the City for use as a ponding area or detention basin for storage of wa- ters incident to the construction and operation of the proposed flood wall along the westerly shore of the Mississippi River in Du- buque, Iowa. If the City does not 509 son. The options above referred to shall be exercised by the Seller within 90 days after receipt of no- tice from the Buyer of its election to sell or lease said property. If the option to purchase or lease is not exercised by Seller within said 90 day period, the City shall be free to sell or lease the premises on not less favorable terms (from the standpoint of the City) to third persons. B. The Buyer is the present own. er of the following described lots: Lots 281, 345, 388 and 407 (also known as Northerly 51'3" of Lot 2 of the subdivision of part of Min- eral Lots 96, 97 and 98), 449, 468, 509, 528. All in East Dubuque No.2, City of Dubuque, Iowa, which lots have been replatted and are now part of Loras Blvd. (14th Street). In consideration of the seller selling to the Buyer the property describ- ed in this Agreement, the Buyer hereby covenants and agrees, in the event Buyer shall at any time elect to sell, exchange or otherwise dispose of the lots listed in this Section 13 B (together with Lots 262 and 326, East Dubuque No.2, if owned by the Buyer), that Seller shall have the first right and op- tion to purchase said lots at the rate or unit price of $10,000 per acre, or fraction thereof if less than one acre, plus 1 % for each completed year between date here- of and date of exercise of such option by Seller. Such option shall be exercised within ninety (90) days after receipt by the Seller require the premises for such use or desires to sell or lease all or a portion of said premises the City covenants and agrees: (1) If the City elects to sell all or a portion of said prem- ises, the Seller shall have the first right and option to repurchase said premises or portion thereof at the rate or unit price of $10,000 per 1967 acre. In addition to the foregoing remedies, Buyer and Seller each shall be entitled to any and all other remedies or actions at law or in equity, including foreclosure and spedfic performance and the party at fault shall pay costs and attor- neys' fees, and a receiver may be appointed. 10. Restrictive Covenant. Buyer covenants and agrees that the sanitary sewage system in the City of Dubuque will not be planned or engineered so as to empty or. discharge into any part of the above described premises and that no part of said premises will be knowingly used by the City to store or accumulate sanitary sewage at any time. This covenant shall run with the lanel and be binding upon all successors in in- terest. 11. Brokerage. Seller and Buyer represent and warrant to each other that all ne- gotiations relative to this Agree. rnetn have been carried on by prin- cipalS of the respective parties and each party hereto covenants that there is no commission or broker- age payable to anyone for repre- senting it in such negotiations.
