SUBJECT: Appointment of Designated Signatory for FTA Contracts
Economic Development Director Dave Heiar recommends City Council approval of an
Authorizing Resolution designated the Mayor and the General Manager of KeyLine
Transit as the authorized signatories to execute and file all Federal Transit
Administration documents on behalf of the City of Dubuque.
I concur with the recommendation and respectfully request Mayor and City Council
approval.

INTRODUCTION
The purpose of this memo is to update the current Resolution required by the Federal
Transit Administration appointing an individual to be the designated signatory for all Federal
Transit Administration contracts.
DISCUSSION
The Federal Transit Authority is requiring an updated Resolution authorizing the filing of
applications with the Federal Transit Administration, an operating administration of the
United States Department of Transportation, for Federal Transportation Assistance
authorized by 49 U.S.C Chapter 53, title 23 United States Code and other Federal statutes
administered by the Federal Transit Administration. Whereas, the Federal Transportation
Administrator has been delegated authority to award Federal financial assistance for a
transportation project, the grant or cooperative agreement for Federal Financial assistance
will impose certain obligations upon the Applicant, may require the Applicant to provide the
local share of the project cost, and the Applicant has or will provide all annual certifications
and assurances to the Federal Transit Administration required for the project.
On April 27, 2007, I engaged in a conference call with Jessica Gladstone, the FTA Grant
Administrator and Paula Schwach, FTA Legal Council concerning the correct language for
the signatory. They recommend the City Council authorize the The Mayor of the City of
Dubuque or his/her designee (i.e. Transit Division Manager for Keyline), to execute and
file application for Federal Assistance, Annual Certification and Assurances, said Grant and
Cooperative agreements with the Federal Transit Administration. The Transit Division
Manager for Keyline would have the ability to act as the designated signatory for all Federal
Transit Administration contracts.
ACTION REQUIRED
I am recommending the City Council approve the Authorizing Resolution designating the
Mayor of the City of Dubuque or his/her designee (i.e. Transit Division Manager for
Keyline) be authorized to execute and file all Federal Transit Administration documents on
behalf of the City of Dubuque.

RESOLUTION AUTHORIZING THE FILING OF APPLICATIONS WITH THE FEDERAL
TRANSIT ADMINISTRATION, AN OPERATING ADMINISTRATION OF THE UNITED
STATES DEPARTMENT OF TRANSPORTATION, FOR FEDERAL TRANSPORTATION
ASSISTANCE AUTHORIZED BY 49 U.S.C CHAPTER 53, TITLE 23 UNITED STATES
CODE AND OTHER FEDERAL STATUTES ADMINISTERED BY THE FEDERAL
TRANSIT ADMINISTRATION.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF DUBUQUE, IOWA,
AS FOLLOWS:
Section 1. The Mayor of the City of Dubuque or his/her designee (i.e. Transit
Division Manager for KeyLine) is authorized to execute and file application for Federal
assistance on behalf of (Legal Name of Applicant) with the Federal Transit Administration
for Federal Assistance authorized by 49.U.S.C. Chapter 53, Title 23, United States Code, or
other Federal statutes authorizing a project administered by the Federal Transit
Administration.
Section 2. The Mayor of the City of Dubuque or his/her designee (i.e. Transit
Division Manager for KeyLine) is authorized to execute and file with its application the
annual certification and assurances and other documents the Federal Transportation
Administration requires before awarding a Federal assistance grant or cooperative
agreement.
Section 3. The Mayor of the City of Dubuque or his/her designee (i.e. Transit
Division Manager for KeyLine)is hereby authorized and directed to execu#e said grant and
cooperative agreements with the Federal Transit Administration on behalf of the City of
Dubuque and the City Clerk is authorized and directed to attest his signature.
