Larry McDermott is the owner and developer of the English Ridge Subdivision. A
request has been made to extend water utilities from the current dead end, Stone Valley
Drive, to English Mill Road and west to North Cascade Road. Typically, it would be the
developer's responsibility for an extension. In this case, the City has a need to extend
water utilities to North Cascade Road now, not in four years, when Mr. McDermott plans
to develop this section.
Discussions have taken place with Mr. McDermott in an effort to construct this water
main extension now instead of later. In an effort to meet the City's needs, Mr.
McDermott and Water Department staff have taken a partnership approach.
With this partnership, the City's estimated costs to extend 800 feet of water main from
the intersection of Cavendish Lane along Stone Valley Drive to the intersection of
English Mill Road is $46,159.85.
In addition, the City would contract with English Ridge LLC to install approximately 232
feet of water main and accessories at the intersection of Stone Valley Drive and English
Mill Road for the total estimated cost of $31,444.65.
The total estimated cost to the City for this project, with this partnership, is $77,032.50.
Water Department Manager Bob Green recommends City Council approval of a
Partnership Agreement with English Ridge LLC for the construction of a watermain from
the intersection of Cavendish Lane and Stone Valley Drive west to the intersection of
English Mill Road and the future extension of Stone Valley Drive.
I concur with the recommendation and respectfully request Mayor and City Council
approval.

INTRODUCTION
This memorandum seeks City Council approval of the Partnership Agreement with
English Ridge LLC for the construction of a watermain from the intersection of
Cavendish Lane and Stone Valley Drive west to the intersection of English Mill Road
and the future extension of Stone Valley Drive.
BACKGROUND
Larry McDermott is the owner and developer of the English Ridge Subdivision. A
request has been made to extend water utilities from the current dead end, Stone Valley
Drive, to English Mill Road and west to North Cascade Road. Typically, it would be the
developer's responsibility for an extension. In this case, the city has a need to extend
water utilities to North Cascade Road now, not in four years, when Mr. McDermott plans
to develop this section.
Discussions have taken place with Mr. McDermott in an effort to construct this water
main extension now instead of later. In an effort meet the city's needs, Mr. McDermott
and Water Department Staff have taken a partnership approach.
The proposal includes construction of approximately eight hundred (800) lineal feet of
water main, with accessories, from the existing water main near the intersection of
South Cavendish Lane and Stone Valley Drive to the west right of way of English Mill
Road in accordance with the horizontal and vertical alignment detailed in the English
Ridge Subdivision — Phase 111 Improvement Pian that has been approved by the City
through Lot A of English Ridge Subdivision No. 4. The proposal also includes the
performance of earthwork grading and erosion control construction activities related to
the construction of the water main. The horizontal alignment of said water main is
indicated on the diagram labeled Exhibit B on the attached Offer to Buy.
We propose to perform a two (2) lot subdivision of what is currently referred to as Lot A
of English Ridge Subdivision No. 4 (the plat for English Ridge Subdivision No. 4 is
shown in Exhibit A on the attached Offer to Buy). Said subdivision referred to as
English Ridge Subdivision No. 5 will divide Lot A into Lot B (shown as Lot 88 in the
English Ridge Subdivision — Phase III Improvement Plan that has been approved by the
City) and Lot A (for future development). Said proposed subdivision is shown in Exhibit
Al of the attached Offer to Buy.
We propose to acquire permanent and temporary easements created for the purpose of
constructing a water main, performing earthwork grading and erosion control
construction activities related to the construction of the water main and to provide the
City access to Lot B, the pump station lot. Said proposed easement plat is shown in
Exhibit C of the attached Offer to Buy
We propose the purchase of Lot B for the purpose of constructing a water system
pumping facility (similar to the style of the Bunker Hill pumping facility located on North
Grandview Avenue). Lot B is shown in Exhibit Al of the attached Offer to Buy.
DISCUSSION
The attached Partnership Agreement details the provision of materials, installation of
watermain and associated grading and earthwork for the project.
BUDGET IMPACT
The city's estimated costs, with this partnership, to extend 800 feet of water main from
the intersection of Cavendish Lane along Stone Valley Drive to the intersection of
English Mill Road is $46,159.85.
In addition, we would contract with English Ridge LLC to install approximately 232 feet
of water main and accessories at the intersection of Stone Valley Drive and English Mill
Road with the total estimated cost of $31,444.65.
The total estimated cost to the city for this project, with this partnership, is $77,032.50.
The budget fund code to support this project is CIP 7402504, English Mill Water Main
Extension. Budget Amount: $2,150,000 Current Budget Fund Balance: $1,924,900
RECOMMENDATION
I recommend approval of the Partnership Agreement with English Ridge LLC for the
construction of watermain along Stone Valley Drive from Cavendish Lane to English Mill
Road and along English Mill Road from Stone Valley Drive to a point approximately 232
feet south of the intersection with Stone Valley Drive.
ACTION TO BE TAKEN
I request that the City Council adopt the attached resolution authorizing the City
Manager to execute the Partnership Agreement with English Ridge LLC for the
construction of watermain from the intersection of Cavendish Lane and Stone Valley
Drive west to the intersection of English Mill Road and the future extension of Stone
Valley Drive.

APPROVING A PARTNERSHIP AGREEMENT BETWEEN THE CITY OF
DUBUQUE, IOWA AND ENGLISH RIDGE LLC
Whereas, the City of Dubuque, Iowa (City) wishes to build a water system
pumping station and water main near English Mill Road; and
Whereas, English Ridge LLC (English Ridge) wishes to develop a subdivision
near English Mill Road that will someday connect to City's water main and be served
by City's water system pumping station; and
Whereas, City and English Ridge wish to partner in these projects;
and
Whereas, the City Council finds that partnering with English Ridge in the
completion of these projects is in the public interest.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF DUBUQUE, IOWA:
Section 1. The Partnership Agreement by and between English Ridge LLC
and the City of Dubuque is hereby approved.

PARTNERSHIP AGREEMENT
BETWEEN

AND
THE CITY OF DUBUQUE
This Partnership Agreement (Agreement) is entered into by and between the City
of Dubuque, Iowa (City), an Iowa municipal corporation, and English Ridge LLC
(English Ridge), on the ,'a° day of Sap+ , 2014 for the purpose of
constructing a water main and pump station at English Mill Road (the Project).
WHEREAS, English Ridge desires to construct approximately eight hundred
linear feet (800 LF) of twelve inch (12") water main from the existing twelve inch (12")
water main near the intersection of South Cavendish Lane and Stone Valley Drive to the
west right-of-way of English Mill Road in accordance with the horizontal and vertical
alignment detailed in the English Ridge Subdivision - Phase III Improvement Plan that
has been approved by City through Lot A of English Ridge Subdivision No. 4 including
the performance of earthwork grading and erosion control construction activities related
to the construction of the water main, the horizontal alignment of said water main as
indicated on the diagram attached as Exhibit B; and
WHEREAS, City intends to perform a two (2) lot subdivision of what is currently
referred to as Lot A of English Ridge Subdivision No. 4. This subdivision referred to as
English Ridge Subdivision No. 5 will divide Lot A into Lot B (shown as Lot 88 in the
English Ridge Subdivision — Phase III Improvement Plan that has been approved by
City) and Lot A (for future development). This proposed subdivision is set forth in
Exhibit Al; and
WHEREAS, City intends to have permanent and temporary easements created
for the purpose of constructing a water main, performing earthwork grading and erosion
control construction activities related to the construction of the water main and to
provide City access to Lot B. The easement plat is set forth in Exhibit C; and
WHEREAS, City intends to purchas Lot B for the purpose of constructing a water
system pumping facility (similar to the style of the Bunker Hill pumping facility located on
North Grandview Avenue). Lot B is set forth in Exhibit Al.
NOW THEREFORE, IN CONSIDERATION OF THE PROMISES, COVENANTS, AND
MUTUAL AGREEMENTS HEREIN, THE PARTIES AGREE AS FOLLOWS:
SECTION 1. WATER MAIN CONSTRUCTION AND WATER SERVICE.
1.1 English Ridge, LLC will construct approximately eight hundred linear feet (800
LF) of twelve inch (12") water main. The water main will be constructed on the planned
future right-of-way of Stone Valley Drive commencing from and making connection to
the existing twelve inch (12") water main near the intersection of South Cavendish Lane

and Stone Valley Drive to the west right-of-way of English Mill Road as is further
referenced in the yellow highlighted portions of Plan Sheets C5.23, C5.24, and C5.25
that are attached as Exhibit B. The water main will be constructed in conformance with
the horizontal and vertical alignment detailed in the English Ridge Subdivision — Phase
III Improvement Plan that has been approved by the City through Lot A of English Ridge
Subdivision No. 4 with a minor variation. The variation from the Phase 111 Improvement
Plan occurs in the vertical alignment of the water main as it approaches English Mill
Road. The construction will include the performance of earthwork grading and erosion
control construction activities related to the construction of the water main. City will
provide the water main pipe and pipe accessories. English Ridge will provide the
bedding, backfill, and labor required for installing the water main.
1.2 The blue highlighted portions of Plan Sheets C5.23, C5.24, and C5.25, attached
as Exhibit B, are additional areas of water main installation that English Ridge will
install. The construction will include the performance of earthwork grading and erosion
control construction activities related to the construction of the water main. City will
provide the water main pipe and pipe accessories. English Ridge will provide the
bedding, backfill, and labor required for installing the water main for compensation
provided by City in accordance with the unit prices outlined in the attached Exhibit D.
1.3 English Ridge will furnish and install embankment material for buildup of the
future Stone Valley Drive as indicated on Plan Sheets C5.23, C5.24, and C5.25 that are
attached as Exhibit B and to the extent necessary to provide a minimum of five and one
half feet (5.5') of cover in order to protect the water main from freezing until English
Ridge, LLC performs future build out of the English Ridge Subdivision.
1.4 English Ridge will connect to City water services when future development of Tots
and street right-of-way with frontage adjacent to the City water main are developed.
1.5 English Ridge will pay individual water service tap fees required for each
developed lot. The water tap fee is based on the size of the service line at the time of
installation and is subject to change annually. English Ridge will install water service to
City standards and ordinances and obtain all required water service connection permits.
1.6 Water piping installed by English Ridge under this Agreement will become the
City's property upon completion of installation, inspection by City staff, and acceptance
by the City Council.
1.7 English Ridge will install water service lateral stubs to Shrewsbury Lane in North
and South directions consisting of two (2) twelve inch by eight inch (12" x 8") Anchoring
Tees, two (2) eight inch (8") resilient seat gate valves and two (2) eight inch (8") plugs
with Nitrile gaskets. English Ridge will reimburse City the bid price for the material
costs of these items.

SECTION 2. SECURITY.
2.1 English Ridge must provide to City a construction bond in the amount of one
hundred ten percent (110%) of the Project cost during the construction of the Project.
2.2 English Ridge must provide to City a two (2) year maintenance bond on the
Project in the amount of twenty-five percent (25%) of the Project cost. This bond will be
in effect for two (2) years after the City Council acceptance of the Project improvements.
SECTION 3. INDEMNIFICATION.
3.1 Indemnification of English Ridge. To the extent allowed by law, City will defend,
indemnify, and hold harmless English Ridge from and against all liabilities, obligations,
claims, damages, penalties, causes of action, costs, and expenses (including, without
limitation, reasonable attorneys' fees and expenses) imposed upon or incurred by or
asserted against English Ridge by reason of (a) any accident, injury to, or death of
persons or loss of or damage to property occurring during the construction of the Project
and resulting from any act or omission of City, and (b) any failure on the part of City to
perform or comply with any of the terms of this Agreement. In case any action, suit, or
proceeding is brought against English Ridge by reason of such occurrence, City will, at
City expense and discretion, either defend such action, suit, or proceeding, or cause the
same to be defended by counsel approved by English Ridge, which approval will not be
unreasonably withheld.
3.2 Indemnification of City. English Ridge will defend, indemnify, and hold harmless
City from and against all liabilities, obligations, claims, damages, penalties, causes of
action, costs, and expenses (including, without limitation, reasonable attorneys' fees
and expenses) imposed upon or incurred by or asserted against City by reason of (a)
any accident, injury to, or death of persons or loss of or damage to property occurring
during the construction of the Project and resulting from any negligence of English
Ridge or anyone claiming by, through, or under English Ridge, and (b) any failure on the
part of English Ridge to perform or comply in any material respect with any of the
material terms of this Agreement. In case any action, suit, or proceeding is brought
against City by reason of such occurrence, English Ridge will, at English Ridge's
expense and discretion, either defend such action, suit, or proceeding, or cause the
same to be defended by counsel approved by City, which approval will not be
unreasonably withheld.
3.3 Survival. The obligations and liabilities under this Section survive and continue in
full force and effect and are not terminated, discharged, or released, in whole or in part,
irrespective of the termination or expiration of this Agreement.
SECTION 4. ASSIGNMENT AND SUBLETTING.
This Agreement may not be assigned by English Ridge. English Ridge may not sublet
the Leased Premises or any part thereof.

SECTION 5. WAIVER.
No waiver by either party of any breach by the other of any term, covenant, condition, or
agreement herein and no failure by any party to exercise any right or remedy in respect
of any breach hereunder, constitutes a waiver or relinquishment for the future of any
such term, covenant, condition, or agreement or of any subsequent breach of any such
term, covenant, condition, or agreement, nor bars any right or remedy of the other party
in respect of any such subsequent breach, nor does the receipt of any rent, or any
portion thereof, by City, operate as a waiver of the rights of City to enforce the payment
of any other rent then or thereafter in default, or to terminate this Agreement, or to
invoke any other appropriate remedy the parties may select as herein or by law
provided.
SECTION 6. NOTICES.
6.1 All notices, demands, or other writings in this Agreement provided to be given or
made or sent, or which may be given or made or sent, by either party to the other, will
be deemed fully given, made or sent when made in writing and deposited in the United
States mail, registered and postage prepaid, addressed as follows:

6.2 The address and/or fax number to which any notice, demand, or other writing
may be given or made or sent to any party as above provided may be changed by
written notice given by the party as above provided.
SECTION 7. MISCELLANEOUS.
7.1 Time of the Essence. Time is of the essence of this Agreement and all of its
provisions.
7.2 Governing Law. This Agreement is governed by, construed, and enforced in
accordance with the laws of the State of Iowa. Venue for any action arising from or
related to this Agreement is the District Court of Dubuque County, Iowa.

7.3 Paragraph Headings. The titles to the paragraphs of this Agreement are solely
for the convenience of the parties and may not be used to explain, modify, simplify, or
aid in the interpretation of the provisions of this Agreement.
7.4 Modification of Agreement. Any modification of this Agreement or additional
obligation assumed by either party in connection with this Agreement is binding only if
evidenced in a writing signed by each party or an authorized representative of each
party.
7.5 Parties Bound. This Agreement binds on and inures to the benefit of and applies
to the respective successors and assigns of City and English Ridge. All references in
this Agreement to "City" or "English Ridge" refer to and include successors and assigns
of City or English Ridge without specific mention of such successors or assigns.
7.6 Force Majeure. In the event that either party hereto is delayed or hindered in or
prevented from the performance of any act required hereunder by reason of strikes,
lockouts, labor troubles, unavailability of construction materials, unavailability or
excessive price of fuel, power failure, riots, insurrection, war, terrorist activities,
explosions, hazardous conditions, fire, flood, weather or acts of God, or by reason of
any other cause beyond the exclusive and reasonable control of the party delayed in
performing work or doing acts required under the terms of this Agreement (collectively
"Force Majeure"), then performance of such act shall be excused for the period of the
delay and the period for the performance of any such act shall be extended for a period
equivalent to the period of such delay.
SECTION 8. EFFECT OF INVALID PROVISION.
If any provision of the Agreement is held invalid, such invalidity shall not affect any of
the other provisions contained herein.
SECTION 9. DEFAULT BY ENGLISH RIDGE.
9.1 Failure by English Ridge to substantially observe or perform any material
covenant, condition, obligation, or agreement on its part to be observed or performed
under this Agreement constitutes an Event of Default.
9.2 Whenever any Event of Default occurs and is continuing, City may take any one
or more of the following actions after the giving of written notice by City to English Ridge
of the Event of Default, but only if the Event of Default has not been cured within sixty
(60) days following such notice, or if the Event of Default cannot be cured within sixty
(60) days and English Ridge does not provide assurances to City that the Event of
Default will be cured as soon as reasonably possible thereafter:
A. City may suspend its performance under this Agreement until it receives
assurances from English Ridge, deemed adequate by City, that English Ridge
will cure its default and continue its performance under this Agreement;

B. City may cancel and rescind this Agreement;
C. City may take any action, including legal, equitable, or administrative
action, which may appear necessary or desirable to collect any payments due
under this Agreement or to enforce performance and observance of any
obligation, agreement, or covenant under this Agreement.
SECTION 10. DEFAULT BY CITY.
10.1 Failure by City to substantially observe or perform any material covenant,
condition, obligation, or agreement on its part to be observed or performed under this
Agreement constitutes an Event of Default.
10.2 Whenever any Event of Default occurs and is continuing, English Ridge may take
